RE: Consent to Assign Oil & Gas Lease

To Whom It May Concern:
Incline Niobrara Partners, LP, (Incline) will execute an Assignment of Oil & Gas Leases whereby they have
agreed to sell and assign one hundred percent (100%) of its right, title, and interest in and to the Oil & Gas
Lease recorded at Reception No. 4213799 to Noble Energy, Inc, whose address is 1625 Broadway, Ste.
2200, Denver, CO 80202.
Pursuant to the Oil and Gas Lease, your consent is required in order to permit Incline to convey its interest.
Incline respectfully requests your consent to sell and assign its interest in the Oil and Gas Lease covering
the following lands:
Township 6 North, Range 64 West, 6th P.M.
Section 27: The North 50 feet of Lots 7, 8, and 9, Block 16, Town of Gill
Section 27: Lots 2, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19, 20, and 21, Block 18, Town of
Gill
Section 27: Lots 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10, Block 23, Town of Gill
Section 27: Lots 1, 2, 3, and 8, Block 25, Town of Gill
