This item was approved by 4 out of 5 Commissioners on a pass -around dated 4/29/19 with the one not approving being out of the office. This Purchase and Sale Agreement is for acquisition of Right -of -Way (ROW) and Temporary Construction Easement (TCE) parcels required for construction of the WCR 39 Extension Project north of the Town of LaSalle. The Project will provide a new WCR 39 roadway between WCR 50.5 and WCR 52. Total compensation for this acquisition is $75,353.00. A total of 0.993 acres of ROW is being acquired from a 2.440 -acre parcel, and the valuation of this acquisition is based on $44,000 per acre as per an appraisal report prepared on behalf of Weld County. For more information regarding the Project and the Purchase and Sale Agreement for the Ross property, please refer to the attached pass -around. I will plan on attending the BOCC hearing to answer any questions that the Board may have regarding this Purchase and Sale Agreement. 2019-1790 513 BOARD OF COUNTY COMMISSIONERS PASS -AROUND REVIEW PASS -AROUND TITLE: Purchase and Sale Agreement for Ross Property — 19120 WCR 52 (WCR 39 Extension Project Parcel 04) DEPARTMENT: Public Works DATE: 4/29/19 PERSON REQUESTING: Erich Green / Don Dunker Brief description of the problem/issue: Project Background: The purpose of the WCR 39 Extension Project (Project) is to address public roadway connectivity concerns for Weld County residents north of the Town of LaSalle (LaSalle) and east of the Union Pacific Railroad (UPRR). These concerns were brought forth due to UPRR rail yard improvements east of LaSalle, along with related railroad crossing closures proposed by UPRR. As a result, a Memorandum of Understanding (MOU) was entered into by LaSalle, 1JPRR, and Weld County. The MOIJ identifies a collaborative effort between these parties for design and construction of the Project, which is a new segment of WCR 39 from WCR 50.5 to WCR 52. Project design and floodplain analysis funding totaling $440,000 is coming from Weld County's Department of Local Affairs (DOLA) grant ($200,000) and Weld County's local match ($240,000). Project construction funding totaling $1,530,000 is coming from LaSalle's DOLA grant ($.70,000) and a match from UPRR ($830,000). For Weld County and LaSalle to receive their separate DOLA grants, the Project must be designed and constructed in 2019. Right -of -Way (ROW) acquisition therefore needs to be completed as soon as possible so that construction may begin this summer. As part of Weld County's DO[,A grant for design of the Project, Weld County contracted with Famworth Group, Inc. (FGI) in November of 2018 to perform design services for the Project. FGI sub -contracted TRS Corp. to act as ROW agent on the Project on behalf of Weld County, and TRS Corp. has been performing these services in close coordination with Public Works staff Purpose of Pass -Around: We are seeking Board of County Commissioners approval of the owner -signed Purchase and Sale Agreement for Project Parcel 04, which includes ROW and Temporary Construction Easement (TCE) parcels required for construction of the Project. Total compensation for this Purchase and Sale Agreement is $75,353.00 and is further described below. The safest location of the proposed WCR 39/WCR 52 intersection requires the new roadway to be placed about 100 feet from the existing Ross residence, and the resulting ROW acquisition of 0.993 acres represents about 40% of the Ross's total parcel area. The above total compensation therefore reflects the following items related to this acquisition: • ROW Acquisition (Fair Market Value) ($43,692.00) • Affected Fencing Improvements (Fair Market Value) ($2,953.00) • Temporary Construction Easement (Fair Market Value) ($308.00) • Signing Incentive (30% of Land Values Only) ($13,200.00) • Installation of Bollards Around Propane Tank (Cost to Cure) ($4,200.00) • Installation of Screening Trees (Cost to Cure) ($3,000.00) • Installation of Privacy Fence (Cost to Cure) • Administrative Settlement (Cost to Cure) ($6,000.00) ($2,000.00) $75,353.00 The Ross's did not obtain their own appraisal since they just purchased the property in January of 2019. The above administrative settlement represents half of the savings to Weld County due to the Ross's voluntary waiver of their option to obtain an appraisal. What options exist for the Board? These linear footages represent the existing fences affected by the purchase of the parcel described and depicted on Exhibit A - ROW, less the approximately 300 linear feet of fence that will be replaced at the expense of County as per Section VII 2. below. c. Owner agrees to sell and County agrees to purchase at Closing the Temporary Construction Easement described on Exhibit A-TE for the sum of Three Hundred Eight Dollars, ($308.00). d. County agrees to compensate the Owner at Closing, as a cost to cure, the sum of Four Thousand Two Hundred Dollars, ($4,200.00) for Owner to install eight (8) six-inch (6") bollards around their existing propane tank. Installation of the bollards shall be at the sole discretion and expense of the Owner. e. County agrees to compensate Owner the sum of Three Thousand Dollars, ($3,000.00) to plant trees on the remainder of the Owner's property, beyond the limits of the Right -of -Way such that there will be no encroachment of the tree trunks in the Right -of -Way at full maturity, upon expiration of the Temporary Construction Easement. Planting and maintenance of trees or other foliage shall be at the sole discretion and expense of the Owner. f. County agrees to compensate Owner the sum of Six Thousand Dollars, ($6,000.00) for the installation of a new privacy fence. Said fence will be in a location separate from the fence described in Section VII 2. below and is for local screening of Owner's residence. Said fence may be constructed upon expiration of the Temporary Construction Easement, or at any time if it is to be located outside of said easement, and once a Flood Hazard Development Permit is issued for its construction by County. Future installation and maintenance of said fence, and application for/obtainment of said Flood Hazard Development Permit shall be at the sole discretion and expense of the Owner. No assurances are made or implied that the privacy fence can be permitted to be constructed, due to its location in the floodplain, as a part of this compensation. g. For the purpose of expediting the Project, County offers and Owner accepts an incentive of Thirteen Thousand Two Hundred Dollars ($13,200.00) ("Incentive Payment") if this Agreement is properly executed by Owner and received by County or its representatives on or before May 1, 2019 ("Incentive Date"). If this Agreement is not properly executed and received by the County on or before the Incentive Date, the Owner shall not be eligible, and the County shall not be obligated to pay the Incentive Payment. County Agrees to compensate Owner the sum of Two Thousand Dollars ($2,000.00) as an administrative settlement. As a condition of the settlement, Owner waives the option to obtain an independent appraisal pursuant to Colorado Revised Statue 38-1-121. 2. The parties acknowledge and agree that said purchase price represents full, fair and valuable consideration. III. PUBLIC ROAD RIGHT(S)-OF-WAY 1. Owner agrees to grant the Public Road Right -of -Way to the County by Warranty Deed as provided in Exhibit A -ROW. 2. Owner shall deliver the fully executed Warranty Deed for the Public Road Right -of -Way to County at the date of closing which shall be no later than thirty (30) days following mutual execution of this Agreement; or, if the Right -of -Way is financially encumbered, within 30 days from the date the title company closing the transaction on behalf of the County receives a partial release(s) of, or binding commitment from the lienholders/lenders to issue partial release(s) of, financial encumbrances affecting the Right -of -Way. The Warranty Deed shall not be valid until accepted and approved by the Board of County Commissioners. 3. Owner shall retain the mineral estate and any water rights currently attached to or associated with the Property, if any exists. 4. Owner has entered into this Agreement only because the County has the power of eminent domain and requires the property for public purposes; 5. County shall take possession of the Property upon deposit of the Total Compensation into an escrow account at Fidelity National Title Company ("Title Company"). IV. TEMPORARY CONSTRUCTION EASEMENT(S) 1. Owner hereby agrees to convey a Temporary Construction Easement (TCE) to the County covering all property described and depicted in, and subject to the terms provided in, Exhibit A-TE. 2. Owner shall not interfere with County's authorized use of the TCE during the term of the TCE. 3. County agrees to re -negotiate the TCE if the proposed work is not completed within one (1) year as stated in the TCE and the TCE needs to be extended. CLOSING 1. County shall not be liable for any encumbrance associated with the Property prior to the date of closing. Owner shall pay any encumbrance associated with the Public Road Right - of -Way and the Temporary Construction Easement which is required to be paid, including, but not limited to, a prorated amount of the property taxes, and any past due property taxes, (and interest and penalties thereon), on or before the date of closing when Owner delivers the Warranty Deed and Temporary Construction Easement to County. Owner is solely responsible for the payment of any amounts owed to a third party holding a security or other ownership interest in the Public Road Right -of -Way and Temporary Construction Easement. 2. Owner will execute all documents required to close on the sale of the Property and provide insurable title to the County that may be customary at closing with Fidelity National Title Company. 3. County shall at closing pay for the cost of obtaining title insurance if County elects to obtain title insurance for the Property. 4. County shall at closing pay all fees associated with recording this Agreement, the Temporary Construction Easement, and/or the Warranty Deed. 5. County shall pay for all costs for additional information, reports, or surveys required by the Deed of Trust holder in order to obtain the partial release, insofar that the completion of these items does not delay the start date of the construction project. VI. MISCELLANEOUS: 1. This Agreement and the conveyance of the Property made pursuant to the terms herein, shall be binding upon all, and inure to the benefit of and be enforceable by the parties and their heirs, executors, administrators, successors, and assigns. 2. This Agreement shall be binding upon the Owner upon the date of signature by the Owner. This Agreement shall be binding upon the County upon approval by the Board of County Commissioners of Weld County, Colorado or its designee. 3. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §24-10-101 et seq., as applicable now or hereafter amended. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 5. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. No oral representation, promise, or consideration different from the terms herein contained shall be binding on either party, or its agents or employees. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 6. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, Contractor agrees that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 7. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. VII. ADDITIONAL RESPONSIBILITIES: 1. Within the Public Road Right -of -Way area depicted on Exhibit A -ROW, and within the Temporary Construction Easement area depicted on Exhibit A-TE, County agrees to limit construction to hours beginning one (1) hour before sunrise and one (1) hour after sunset, Monday through Sunday, unless prior arrangements are made with Owner. 2. Prior to the completion of Project construction, County agrees to construct approximately 300 linear feet of barbed wire fence along the easterly line of the Public Road Right -of - Way area depicted on Exhibit A -ROW, to the County's right of way fence standard, with said fence being the Owner's property upon completion of construction. County will tie Owner's cross fences, if existing, with the new fence at said easterly line, and all fences once constructed shall be maintained by the Owner and their heirs, successors, and assigns.
