RE: APPROVE AGREEMENT FOR ANNUAL MAINTENANCE FOR VIDEO VISITATION
EQUIPMENT AND AUTHORIZE CHAIR PRO-TEM TO SIGN - VIZVOX, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Annual Maintenance
for Video Visitation Equipment between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Department of Buildings
and Grounds, and VizVox, LLC, commencing April 8, 2019, and ending April 7, 2020, with further
terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Annual Maintenance for Video Visitation Equipment
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Buildings and Grounds, and
Vizvox, LLC, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair Pro -Tern be, and hereby is,
authorized to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 15th day of July, A.D., 2019, nunc pro tunc April 8, 2019.

Subject: Jail Video Visitation Software Warranty/Support
The Jail uses VizVox Watchman G3 for the operation of the Jail's video visitation system. The components
and software are sole source through VizVox LLC because VixVox LLC is the only manufacturer of the
components and software used in the Jail video visitation system. The system came out of warranty. The
annual maintenance warranty/support for this system is $19,000 from April 8, 2019 through April 7, 2020.
Entering this agreement for sole source maintenance is permissible through the Weld County Code, Sec.
5-4-90. — Sole Source purchases. Purchases may be exempt from the quote and bid process if there is only
one appropriate vendor. Some equipment designation effectively eliminates competition, so support
documentation will be required on the requisition to explain why only a particular brand or service is
acceptable.
Therefore, Buildings and Grounds is recommending approval of this annual maintenance agreement for
$19,000.

Dear Toby,
The warranty for the VizVox System installed at the Weld County Detention Center expired on
April 8, 2019. Our extended warranty offering requires the customer's equipment be recertified before
we can place the VizVox System under a support agreement. However, if your technicians verify that
the VizVox Watchman G3 units are in good working condition we will waive the recertification process
to save you additional time and expense.
The service plan includes software/phone support (during normal business hours - Monday — Friday 8
am CST— 5 pm CST) and software upgrades when applicable. The actual hardware replacement will be
quoted on an as needed basis at an additional cost and is shipped to you and will require that one of
your technicians install it on -site.
This support agreement is for phone support and does not include any on -site support. Should on -site
support be required that would be at an additional fee determined upon the circumstances.
The VizVox Watchman G3 units are manufactured by VizVox and the software is sole source through
VizVox as well. The software and phone support can only be obtained through VizVox/M2 Technology.

Typically, support Increases by 20% each year however we have given you a discount and have increased
less than 10% over the previous year. Please do not hesitate to contact me should you have any
