RE: THE ISSUANCE OF INDUSTRIAL REVENUE BONDS TO FINANCE A PROJECT
FOR COLORADO LANDFILL, INC.
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, is authorized by the County Municipal Revenue Bond Act ,
constituting Article III , Title 29, Colorado Revised Statutes ,
1973, as amended to finance one or more projects, including any
land, building, or other improvement and all real or personal
properties suitable or used for or in conjunction with any manu-
facturing, industrial , commercial, agricultural or business
enterprise, upon such conditions as the Board of County Commis-
sioners may deem advisable, and
WHEREAS, the Board of County Commissioners is further
authorized by the above Act to issue its Revenue Bonds for the
purpose of defraying the cost of financing any such project, and
WHEREAS, representatives of Colorado Landfill, Inc. , incor-
porated under the laws of the State of Colorado, have met with
officials of the County, and have advised the County of the
corporation ' s interest in locating in the County and acquiring
and expanding existing landfill operations from its current owner,
the expansion which may include the construction of transfer sta-
tions within the County, subject to the willingness of the County
to finance the project by the issuance of Industrial Development
Revenue Bonds pursuant to the above Act , and
WHEREAS, the County has considered Colorado Landfill ' s
proposal and has concluded that the economic benefit to the County
will be substantial, and it wishes to proceed with the financing
of the project , and
WHEREAS, the action herein contemplated is not prohibited
by the County Charter of Colorado Statute.

NOW, THEREFORE , BE IT RESOLVED by the Board of County Commis-
sioners of Weld County, Colorado, that in order to induce Colorado
Landfill , Inc. to complete the above project within the County, the
County shall take all steps necessary or advisable to effect the
issuance of Industrial Development Revenue Bonds in a maximum aggre-
gate principle amount not exceeding ONE MILLION SEVEN HUNDRED FIFTY
THOUSAND DOLLARS ($1 , 750, 000. 00) or such lesser amount as shall be
mutually agreed upon to finance the above project .
BE IT FURTHER RESOLVED that no costs are to be borne by the
County in connection with this transaction , and
BE IT FURTHER RESOLVED that prior to execution of necessary
financing documents as shall be mutually agreed upon in connection
with the above project and such bonds , such documents will be sub-
ject to authorization by resolution of the Board of County Commis-
sioners of Weld County , Colorado , pursuant to law and the Home Rule
Charter of the County, and
BE IT FURTHER RESOLVED the corporation has agreed to provide
full reimbursement of all expenses incurred or to be incurred by
the County related to the above project , and
BE IT FURTHER RESOLVED nothing contained in this resolution
shall constitute the debt or indebtedness of the County within the
means of the Constitution or Statutes of the State of Colorado or
the Charter of the County , nor rise to a pecuniary liability of the
County or charge against its general credit or taxing power , and
BE IT FURTHER RESOLVED all comitments by the County herein are
subject to the conditions on or before TWELVE (12) months from the
date of final adoption hereof, the County and Colorado Landfill
shall have agreed to mutually acceptable terms for the bonds and
the sale and delivery thereof.
BE IT FURTHER RESOLVED that the Memorandum of Agreement between
the County and Colorado Landfill , Inc. in the form attached hereto
is approved and the Chairman of the Board is hereby authorized and
directed to execute such Memorandum of Agreement on the behalf of
the County.

MEMORANDUM OF AGREEMENT
This Memorandum of Agreement is between Weld County ,
Colorado (the "County" ) and Colorado Landfill , Inc. a Colorado
corporation (the "Corporation" ) .
1 . Preliminary Statement. Among the matters of mutual
inducement which have resulted in the execution of this Agreement
are the following :
( a ) The County is a county in the State of
Colorado, a body politic and corporate , author-
ized and empowered by Title 29 , Article 3 , of
the Colorado Revised Statutes 1973 , as amended
( the " Act " ) , to issue development revenue
bonds to finance one or more projects , including
any land , building or other improvement and all
real or personal properties suitable or used for
or in connection with any manufacturing , indus-
trial , commercial , agricultural or business
enterprise , upon such terms and conditions as
the Board of County Commissioners of Weld County
( the "Board" ) deems advisable .
( b ) In order to promote more adequate
facilities for disposing of solid waste for the
County of Weld , State of Colorado, the Corpora-
tion proposes to. acquire , construct , improve and
equip the land , buildings , other improvements
and all necessary and appurtenant real and
personal properties , whether or not now in
existence , constituting a landfill/solid waste
disposal facility located within the County ( the
" Project" ) and pursuant to a Loan Agreement
between Issuer and Corporation ( the " Loan
Agreement" ) Issuer will loan the proceeds of its
revenue bonds ( the " Bonds" ) to the Corporation
for such acquisition , construction , improving
and equipping and the Corporation will make loan
payments thereunder sufficient to pay the
principal of, premium , if any , and interest on
the Bonds .
( c) The County has indicated its willing-
ness to proceed with the issuance of its Bonds
as provided by the Act to finance the Project
and has advised the Corporation that , subject to
due compliance with all requirements of law and
the obtaining of all necessary consents and
approvals and to the happening of all acts ,
conditions and things required precedent to such
financing , the County, pursuant to the Act , will
issue the Bonds in a principal amount sufficient
to pay the costs of such acquisition , construc-
tion, improvement and equipping of the Project,
the funding of any necessary reserves and the
expenses of issuance and sale of the bonds , not
to exceed an aggregate principal amount of
$1 , 750 , 000 .
(d ) The County considers that financing
the Project and entering into the Loan Agreement
with the Corporation with respect to the Project
will provide more adequate facilities for
disposing of solid waste for the citizens of
Weld County , Colorado , which constitutes a
public purpose as described in §29-3-102 ( 2 ) .
2 . Undertakings by the County . The County agrees as
follows :
( a ) The County will issue the Bonds
pursuant to the terms of the Act in a principal
amount sufficient to finance the Project , the
funding of any necessary reserves and the
expenses incident to the authorization, sale and
issuance of the Bonds , and the Bonds shall not
be issued in an aggregate principal amount in
excess of $1 , 750 , 000 .
(b) The County will adopt such proceedings
and authorize ( i ) the execution and delivery of
such documents as may be reasonably necessary or
advisable for the authorization , issuance and
sale of the Bonds , ( ii ) the financing , acquisi-
tion , construction , improvement and equipping of
the Project and ( iii ) the execution of the Loan
Agreement with the Corporation and such other
documents relating to the Project and the Bonds
as shall be authorized by the Act or other law
and as shall be mutually satisfactory to the
County and the Corporation.
( c) the aggregate sums to be paid by the
Corporation under the Loan Agreement shall be
sufficient to pay the principal of , redemption
premium, if any , and interest on the Bonds as
and when the same shall become due.
(d ) The County will take such other acts
and adopt such further proceedings as may be
reasonably required to implement the aforesaid
undertakings and as it may deem appropriate in
pursuance thereof .

( e ) The Bonds shall provide that they
shall be payable solely out of the revenues
derived from the operation of the Project
pursuant to the provisions of the Loan Agree-
ment , that they shall never constitute the
general obligations of the County within the
meaning of any provision or limitation of the
Constitution or statutes of the State and that
they shall not constitute nor give rise to a
pecuniary liability or a charge against the
general credit or taxing powers of the County,
the State of Colorado or any political sub-
division thereof .
( f ) In authorizing the issuance of the
Bonds pursuant to this Agreement , the County
will make no warranty , either expressed or
implied , that the proceeds of the Bonds will be
sufficient to pay all costs of the Project .
3 . Undertakings on the Part of the Corporation . The
Corporation agrees as follows :
( a ) The Corporation will enter into a
contract or contracts for the acquisition ,
construction , improving and equipping of the
Project .
(b) Prior to the delivery of the Bonds ,
the Corporation will enter into the Loan Agree-
ment with the County under the terms of which
the Corporation will obligate itself to complete
the acquisition , construction , improving and
equipping of the Project and , to the extent not
payable out of proceeds of the Bonds , to pay to
the County sums sufficient in the aggregate to
pay or reimburse the county for all expenses
incurred by it in connection with the authori-
zation , issuance and sale of the Bonds and to
make loan payments sufficient to pay the prin-
cipal of , premium, if any , and interest on the
Bonds as and when the same shall become due and
payable , all fees and expenses of any trustee
for the benefit of the holders of the Bonds
incurred under any trust indenture , all utility
charges , taxes , assessments , casualty and
liability insurance premiums , and any other
expenses or charges relating to the ownership,
use , operation , maintenance , occupancy and
upkeep of the Project , such Loan Agreement to
contain such other provisions as may be required
by law and as shall be mutually acceptable to
the County and the Corporation .

( c) The Corporation will take such further
action and adopt such further proceedings as may
be required to implement its aforesaid under-
takings or as it may deem appropriate in pur-
suance thereof.
4 . General Provisions .
( a) All commitments of the County under
Section 2 hereof and of the Corporation under
Section 3 hereof are subject to the condition
that on or before one year from the date of this
Agreement the County and the Corporation shall
have agreed to mutually acceptable terms for the
Bonds and for the issuance , sale and delivery
thereof , and mutually acceptable terms and
conditions for the Loan Agreement , trust inden-
ture and other documents referred to in Section'
3 and the proceedings referred to in Sections 2
and 3 hereof , and the County and the Corporation
shall have complied with all the provisions of
the Act applicable to the issuance , sale and
delivery of the Bonds and the financing of the
Project .
( b ) If the events set forth in Section
4 ( a) above do not take place within the time set
forth or any extension thereof and the Bonds are
not issued and sold within that time , the
Corporation agrees that it will reimburse the
County for all reasonable and necessary direct
out-of-pocket expenses which the County may
incur arising from the execution of this Agree-
ment and the performance of the County' s obliga-
tions hereunder and this Agreement shall there-
upon terminate .
( c) The County and the Corporation mutu-
ally agree that Coughlin & Co . , Inc. and/or E. J.
Pittock and Co . shall act as , and are hereby
designated as , the underwriters of the Bonds
with a right of first refusal to purchase the
Bonds ; provided that the County shall not incur
any liability for the payment of the fees and
expenses of said underwriters except that the
same may be paid out of the proceeds of the sale
of the Bonds .

June , 1979 .

The following business was transacted :
I hereby certify that pursuant to a notice dated May 21 , 1979 ,
duly published May 24 , 1979 in the Platteville Herald , a public
hearing was held on a request for Industrial Development Revenue
Bonds , for Colorado Landfill , Inc . , at the time and place
specified.
Don Warden on behalf of the Staff and in accordance with
Ordinance #25 and #43 , have reviewed the request for the
issuance of Industrial Revenue Bonds of Colorado Landfill ,
Inc . , and as a result of that review can favorably recommend
the Board ' s approval of the inducement resolution . The
application , as submitted , is in conformance with Ordinance #25
and #43 , as specified by the Board , and based upon discussions
with representatives of Colorado Landfill , Inc . concerning the
landfill operations in Weld County and pro forma financial
statements prepared by Premer and Company , it appears that the
project is economically feasible and in the best interest of
the citizens of Weld County . The project is clearly within
the intent of the County and Municipal Development Revenue Bond
Act , constituting Article III , Title 29 , CRS , 1973 as amended,
plus the issuance of Industrial Revenue Bonds will be to the
benefit of all citizens of Weld County who will be utilizing
the landfill sites financed via this mechanism because the
Industrial Revenue Bonds will defray the cost of financing
this operation in Weld County .
Lynn_.Keirnes , owner of Colorado Landfill , Inc . , was present
and commented on the request . After discussion , Commissioner
Steinmark made a motion to waive the specific information and
and requirements in Ordinaces #25 and 43 for new concerns that
have not been in operation for the last five years . Information
has been provided in lieu of said documentation . Commissioner
Kirby seconded the motion and it carried unanimously.
Kenneth Lind , legal counsel for Colorado Landfill , Inc . , commented
on the request . Gary Premer , reviewed financial documentation.
Vern Nelson, Engineer, reported on trash yardage and citizen
population projections . Jack Rugemon , representing Coughlin
and Company , Inc . of Denver , Investment Banking Firm, commented
on his firm' s capabilities . No one was present in opposition
to this request . Commissioner Steinmark made a motion to adopt
the resolution for the issuance of Industrial Revenue Bonds to
Finance a project for Colorado Landfill , Inc . and authorized the
Chairman to sign the memorandum of agreement . Commissioner Roe
smonded the motion and it carried unanimously .

NOTICE IS HEREBY GIVEN of a hearing before the Board of County Commissioners
of Weld County, Colorado, on the 6th day of June, 1979 at the hour of 10:00 A.M.
in the Weld County Commissioners hearing room, first floor, Weld County Cen-
tennial Center, 915 10th Street, Greeley, Colorado, for the purpose of considering
the application from Colorado Landfill, Inc. for Weld County to issue Industrial
Development Revenue Bonds. The proposed bond issue is so Colorado Landfill, Inc.
may acquire land and facilities in Weld County, Colorado for the purpose of
operating solid waste facilities for the citizen's of Weld County. This pro-
cedure is in accordance with the 1967 County and Municipality Development
Revenue Bond Act, Section 29-3-101, et seq. , CRS 1973 as amended.
Copies of the application for Industrial Development Revenue Bonds are on file
in the Office of the Clerk to the Board of County Commissioners located on the
3rd floor, Weld County Centennial Center, 915 10th Street, Greeley, Colorado
and may be inspected during regular business hours.
Following the close of the public hearing, the Board of County Commissioners
will consider whether or not to proceed with the preparation and sale of
Industrial Development Revenue Bonds.
All interested parties under the law will be afforded an opportunity to be
heard at said hearing.
