RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR SHARED USE OF
QUARTERLY CENSUS OF EMPLOYMENT WAGES DATABASE AND AUTHORIZE
CHAIR TO SIGN - UPSTATE COLORADO ECONOMIC DEVELOPMENT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for
Shared Use of Quarterly Census of Employment Wages Database between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Human Services, and Upstate Colorado Economic Development,
commencing upon full execution of signatures, with further terms and conditions being as stated
in said memorandum of understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Understanding for Shared Use of Quarterly Census
of Employment Wages Database between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Department of Human
Services, and Upstate Colorado Economic Development, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said memorandum of understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 26th day of June, A.D., 2019.

Please review and indicate if you would like a work session prior to placing this item on the
Board's agenda.
Request Board Approval of the Department's Memorandum of Understanding with Upstate
Colorado Economic Development. This Memorandum of Understanding (MOU) is between the
Department of Human Services and Upstate Colorado Economic Development for the shared use of the
data pulled from the Colorado Department of Labor and Employment's (CDLE) Quarterly Census
Employment and Wage (QCEW) database. Employment Services of Weld County (ESWC) is currently
in the process of executing the license agreement with the Colorado Department of Labor and
Employment (CDLE), which allows access to economic development data, and is only accessible to
Government entities. The State has provided authority for ESWC to share the data pulled, with Upstate
Colorado Economic Development, to further drive the economic development of Weld County. The
MOU outlines the responsibilities of both entities and ensures compliance with the State's regulations
regarding the data material. Karin McDougal, Assistant County Attorney, has reviewed and approved the
terms and use of the MOU.
I do not recommend a Work Session. I recommend approval of this MOU and authority for the Chair to
sign.

MEMORANDUM OF UNDERSTANDING BETWEEN
UPSTATE COLORADO ECONOMIC DEVELOPMENT
AND
WELD COUNTY BOARD OF COUNTY COMMISSIONERS

This Memorandum of Understanding is made and entered into the ay of
2019, by and between, the Board of Weld County Commissioners, on behalf of the Weld County
Department of Human Services, hereinafter referred to as the "County" and Upstate Colorado Eco omic
Development, hereinafter referred to as "Upstate".
Whereas, County has agreed to share employment data information gathered and
approved by the State of Colorado Department of Labor and Employment's Quarterly Census of
Employment Wages (QCEW) database; and
Whereas, Upstate agrees to utilize the data information to further assist efforts in the
area of workforce economic development of Weld County; and
Whereas, Upstate agrees that the data received is intended only for the benefit of and
use of Weld County;
NOW THEREFORE, in consideration of the mutual promises set forth herein, the
parties hereto agree as follows:
1. Agreement. Employment Services of Weld County agrees to share, with the approval of
The State of Colorado Department of Labor and Employment, data pulled on a quarterly
basis from the Quarterly Census of Employment Wages (QCEW) database with Upstate.
1.1. Upstate agrees to utilize the data pulled by Employment Services of Weld County
for the further development of Weld County.
1.2. Upstate agrees to not share the data with any other entity and to not further utilize
the data for any other purpose outside of benefiting Weld County.
1.3. The data pulled is the property of The State of Colorado Department of Labor and
Employment, and subject to their approval as to whether it can be shared with Upstate. The data
will not be released to Upstate until the County receives approval from the Colorado Department
of Labor and Employment.

2. Term. This Agreement shall become effective on day that it is executed by both parties and
shall remain in effect until terminated by one of the parties in accordance with Paragraph 4 of
this agreement.
3. Governmental Immunity. No term or condition of this contract shall be construed or
interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections
or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et. seq., as
applicable now or hereafter amended.
4. Termination. This MOU may be terminated at any time by either party by giving thirty (30)
days written notice. Upon termination, Upstate shall return any data it possessives through this
agreement to the County.
5. Entire Agreement. This MOU constitutes the entire understanding between the parties with
respect to the subject matter hereof. This MOU shall be binding upon the parties hereto, their
successors, heirs, legal representatives, and assigns. Upstate and County may not assign any of
its rights or obligations hereunder without the prior consent of both parties.
6. No Third -Party Beneficiaries. It is expressly understood and agreed that the enforcement of
the terms and conditions of this MOU, and all rights of action relating to such enforcement, shall
be strictly reserved to the undersigned parties and nothing in this MOU shall give or allow any
claim or right of action whatsoever by any other person not included in this MOU. It is the
express intention of the undersigned parties that any entity other than the undersigned parties
receiving services or benefits under this MOU shall be an incidental beneficiary only.
7. Confidentiality. The Colorado Department of Labor and Employment requires that
the information shared between the parties of this MOU be kept confidential. Upstate
must store the data in a secure location and may not share the data with any outside
party. If the data is breached, Upstate must immediately notify the County so that the
County may comply with its obligations to the State of Colorado. All parties to this
MOU shall comply with all federal, state and county laws and regulations governing
confidentiality, subject only to statutory exceptions applicable to criminal investigations and
proceedings.
8. Amendment. Any amendment of this MOU may be made only by written agreement
and signed by all parties hereto.
IN WITNESS WHEREOF, the parties hereto have duly executed the MOU as of the day, month,
and year first above written.
