RE: APPROVE FIRST AMENDMENT TO DIAGNOSTIC IMAGING SERVICES AGREEMENT
AND AUTHORIZE CHAIR TO SIGN - BANNER HEALTH, DBA NORTH COLORADO
MEDICAL CENTER
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a First Amendment to Diagnostic Imaging
Services Agreement between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Public Health and
Environment, and Banner Health, dba North Colorado Medical Center, commencing April 4, 2019,
and ending July 20, 2021, with further terms and conditions being as stated in said amendment,
and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the First Amendment to Diagnostic Imaging Services Agreement between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Department of Public Health and Environment, and Banner Health,
dba North Colorado Medical Center, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 25th day of March, A.D., 2019.

SUBJECT: Banner/North Colorado Medical Center
Renewal Contract for the Provision of
Diagnostic Imaging Services
For the Board's approval is a First Amendment to Services Agreement between Banner
Health/North Colorado Medical Center (Banner/NCMC) and the County of Weld, by and through
the Board of Commissioners of Weld County, on behalf of the Weld County Department of Public
Health and Environment (WCDPHE).
The Health Department is requesting approval to enter into a renewal contract with Banner/NCMC
to provide the technical component of diagnostic imaging/radiology services (the taking of x-rays
or ultrasounds) for Weld County Prenatal -Sunrise patients referred to Banner/NCMC by the Health
Department. Specific services will include ultrasound imaging for pregnant mothers, if patient
screening indicates this critical need, that will specifically look for clinical signs that may indicate
exposure to the Zika virus. This year Banner has agreed to extend the contract by a little over a
two-year renewal period to align with our other imaging contracts, with a new term of April 4,
2019, through July 20, 2021, and upon mutual written agreement may be extended for additional
terms.
The Weld County Prenatal -Sunrise program is a thriving clinical program that assists Weld County
pregnant mothers with low-cost prenatal care. Each year as the winter and spring break travel
seasons begin, we see an increase in international travel to warm climates where the Zika virus is
still a legitimate threat to women and men of reproductive age. Our Weld County citizens that
travel to those countries affected by the Zika virus are at risk of contracting the virus which can
cause pregnancy loss, or a life -threatening condition called microcephaly and brain damage
in babies.
Weld County Assistant County Attorney, Bob Choate, has reviewed this contract and it meets with
his approval.
Furthermore, this contract was approved for placement on the Board's agenda via pass -around
dated January 28, 2019.
I recommend approval of this renewal contract with Banner Health.

FIRST AMENDMENT
TO
SERVICES AGREEMENT

THIS FIRST AMENDMENT TO SERVICES AGREEMENT("Amendment") modifies that certain Agreement
for services, effective April 4, 2018, (the "Agreement") between Banner Health, an Arizona nonprofit
corporation d/b/a North Colorado Medical Center ("Banner") and County of Weld, State of Colorado, by and
through the Board of Commissioners of Weld County, on behalf of the Weld County Department of Public Health
and Environment ("WCDPHE"). Banner and the WCDPHE may collectively be referred to as the Parties.
RECITALS:
A. The Parties entered into the Agreement wherein Banner agreed to provide inter alia the technical
component of obstetric ultrasound/diagnostic imaging/radiology services (the "Services") to WCDPHE
under the terms and conditions provided for therein.
B. The Parties have agreed to modify certain provisions of the Agreement.
C. The Parties desire to evidence their agreement by execution of this Amendment.
NOW THEREFORE, in consideration of the mutual covenants and conditions herein contained and for other good
and valuable consideration the Parties agree as set forth below:
AGREEMENT:
1. Amendment of Agreement. Entered into as of the last date of signature below the "Effective Date" the
Parties agree to amend the Agreement by:
a. Extending the Term of the Agreement through July 31, 2021; and
b. Rates of service shall be in accordance with the current Medicare rate at the time of service.
c. Exhibit "A" Section 3. Rates of the Agreement is hereby amended to include the following
language in addition to the existing language:
Appropriations: Financial obligations of the County payable after the current
fiscal year are contingent upon funds for that purpose being appropriated,
budgeted and otherwise made available. Execution of this Agreement by
County does not create an obligation on the part of County to expend funds not
otherwise appropriated in each succeeding year.
2. Agreement Effective. Except as amended by this Amendment, the Agreement, shall remain in full force
and effect.
3. Precedence of Amendment. In the event of a conflict between the terms and conditions of this Amendment
and the terms and conditions of the Agreement, the terms and conditions of this Amendment shall govern and
control.
4. Capitalized Terms. All capitalized terms used in this Amendment and not otherwise defined herein shall
have the meaning ascribed to such terms in the Agreement.
5. Incorporation. This Amendment shall be attached to, and made a part of, the Agreement.

6. Counterparts. This Amendment may be executed in one or more copies or counterparts, each of which
when signed shall be an original, but all of which together shall constitute one instrument. Signatures submitted via
telecopy or electronic signature shall have the same force and effect as original signatures and, as such, shall be valid
and binding upon the parties hereto.
This Amendment will not be in effect until signed by both Parties.
