RE: APPROVE AMENDMENT #2 TO AGREEMENT FOR SERVICES FOR MOTOR
VEHICLE SELF-SERVICE KIOSKS AND AUTHORIZE CHAIR TO SIGN -
INTELLECTUAL TECHNOLOGY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on November 25, 2019, the Board was presented with Amendment #2 to an
Agreement for Services for Motor Vehicle Self -Service Kiosks, between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of
the Clerk and Recorder's Office, and Intellectual Technology, Inc., commencing upon full
execution of signatures, and ending January 31, 2021, with further terms and conditions being as
stated in said amendment, and
WHEREAS, the Board deemed it advisable to continue said amendment to November 27,
2019, and after review, the Board now deems it advisable to approve said amendment, a copy of
which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Amendment #2 to the Agreement for Services for Motor Vehicle Self -
Service Kiosks, between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and
Intellectual Technology, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair, be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 27th day of November, A.D., 2019.

Brief description of the problem/issue:
Weld County and ITI are needing to amend the current contract for a new way to process the funds deposited
and credit card processing fee rate change along with extending the term of the contract to January 31S`, 2021.
The increase in the credit card processing fee is consistent with the current State contract rates for in -office card
processing. The new funds deposited will take one step off the bookkeeping area in Motor Vehicle and the
Treasure Department. Currently Motor Vehicle bookkeeping and the Treasurer's office is having to keep track
of the ITI "fee" and remit that to the vendor. The target implementation date is December 1S`, 2019 for the
process change to no longer have to remit to the vendor. I have also had the County Attorney review the
amendment and they see no issues.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
Sign the contract amendment so Weld County can continue the pilot program and streamline processes for
Motor Vehicle and the Treasure Depattinent.

AMENDMENT #2 TO AGREEMENT FOR SERVICES BETWEEN BOARD OF COUNTY
COMMISSIONERS OF WELD COUNTY,
COLORADO ("WELD COUNTY") AND
INTELLECTUAL TECHNOLOGY, INC. ("CONTRACTOR" OR "ITI")
DATED AS OF MAY 23, 2017.
This is Amendment #2 ("Amendment #2") to the Agreement For Services dated May 23, 2017 by
and between Weld County and ITI (as amended on February 12, 2018, collectively the "Service
Agreement"); capitalized terms used but not defined herein shall have the meanings provided in the
Service Agreement. Except as expressly set forth in this Amendment #2, the terms and conditions of
the Service Agreement shall continue unmodified and in full force and effect. In the event of any
conflict between this Amendment #2 and the Service Agreement, this Amendment #2 shall control.
The parties agree to amend the Service Agreement as follows:
1. Section 2 of Exhibit A entitled "Time of Performance" is deleted and replaced with the
following:
2. Time of Performance. The services of the Contractor commenced on May 23, 2017.
The services of Contractor shall be completed, or shall end, on January 31, 2021.
2. The following is added to Section 3 of Exhibit A entitled "Compensation":
As of December 1, 2019, the credit card processing fee charged will be raised from 2.15% to
2.3%.
