Home My WebLink About20194546.tiff RESOLUTION RE: APPROVE ADDENDUM TO AGREEMENT FOR PROFESSIONAL SERVICES AND AUTHORIZE CHAIR TO SIGN - BASE TACTICAL DISASTER RECOVERY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Addendum to Agreement for Professional Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Office of Emergency Management, and Base Tactical Disaster Recovery, commencing upon full execution of signatures, with further terms and conditions being as stated in said addendum, and WHEREAS, after review, the Board deems it advisable to approve said addendum, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Addendum to Agreement for Professional Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Office of Emergency Management, and Base Tactical Disaster Recovery, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said addendum. WHEREAS,the parties entered into an Agreement for Professional Services on January 6, 2014, (referenced by Weld County Clerk to the Board document number 2013-3376), hereinafter called the"Agreement",and WI IEREAS, Section 2 of the Agreement allows for the extension of the term of the Agreement upon specific written consent of the parties,and WHEREAS,the parties entered into five Addendums to Agreement for Professional Services on December 18,2014,August 19, 2015 September 8,2016, October 16, 2017, February 7, 2018 and December 18, 2018, and WHEREAS, the County and the Contractor desire to extend the Agreement pursuant to Section 2 of the Agreement, upon all terms as stated in the Agreement, except as specifically described in this Addendum,below. NOW,THEREFORE, it is agreed by the Parties that the following changes are made to the aforementioned AGREEMENT as follows: 1. Delete the first sentence of Section 2 of the Agreement, and add the following: "The term of this Agreement shall be from January 1,2020,through and until December 31, 2020,which term may be extended by mutual written consent of the parties." 2. The limitation of compensation of$2,301,702.00 established in prior agreements remains unchanged and services performed by Contractor under the terms of this Addendum shall be scheduled by the County on an 'as needed' basis. Consistent with discussions between Barb and Katie, BASE Tactical provides the attached request for Weld County's consideration.The FEMA closeout process continues to lag at the State level and therefore there are still many Project Worksheets that need to be processed. Fortunately BT will use less of the available contract funds in 2019 and there will be approximately$47,000.00 which can be rolled into 2020, should Weld County desire to extend the contract another year. We hope that you will consider our request and discuss same with the commissioners.
