Dear Ms. Ford,
PDC Energy, Inc. ("PDC") is currently negotiating an agreement for the sale of certain Oil and Gas Leases in Weld
County, Colorado to Bayswater Resources LLC, Bayswater Fund III -A, LLC and Bayswater Fund III -B, LLC, and
Bayswater Fund IV -B, LLC, collectively ("Bayswater").
Pursuant to the terms of Oil and Gas Lease dated September 27, 2013 between Weld County, Colorado, a political
subdivision of the State of Colorado, acting by and through the Board of County Commissioners of the County of
Weld, as Lessor, and PDC Energy, Inc., as Lessee, recorded in Weld County, CO at Reception No. 3969543, PDC
hereby requests your consent to assign this lease to Bayswater.
PDC respectfully requests your consent to assign this lease to Bayswater. Please properly execute this Letter in the
space provided below, and return one executed original to PDC prior to May 22, 2019.
In addition, please find enclosed a check for $100.00 made out to the Weld County Board of Commissioners, which
covers the assignment of lease fee set forth in Paragraph #9 of the above described Oil and Gas Lease. Please
acknowledge receipt of this check by signing and returning the enclosed Acknowledgment of Payment form.
