Extraction Oil & Gas, Inc. ("Extraction") holds an interest in the above described Oil &
Gas Lease (the "Lease"). Extraction has assigned and conveyed the Lease to PDC Energy, Inc.
("PDC"). Conveyance of the Lease took place on October 18, 2018 ("Closing");
Under the terms of the Lease, your consent is required to assign and convey any interests
in and to the Lease. Extraction hereby respectfully requests your consent to assign and convey
any interests in the Lease from Extraction to PDC by executing this Consent Notice in the space
provided below. Your execution of this Consent Notice will evidence your consent to the
assignment and conveyance of any interests in the Lease from Extraction to PDC. Additionally,
please find enclosed a company check in the amount of One Hundred Dollars ($100.00) as required
for the consent,
