This item was approved by all 5 Commissioners on a pass -around dated 6/11/19. This Purchase and Sale Agreement is for acquisition of Right -of -Way (ROW) and Temporary Construction Easement (TCE) parcels required for construction of the WCR 39 Extension Project north of the Town of LaSalle. The Project will provide a new WCR 39 roadway between WCR 50.5 and WCR 52. Total compensation for this acquisition is $33,161.70. A total of 0.336 acres of ROW and 0.450 acres of TCE is being acquired from the owner and is necessary to construct the roadway, relocate an oil and gas access, tie in the edges of the project, and construct a right-of- way (ROW) fence. The valuation of this acquisition is based on $19,000/acre as per an appraisal report prepared on behalf of Weld County. For more information regarding the Project and the Purchase and Sale Agreement for the Conlin property, please refer to the attached pass -around. I will plan on attending the BOCC hearing to answer any questions that the Board may have regarding this Purchase and Sale Agreement. 2019-2565 E.GOdiG BOARD OF COUNTY COMMISSIONERS PASS -AROUND REVIEW PASS -AROUND TITLE: Purchase and Sale Agreement for Conlin Property — 19089 WCR 50.5 (WCR 39 Extension Project Parcel 02) DEPARTMENT: Public Works DATE: 6/11/19 PERSON REQUESTING: Erich Green / Don Dunker Brief description of the problem/issue: Project Background: The purpose of the WCR 39 Extension Project (Project) is to address public roadway connectivity concerns for Weld C'ounty residents north of the Town of LaSalle (LaSalle) and east of the Union Pacific Railroad (UPRR). These concerns were brought forth due to UPRR rail yard improvements east of LaSalle, along with related railroad crossing closures proposed by UPRR. As a result, a Memorandum of Understanding (MOU) was entered into by LaSalle, UPRR, and Weld County. The MOU identifies a collaborative effort between these parties for design and construction of the Project, which is a new segment of WCR 39 from WCR 50.5 to WCR Project design, floodplain analysis, and right-of-way acquisition funding totaling $440,000 is coming from Weld County's Department of Local Affairs (DOLA) grant. Project construction funding totaling $1,530,000 is coming from LaSalle's DOLA grant (8700,000) and a match from UPRR (S830,000). For Weld County and LaSalle to receive their separate DOLA grants, the Project must be designed and constructed in 2019. Right -of - Way (ROW) acquisition therefore needs to be completed as soon as possible so that construction may begin this summer. As part of Weld County's DOLA grant for design of the Project, Weld County contracted with Farnworth Group, Inc. (FGI) in November of 2018 to perform design services for the Project. FGI sub -contracted TRS Corp. to act as ROW agent on the Project on behalf of Weld County, and TRS Corp. has been performing these services in close coordination with Public Works staff. Purpose of Pass -Around: We are seeking Board of County Commissioners approval of the owner -signed Purchase and Sale Agreement for Project Parcel 02, which includes ROW and Temporary Construction Easement (TCE) parcels required for construction of the Project. Total compensation for this Purchase and Sale Agreement is $33,161.70 and is further described below. The safest location of the proposed WCR 39/WCR 52 intersection requires the new roadway to exit the Union Pacific Railroad ROW and impact the northern portion of the Conlin property. The resulting ROW acquisition of 0.336 acres represents about 4% of the Conlin's total parcel area. The above total compensation reflects the following items related to this acquisition: • ROW Acquisition (Fair Market Value) (56,384.00) • Affected Fencing Improvements (Fair Market Value) (8101.00) • Temporary Construction Easement (Fair Market Value) (S855.00) • Signing Incentive (30% of Land Values Only) (S2,171.70) • Installation of Relocated Oil and Gas Access Road (Cost to Cure) (88,400.00) • Subdivision and Change of Zone Application Fees (Cost to Cure) ($6,650.00) • Land Surveying Fees for Subdivision and Change of Zone Processes (Cost to Cure) • Consultant Fees for Subdivision and Change of Zone Processes (Cost to Cure) ($5,000 00) ($3,600.00) $33,161.70 The Conlins did not obtain their own appraisal and therefore no reimbursement of appraisal costs to the Conlins from Weld County was required. Owner agrees to sell and County agrees to purchase at Closing the Public Road Right -of -Way described and depicted on Exhibit A-RW for the sum of Six Thousand Three Hundred Eighty -Four Dollars ($6,384.00). b. County agrees to compensate the Owner at Closing for 19 linear feet of five (5) strand barbed wire fencing at $5.28 per foot, for the sum of One Hundred One Dollars ($101.00). COLORADO the purchase of the parcel described and depicted on Exhibit A-RW, less the approximately 980 linear feet of fence that will be placed along the easterly line of the Public Road Right -of -Way area depicted on Exhibit A-RW at the expense of County as per Section VII 2. below. c. Owner agrees to sell and County agrees to purchase at Closing the Temporary Construction Easement described on Exhibit A-TE for the sum of Eight Hundred Fifty -Five Dollars ($855.00). d. County agrees to compensate the Owner at Closing, as a cost to cure, the sum of Eight Thousand Four Hundred Dollars ($8,400.00) for Owner to install a gravel access road to the existing oil and gas tank battery. Installation of the gravel access road shall be at the sole discretion and expense of the Owner. e. For the purposes of expediting the Project, County offers and Owner accepts an incentive of Two Thousand One Hundred Seventy -One and 70/100 Dollars ($2,171.70) ("Incentive Payment") if this Agreement is properly executed by Owner and received by County or its representatives on or before May 21, 2019 ("Incentive Date"). If this Agreement is not properly executed and received by the County on or before the Incentive Date, the Owner shall not be eligible, and the County shall not be obligated to pay the Incentive Payment. f. County agrees to compensate the Owner at Closing, for the cost of County Planning process application fees, the sum of Six Thousand Six Hundred Fifty Dollars ($6,650.00) to assist Owner with the cost of subdividing and rezoning a portion of their property. Said sum represents a Recorded Exemption process application fee of One Thousand Dollars ($1,000) and a Change of Zone process application fee of Five Thousand Six Hundred Fifty Dollars ($5,650). Application for subdivision and rezoning of the property shall be at the sole discretion and time frame of the Owner, and no assurances are made or implied as a part of this compensation that the Recorded Exemption and/or Change of Zone will be approved by the County once pursued by the Owner. g. County agrees to compensate the Owner at Closing, for the cost of land surveying fees, the sum of Five Thousand Dollars ($5,000.00) to assist Owner with the cost of subdividing and rezoning a portion of their property. Application for subdivision and rezoning of the property shall be at the sole discretion and time frame of the Owner, and no assurances are made or implied as a part of this compensation that the Recorded Exemption and/or Change of Zone contemplated under Section 11.1 .f. will be approved by the County once pursued by the Owner. County agrees to compensate the Owner at Closing, for the cost of consultant fees, the sum of Three Thousand Six Hundred Dollars ($3,600.00) to assist Owner with the cost of subdividing and rezoning a portion of their property. i. As a condition of the settlement, Owner waives the option to obtain an independent appraisal pursuant to Colorado Revised Statue 38-1-121. 2. The parties acknowledge and agree that said purchase price represents full, fair and valuable consideration. Ill. PUBLIC ROAD RIGHT(S)-OF-WAY 1. Owner agrees to grant the Public Road Right -of -Way to the County by Special Warranty Deed as provided in Exhibit A-RW. 2. Owner shall deliver the fully executed Special Warranty Deed for the Public Road Right - of -Way to County at the date of closing which shall be no later than thirty (30) days following mutual execution of this Agreement. The Special Warranty Deed shall not be valid until accepted and approved by the Board of County Commissioners. 3. Owner shall retain the mineral estate and any water rights currently attached to or associated with the Property, if any exists. IV. TEMPORARY CONSTRUCTION EASEMENT(S) 1. Owner hereby agrees to convey a Temporary Construction Easement (TCE) to the County covering all property described and depicted in, and subject to the terms provided in, Exhibit A-TE. 2. Owner shall not interfere with County's authorized use of the TCE during the term of the TCE. V. CLOSING 1. County shall not be liable for any monetary encumbrance associated with the Property prior to the date of closing. Owner shall pay any encumbrance associated with the Public Road Right of -Way and the Temporary Construction Easement which is required to he paid, including, but not limited to, a prorated amount of the property taxes, and any past due property taxes, (and interest and penalties thereon), on or before the date of closing when Owner delivers the Special Warranty Deed and Temporary Construction Easement to County. County shall at closing pay all fees associated with recording this Agreement, the Temporary Construction Easement, and/or the Special Warranty Deed. 4. County shall at closing pay all reasonable closing costs if there are any costs associated with closing on the real property. VI. MISCELLANEOUS: 1. This Agreement and the conveyance of the Property made pursuant to the terms herein, shall be binding upon all, and inure to the benefit of and be enforceable by the parties and their heirs, executors, administrators, successors, and assigns. 2. This Agreement shall be binding upon the Owner upon the date of signature by the Owner. This Agreement shall be binding upon the County upon approval by the Board of County Commissioners of Weld County, Colorado or its designee. 3. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §24-10-101 et seq., as applicable now or hereafter amended. 4. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 5. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. No oral representation, promise, or consideration different from the terms herein contained shall he binding on either party, or its agents or employees. This Agreement may be changed or supplemented only by a written instrument signed by both parties. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, Contractor agrees that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 7. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. VII. ADDITIONAL RESPONSIBILITIES: 1. Both parties agree that the access road to the existing oil and gas tank battery facility needs to be relocated, in order to maintain safety standards for the travelling public and users of the access road. Design and location of the relocated access road and fencing is shown on Exhibit B, attached hereto and made a part of. 2. Prior to the completion of Project construction, County agrees to construct approximately 980 linear feet of five (5) strand barbed wire fence along the easterly line of the Public Road Right -of -Way area depicted on Exhibit A-RW, and approximately 130 linear feet of five (5) strand barbed wire fence from said easterly line along the relocated access road to the access road gate as depicted on Exhibit B, to the County's right of way fence standard. The County's right of way fence standard is described in Exhibit C. County will remove the existing access road gate at the beginning of Project construction and reset it at the access road gate location depicted on Exhibit B. County will tie Owner's cross fences, if existing, with the new fence at said easterly line. All fences once constructed will be the Owner's property and shall be maintained by the Owner and their heirs, successors, and assigns. 3. Owner hereby grants Right of Entry to County and its contractors within the area shown on Exhibit B for County to construct the access road fence and reset the gate where these improvements are located outside of the TCE. The Right of Entry is conveyed from Owner to County immediately and shall be of no further force or effect one (1) year later. 4. County will construct a portion of the relocated access road from WCR 39 to the east edge of the TCE including asphalt paving from WCR 39 to the ROW/property line. County will also construct a concrete culvert for the relocated access road within the ROW. County will not construct any portion of the relocated access road outside of the TCE on the Owner's property. Owner will be responsible for constructing the relocated access road from the east edge of the TCE to the existing oil and gas tank battery facility, compensation for which is provided in paragraph ll.l .d. above. The access road gate must be installed a minimum of 100 -feet from the east shoulder of proposed WCR 39 as shown on Exhibit B and will be constructed by the County as described in Paragraph 2 above in order to ensure proper placement. Installation of the access road east of the TCE shall be at the sole discretion and expense of the Owner. 6. Removal, regrading and revegetation of the existing access road will be divided between the County and the Owner. County shall be responsible for the portion west of the TCE line and the Owner will be responsible for the portion east of the TCE line. Owner's removal responsibility shall be at the sole discretion and expense of the Owner. County will not perform any removal, regrading, or revegetation outside of the TCE on the Owner's property. 7. County shall coordinate with SRC Energy, Inc. to provide access to the existing oil and gas tank battery facility on Owner's property during construction of the Project. Owner shall provide current contact information for SRC Energy, Inc. to County upon acceptance of this Agreement.
