"Lease")

To Whom it May Concern,
In connection with the sale by Extraction Oil & Gas, Inc. ("Seller") to Verdad Resources LLC ("Buyer"),
whose address is 5950 Cedar Springs Road, Suite 200, Dallas, Texas 75235, of certain oil and gas and
related assets in Colorado, including the above referenced Agreement ("Agreement"), Seller desires to
assign, convey and transfer to Buyer all of its rights in the Agreements and the oil and gas property burdened
thereby or subject thereto.
Pursuant to the Agreement, Seller hereby requests your consent to the assignment by Seller of its right, title
and interest in the Agreement listed on Exhibit A and the oil and gas property burdened thereby or subject
thereto to Buyer, subject to the terms of this Agreement.
Please acknowledge your consent to and approval of the foregoing by signing and dating this letter
agreement in the space provided below and returning an executed copy of this letter agreement to:

Dear Pam,
I received your letter (attached) about the assignment from Extraction Oil & Gas, Inc. to Verdad Resources,
LLC. In order to process the assignment I will need a check from Extraction in the amount of $25. The
assignment fee is based on the year of the lease. I have also attached Ordinance NO. 84-E, effective 1-1-86,
showing the assignment fee for leases after that date as $25.00 (page 4, "Exhibit D," #8). After I receive the
check, I will put the assignment on our consent agenda for Commissioner approval. Please contact me with
