HomeMy WebLinkAbout20190788.tiffFINDINGS AND RESOLUTION RE: FINDINGS AND RESOLUTION CONCERNING APPLICATION FOR A TRANSFER OF OWNERSHIP FROM DEWEY'S BAR AND GRILL, LLC, DBA DEWEY'S BAR AND GRILL, TO R AND D 14 CORRIDOR, LLC, DBA DEWEY'S BAR AND GRILL, FOR A HOTEL AND RESTAURANT (COUNTY) LIQUOR LICENSE, AND AUTHORIZE CHAIR TO SIGN The application of R and D 14 Corridor, LLC, dba Dewey's Bar and Grill, 41611 Marble Avenue, Stoneham, Colorado 80754, for a Hotel and Restaurant (County) Liquor License, came on for hearing on the 20th day of February, 2019, at 9:00 a.m., and the Board of County Commissioners of Weld County, Colorado, having heard the testimony and evidence adduced at said hearing, having considered the testimony, evidence and remonstrances filed with said Board, and having carefully weighed the same, now makes the following findings: 1. The evidence discloses that the applicant has sustained the burden of proof as to the desires of the inhabitants. 2. The applicant is of good character and reputation. 3. The applicant has proven the reasonable requirements of the neighborhood. RESOLUTION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has considered the application from R and D 14 Corridor, LLC, dba Dewey's Bar and Grill, 41611 Marble Avenue, Stoneham, Colorado 80754, for a Transfer of Ownership of a Hotel and Restaurant (County) Liquor License, said license previously being held by Dewey's Bar and Grill, LLC, dba Dewey's Bar and Grill, for the sale of malt, vinous, and spirituous liquors for consumption by the drink on the premises only, subject to the rules and regulations found in Article 3, Title 44, C.R.S., and WHEREAS, pursuant to Exhibit 5-H of the Weld County Code, said applicant has paid to the County of Weld the sum of $825.00 for the transfer of an existing Hotel and Restaurant (County) Liquor License, and WHEREAS, due to the Findings of the Board of County Commissioners in this matter as stated herein, the Board deems it advisable to approve said application for the Transfer of Ownership of a Hotel and Restaurant (County) Liquor License for R and D 14 Corridor, LLC, dba Dewey's Bar and Grill. c -c: SOC VSSlsr> Icic), C,ac (3c), c PPL. OCo((t/I9 2019-0788 LC0043 TRANSFER OF OWNERSHIP OF A HOTEL AND RESTAURANT (COUNTY) LIQUOR LICENSE - R AND D 14 CORRIDOR, LLC, DBA DEWEY'S BAR AND GRILL PAGE 2 WHEREAS, the Licensee shall host "responsible vendor" training every six (6) months as agreeable to the Colorado Department of Revenue Liquor Enforcement Division, and this training shall be open to other area licensees. Each employee shall be "responsible vendor" trained, and the Licensee shall provide documentary evidence that each employee has been "responsible vendor" trained to the Weld County Sheriff's Office within thirty (30) days of the fist available "responsible vendor" class after hiring. Evidence of such shall be included in the referral report submitted by the Sheriff's Office at the time of annual renewal. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that having examined said application, the qualifications of the applicant, and the testimony of those present at the hearing, does hereby grant License Number 2019-04 to said applicant to sell malt, vinous, and spirituous liquors for consumption by the drink on the premises only, and the Board does hereby authorize and direct the issuance of said license by the Chair of the Board of County Commissioners, attested to by the Clerk to the Board of Weld County, Colorado, which license shall be in effect until June 3, 2020, providing that said place where the licensee is authorized to sell malt, vinous, and spirituous liquors for consumption by the drink on the premises only, shall be conducted in strict conformity to all of the laws of the State of Colorado and the rules and regulations relating thereto, per Article 3, Title 44, C.R.S., heretofore passed by the Board of County Commissioners of Weld County, Colorado, and any violations thereof shall be cause for revocation of the license. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said application and license. While there, I made an on - site inspection regarding the Liquor License and Dance Hall License applications filed. The Liquor License application is for a Hotel and Restaurant (County) Liquor License. These items will be heard by the Board of County Commissioners as the Liquor Licensing and Dance Hall Licensing Authority for Weld County on Wednesday, February 20, 2019, at 9:00 a.m. My inspection revealed the following: 1. The proposed licensed premises are not directly connected to a different licensed premises, pursuant to C.R.S. §44-3-301(3)(a). 2. The diagram of the proposed licensed premises is correct. 3. There are no other Hotel and Restaurant (County) Liquor Licensed premises in the neighborhood, pursuant to C.R.S. §44-3-301(2)(b). There are no other license types located in the immediate area. 4. There are no public or parochial schools, or principal campus of any college, university, or seminary within 500 feet of the proposed licensed premises, pursuant to C.R.S. §44-3-313(1)(d)(I). The Hotel and Restaurant classification of license requires the sale of food, pursuant to C.R.S. §44-3-411(1)(a). The proposed premises has the capability of heating and serving meals, pursuant to C.R.S. §44-3-103(20). 6. The premises are equipped with sufficient water, lighting, parking and restroom facilities to accommodate the number of persons expected to attend dances thereon. The premises are not in a state of disrepair and are not a safety hazard to persons expected to attend dances thereon. The premises consist of an enclosed structure, and the structure is sufficient in size and fire rating to safely accommodate the number of persons expected to attend dances therein, and all requirements of the applicable fire department, district or authority have been met. The premises are capable of being accessed from a public road, street or highway safely without causing an increased risk of accidents, pursuant to Section 12-6-40 of the Weld County Code. 7. The sign noticing the place, date, and time of the hearing for the Liquor License application and Dance Hall License was posted by the applicant in such a manner that the notice was conspicuous and plainly visible to the public, when I was there at approximately 11:00 a.m. on February 7, 2019. LEGAL DESCRIPTION. The legal description for the Premises is: Lots Ten (10), Eleven (11) , and Twelve (12), Block Three (3), Town of New Stoneham, Weld County, Colorado TERM. The lease term will begin on January 07, 2019 and will terminate on January 07, 2020. RENT DEPOSIT AND PAYMENTS. This Lease may be modified or amended in writing, if the writing is signed by Landlord and Tenant. SEVERABILITY. If any portion of this Lease shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Lease is invalid or unenforceable, but that by limiting such provision, it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. WAIVER. The failure of either party to enforce any provisions of this Lease shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Lease. The involuntary withdrawal of a Member will result in the dissolution of the Company. Dissociation of a Member 29. Any remaining Members retain the right to seek damages from a dissociated Member where the dissociation resulted from a malicious or criminal act by the dissociated Member or where the dissociated Member had breached their fiduciary duty to the Company or was in breach of this Agreement or had acted in a way that could reasonably be foreseen to bring harm or damage to the Company or to the reputation of the Company. In the event that a Member's interest in the company is transferred or assigned as the result of a court order or Operation of Law, the trustee in bankruptcy or other person acquiring that Member's interest in the Company will only acquire that Member's economic rights and interests and will not acquire any other rights of that Member or be admitted as a Member of the Company or have the right to exercise any management or voting interests. Valuation of Interest 31. Where the Company consists of two or more Members, a Member's financial interest in the Company will be in proportion to their Capital Contributions, inclusive of any Additional Capital Contributions. 32. In the absence of a written agreement setting a value, the value of the Company will be based on the fair market value appraisal of all Company assets (less liabilities) determined in accordance with generally accepted accounting principles (GAAP). This appraisal will be conducted by an independent accounting firm agreed to by all Members. An appraiser will be appointed within a reasonable period of the date of withdrawal or dissolution. The results of the appraisal will be binding on all Members. 33. No allowance will be made for goodwill, trade name, patents or other intangible assets, except where those assets have been reflected on the Company books immediately prior to valuation. Dissolution 34. The Company may be dissolved by a unanimous vote of the Members. The Company will also be dissolved on the occurrence of events specified in the Act. 35. A copy of the Company federal, state, and local income taxes for each year; c. Name and last known business. residential, or mailing address of each Member, as well as the date that person became a Member; d. The cash, property, and services contributed to the Company by each Member, along with a description and value, and any contributions that have been agreed to be made in the future. 38. Each Member has the right to demand, within a reasonable period of time, a copy of any of the above documents for any purpose reasonably related to their interest as a Member of the Company, at their expense. Books of Account 39. Accurate and complete books of account of the transactions of the Company will be kept in accordance with generally accepted accounting principles (GAAP) and at all reasonable times will be available and open to inspection and examination by any Member. The books and records of the Company will reflect all the Company's transactions and will be appropriate and adequate for the business conducted by the Company. Company funds will be held in the name of the Company and will not be commingled with those of any other person or entity. Audit 41. Any Member will have the right to request an audit of the Company books. The cost of the audit will be borne by the Company. The audit will be performed by an accounting firm acceptable to all the Members. Where the Company consists of two or more Members, not more than one (1) audit will be required by any or all of the Members for any fiscal year. Tax Treatment 42. This Company is intended to be treated as a corporation for the purposes of Federal and State Income Tax. Annual Report 43. As soon as practicable after the close of each fiscal year, the Company will furnish to each Member an annual report showing a full and complete account of the condition of the Company including all information as will be necessary for the preparation of each Member's income or other tax returns. This report will consist of at least: a. A copy of the Company's federal income tax returns for that fiscal year; and b. Income statement. Goodwill 44. The goodwill of the Company will be assessed at an amount to be determined by appraisal using generally accepted accounting principles (GAAP). Governing Law 45. No Member will have the right or authority to bind or obligate the Company to any extent with regard to any matter outside the intended purpose of the Company. 50. No Member may confess a judgment against the Company. 51. Where the Company consists of two or more Members, any violation of the above forbidden acts will be deemed an Involuntary Withdrawal of the offending Member and may be treated accordingly by the remaining Members. Indemnification 52. The Member will be indemnified and held harmless by the Company from and against any and all claims of any nature, whatsoever, arising out of the Member's participation in Company affairs. The Member will not be entitled to indemnification under this section for liability arising out of gross negligence or willful misconduct of the Member or the breach by the Member of any provisions of this Agreement. Liability 53. A Member or any employee will not be liable to the Company or to any other Member for any mistake or error in judgment or for any act or omission believed in good faith to be within the scope of authority conferred or implied by this Agreement or the Company. The Member or employee will be liable only for any and all acts and omissions involving intentional wrongdoing. Liability Insurance 54. The Company may acquire insurance on behalf of any Member, employee, agent or other person engaged in the business interest of the Company against any liability asserted against them or incurred by them while acting in good faith on behalf of the Company. No amendment or modification of this Agreement will be valid or effective unless in writing and signed by all Members. Title to Company Property 57. Title to all Company property will remain in the name of the Company. No Member or group of Members will have any ownership interest in Company property in whole or in part. Miscellaneous 58. Time is of the essence in this Agreement. 59. This Agreement may be executed in counterparts. 60. Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa. Words in the masculine gender include the feminine gender and vice versa. Words in a neutral gender include the masculine gender and the feminine gender and vice versa. 61. If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, it is the parties' intent that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable and the remainder of the provisions of this Agreement will in no way be affected, impaired or invalidated as a result. 62. This Agreement contains the entire agreement between the parties. All negotiations and understandings have been included in this Agreement. The Liquor License Application Fillable Checklist is just a tool for you to use while you are compiling documents. b. DR 8404 — Retail License Application: This is the main application to transfer a liquor license. c. DR 8404-I — Individual History Record: This form is required to help us assess the character of applicants. You need to complete this form, and if you have a manager other than yourself, your manager needs to complete this as well. d. DR 8442 — Permit Application and Report of Changes: You only need to complete this form IF you have a manager other than yourself. e. DR 8004 — Wholesaler's Affidavit of Compliance: You need to have each of Margie's current wholesaler's complete this form. 2. Yes, you need to submit both the lease to purchase agreement and the operating agreement.
