Box 758 Greeley, CO 80631 Re: Application for a Site Specific Development Plan and Use by Special Review Permit for Mountain Breeze and Panorama Wind Energy Facility, Weld County, Colorado. Dear Commissioners: This firm represents CoBank, FCB (``CoBank") in connection with the Site Specific Development Plan and Use by Special Review Permit Application ("Application") for the Mountain Breeze and Panorama Wind Energy Facility ("Project"). The Application was submitted by Leeward Renewable Energy Development, LLC; Mountain Breeze Wind, LLC; and Panorama Wind, LLC (collectively, the "Applicant"). CoBank is a mineral rights holder within a portion of or near the boundaries of the proposed Project site. CoBank received a notice from the Applicant indicating that a public hearing on the Application before the Weld County Planning Commission is scheduled on May 7, 2019. CoBank is the owner of minerals in the locations listed in Attachment A to this letter. CoBank objects to the Application on the grounds that the Project as proposed may adversely impact CoBank's ability to develop its subsurface mineral interests. To address this concern, CoBank currently is working with the Applicant to negotiate an agreement with the Applicant to resolve the parties' respective rights to surface occupancy within CoBank's mineral parcels. CoBank expects to withdraw its objection assuming the Applicant and CoBank are able to reach agreement before the final approval of the Application. CoBank offers the following further explanation of its objection for the written record. Mineral Interest Owners Have a Right to Reasonable Use of the Surface Under Colorado law, mineral interest owners have a right to reasonable use of the surface to access and develop their mineral interests without compensation to the surface owner.' This right includes rights of ingress, egress, exploration, and surface usage as reasonably necessary to the successful exploitation of the mineral interests.2 Colorado Oil and Gas Conservation Commission rules and orders determine the locations where mineral interest owners may drill in the absence of any contractual agreements with the surface owner. Magness, 960 P.2d 913, 926 (Colo. 1997). 2 Icy Kaplan Kirsch & Rockwell LLP Attorneys at Law 1675 Broadway Suite 2300 Denver, CO 80202 tel: 303.825.7000 fax: 303.825.7005 kaplankirsch.com Members of the Weld County Board of County Commissioners May 6, 2019 Page 2 determine if the location of the Project facilities will interfere with CoBank's right to reasonable use of the surface in connection with the development of its mineral rights The Surface Development Notification Act Requires Reasonable Use to be Determined in the Land Use Approval Process Colorado has enacted a statute known as the "Surface Development Notification Act "3 The Act states that it is intended to "provide a streamlined procedure for providing notice to owners of mineral interests concerning impending surface development and to facilitate the negotiation of a surface use agreement providing for the joint use of the surface and a mechanism for resolution if an agreement is not reached "4 The Act also states that, so long as surface developers have notified mineral interest owners of their applications for development in accordance with the Act (and otherwise complied with the Act) mineral interests owners, like CoBank "shall not have any legal or equitable remedy or relief [against the surface developer] arising from, in connection with, or otherwise relating to the application for development, any development activities commenced on the surface of the real property, any inability or impediment or other hindrance to drilling operations or other development of the mineral estate or any portion thereof "5 The Act therefore forces mineral interest owners to appear and/or object and seek conditions or terms in the development permit during the land use approval process to protect their rights of reasonable use Otherwise, the ability of a mineral interest owner to protect its legal rights later may be diminished CoBank has no reason to think it will not reach agreement with the Applicant prior to final approval of the Application However, if CoBank is unable to reach agreement with the Applicant, CoBank reserves the right to request a permit condition pursuant to Weld County Code § 21-3-340 (A)(19), which provides The Board of County Commissioners shall approve an application for permit for site selection and construction of a major facility of a public utility (with reasonable conditions, if any, in the discretion of the Board of County Commissioners) only if the proposed site selection and construction complies with the following criteria The applicant has obtained or will obtain all property rights, permits and approvals necessary for the proposed project, including surface, mineral and water rights and easements for drainage, disposal, utilities, access, etc If the applicant has not obtained all necessary property rights, permits and approvals, the Board may, at its 3 C R S §§ 24-65 5-101 to -105 4Id §24-65 5-101 5 Id §24-65 5-104(1)(a)(emphasis added) Members of the Weld County Board of County Commissioners May 6, 2019 Page 3 discretion, grant the permit conditioned upon completion of the acquisition of such rights prior to issuance of a zoning or building permit by the County.
