AND AUTHORIZE COMMISSIONER MORENO TO SIGN - HEIN FAMILY, RLLLP
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Agreement, Deed of
Dedication, and Closing Statements, for Purchase of Right -of -Way and Easements for Property,
being more particularly described as follows:
7800 CR 54, Johnstown, Colorado; Lot A of Recorded
Exemption, RE -2521; being part of NE1/4 of Section 29,
Township 5 North, Range 67 West of the 6th P.M., Weld
County, Colorado ("Property"), and
WHEREAS, the purchase of the Property, for the sum of $85,000.00, is desirable by
Weld County for roadway improvements to the intersection at County Roads 17 and 54, and
WHEREAS, after review, the Board deems it advisable to approve said Memorandum of
Agreement, Deed of Dedication, and Closing Statements, copies of which are attached hereto
and incorporated herein by reference, and
WHEREAS, the Board desires to elect Commissioner Moreno as Acting Chair Pro -Tern
of the Board for purposes of signing of the closing statements for said property purchase, in the
absence of the duly elected Chair and Chair Pro -Tern.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Agreement, Deed of Dedication, and Closing
Statements, for Purchase of Right -of -Way and Easements for Property at 7800 CR 54,
Johnstown, Colorado, regarding land as further described above, be, and hereby are, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said Memorandum of Agreement and Deed of Dedication.

BE IT FURTHER RESOLVED by the Board of County Commissioners of Weld County,
Colorado, that Commissioner Moreno be, and hereby is, elected to serve as Acting Chair Pro -Tern
of the Board of County Commissioners of Weld County, Colorado, for purposes of signing of the
closing statements for said property purchase on December 13, 2019.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 16th day of December, A.D., 2019, nunc pro tunc December 13, 2019.

MEMORANDUM OF AGREEMENT
This Memorandum of Agreement ("Agreement") is made between the WELD COUNTY
("County" or "Buyer"), and Hein Family RLLLP (the "Landowner" or "Seller"), whose
address is 7800 WCR 54, Johnstown, CO 80534, effective as of the date of the last party's
signature below, i.e. mutual execution (the "Effective Date"). The County and the Landowner
are, from time to time, referred to hereinafter individually as a "Party" or collectively as the
"Parties."
1. Parties and Property. Landowner is the owner of certain property, whose
physical address is 7800 WCR 54, Johnstown, CO 80534. Landowner owns a parcel of real
property containing the property described in Exhibit A, (hereinafter referred to as "Right of
Way"), and in Exhibit B (hereinafter referred to as "Permanent Easements") and described in
Exhibit C (hereinafter referred to as "Temporary Construction Easement") which are attached
hereto and incorporated herein by this reference (the "Property"). The County is acquiring the
described Right of Way, Permanent Easements and Temporary Construction Easement as part of
its roadway improvements to the Weld County Road 54 and Weld County Road 17 Intersection
for Weld County Project No. SRP-30 ("Project"). It is also understood that the County shall rely
upon the terms of this Agreement and may expend funds and labor in furtherance of the Project
based upon that reliance.
2. Condemnation. Landowner has entered into this Agreement because the County
has the power of eminent domain and requires the Property for a public purpose. The purpose of
the Agreement is to allow the County to proceed with its Project without delay and to allow the
Landowner and the County to avoid unnecessary litigation. Upon execution of the Agreement,
the County shall promptly dismiss the condemnation proceeding - Case No. 19CV30889, Board
of County Commissioners, on behalf of the County of Weld v. Hein Family Registered Limited
Liability Partnership, et al.
3. Purchase Price and Terms. The purchase price for Right of Way, Easements
and any damages shall be $85,000.00, plus closing costs, to be paid by the County at closing in
funds which comply with all applicable Colorado laws, which includes cash, electronic transfer
funds, certified check, savings and loan teller's check, and cashier's check.
4. Date of Closing. The date of closing shall be on December 12 or 13, 2019 ("Date
of Closing"). The hour and place of closing shall be as designated by agreement of the Parties.
5. Transfer of Title. Subject to tender or payment at closing as required herein and
compliance by the County with the other applicable terms and provisions hereof, Landowner
shall execute and deliver a good and sufficient Deed of Dedication for the Public Road Right of
Way, and grant Permanent Easements and Temporary Construction Easement to the County in
the forms attached hereto as Exhibits A, B, and C , and incorporated herein by this reference.

The Deed of Dedication shall state that Landowner is retaining the mineral interest in the
Property and water rights associated with the Property.
6. Irrigation. The County is moving the Landowner' s irrigation system as part of
the Project construction. The design of that irrigation system is shown in the construction
drawings which are attached as Exhibit D and incorporated herein by reference. If the County
or its contractors damage Landowner's irrigation system as part of the Project construction, the
County or its contractors shall repair such damage promptly and compensate Landowner for any
damages to Landowner's property as a result of such damage, until such time as the repairs have
been completed, as long as such expenses are reasonable and justifiable.
7. Landowner Sprinkler System. The County shall coordinate with Valley
Irrigation of Greeley to automate the water control on the Landowner's sprinkler system
overhang so as to shut the water off on the entire overhang when the County needs to keep the
areas described in Exhibits A and C dry. This modification to Landowner's sprinkler system
shall be completed no later than April 1, 2020 (shut off, move and reconnection Landowner's
sprinkler system), as part of the Project, at the County's cost in accordance with the quote dated
October 10, 2019, provided to the County on that date. See Exhibit E. The amount to be billed
to the County includes the "Pivot Total" and "Elec Total" on the quote. The "Backhoe Total" is
already included in the County's scope of work for the irrigation construction associated with the
project and should not be billed to the County separately. This will be billed to the County by
Valley Irrigation of Greeley and paid directly to Valley Irrigation of Greeley by the County. If
Landowner's sprinkler system is not operational by April 1, 2020, the County shall compensate
Landowner for any additional crop damages not contemplated in Landowner's appraisal by
Clayton & Co. dated October 31, 2019.
8. Prorations and Closing Costs. General taxes for the Right of Way for the year
of closing, based on the taxes for the calendar year immediately proceeding closing shall be
prorated to the Date of Closing. Buyer shall be solely responsible for all closing costs associated
with the transaction contemplated hereby, including but not limited to title insurance, recording
fees, escrow fees, and transfer taxes, if any.
9. Clayton & Co. Appraisal. The County shall promptly pay for Landowner's
appraisal completed by Clayton & Co., dated. October 31, 2019, and issue such payment directly
to Clayton & Co.
10. Authority. Landowner represents and warrants: (i) that the person(s) executing
this Agreement on behalf of Landowner has the full authority to execute and deliver this
Agreement; (ii) that it has all power and authority to enter into this Agreement and the perform
the terms set forth herein; (iii) that it has taken all requisite action in order to authorize the same;
(iv) that upon such section and delivery, this Agreement will be enforceable against Landowner
in accordance with its terms; and (v) that by entering into this Agreement and performing the
obligation hereunder, Landowner will not violate any contracts, leases, or other third party
agreement to which it may be subject.

11. Seller to Complete Transaction. In addition to the obligations of Landowner set
forth herein, Landowner shall perform, or cause to be performed, on or after closing, any and all
further acts as may be reasonably necessary to consummate the transactions contemplated
hereby. In the event Seller fails to perform any act required herein including, but not limited to,
conveying the Property as set forth above, the County shall have the right, but not the obligation,
to obtain specific performance thereof in addition to any other remedy available under applicable
law.
12. Buyer Acknowledgement. The County affirms that, prior to executing this
Agreement, it conducted such due diligence and inspections of the Property it deemed necessary
and appropriate for a transaction of this sort, and that the County accepts the Property in its
present "as is" condition.
13. General Provisions.
A. Entire Agreement. This Agreement embodies the whole agreement between
the Parties, and there are no promises, terms, conditions, or obligations
referring to the subject matter hereof, other than as herein contained.
B. Binding Agreement; Assignment. As of the Effective Date, this Agreement
shall be deemed a contract extending to and binding upon the Parties and upon
their respective heirs, devisees, executors, administrators, legal
representatives, successors and assigns; provided however that any
assignment of this Agreement may occur only upon the County's prior written
consent.
C. Governing Law and Venue; Attorney Fees. This Agreement shall be
interpreted and enforced under the laws and judicial decisions of the State of
Colorado. The Parties agree and stipulate that the County and District Courts
situated in Weld County, Colorado, shall have jurisdiction over any and all
disputes which may arise under this Agreement and the enforcement hereof
and that venue in such courts shall be proper. In the event any action or other
proceeding is commenced to enforce the terms hereof, the prevailing party
shall be entitled to recover its reasonable attorney fees and costs incurred in
connection with such action or proceeding.
D. No Third -Party Beneficiaries. It is expressly understood and agreed that
enforcement of the terms and conditions of this Agreement and all rights of
action relating to such enforcement shall be strictly reserved to the Parties. It
is the express intention of the Parties that any person other than the County
and Landowner shall be deemed to be only an incidental beneficiary under
this Agreement.

E. No Waiver. The waiver of any breach of a term, provision or requirement of
this Agreement shall not be construed or deemed as a waiver of subsequent
breach of such term, provision or requirement of any other term, provision or
requirement.
F. Counterparts. This Agreement may be executed in any number of
counterparts, each of which shall be deemed to be an original and all such
counterparts taken together shall be deemed to constitute one and the same
instrument.
G. Acknowledgement Open Records Act — Public Document. Landowner
hereby acknowledges that the County is a public entity subject to the Colorado
Open Records Act, C.R.S. § 24-72-201, et seq.
H. Mediation. If a dispute arises relating to this Agreement (whether prior to or
after Closing) and is not resolved, before instituting any civil action to enforce
this agreement, the parties must first proceed, in good faith, to mediation. The
parties will jointly appoint an acceptable mediator and will share equally in
the cost of such mediation.
14. Landowner may record this Agreement and the rights and obligations created
herein shall run with the land.

E. No Waiver. The waiver of any breach of a term, provision or requirement of
this Agreement shall not be construed or deemed as a waiver of subsequent
breach of such term, provision or requirement of any other term, provision or
requirement.
F. Counterparts. This Agreement may be executed in any number of
counterparts, each of which shall be deemed to be an original and all such
counterparts taken together shall be deemed to constitute one and the same
instrument.

said utility lines and related fixtures and devices, and to remove objects interfering therewith, including the trimming or felling of
trees and bushes. The Grantor reserves the right to use and occupy the easement for any purpose consistent with the rights
and privileges above granted and which will not interfere with or endanger any of the said Company's facilities therein or use
thereof. Such reservations by the Grantor shall in no event include the right to erect or cause to be erected any buildings or
structures upon the easement granted or to locate any mobile home or trailer units thereon. In case of the permanent
abandonment of the easement, all right, privilege, and interest granted shall terminate.
Access to the easement shall be by way of the adjacent public road.
The work of installing and maintaining said lines and fixtures shall be done with care; the surface along the easement shall be
restored substantially to its original level and condition.

acknowledged, do(es) hereby grant unto Poudre Valley Rural Electric Association, Inc., ("Association") a Colorado cooperative
association, whose post office address is Fort Collins, Colorado, and to its successors and assigns, a perpetual right-of-way and
easement, upon these particularly described lands of the Grantor ["Easement Area"]:

for the purposes of constructing, reconstructing, inspecting, upgrading, increasing voltage or line capacity, modifying, operating, repairing,
maintaining, and extending from time to time an underground electric line or system !including without limitation any communications facilities,
fiber optic facilities, wireless transmitters and receivers and phone line carrier equipment and other communication equipment of any kind of
the Association or its assigns!, including without limitation above and below ground fixtures, structures, conductors, cables, wires, arrestors,
footings, conduits, above and below ground vaults, above and below ground transformers, above and below ground pads, and above and below
ground enclosures !collectively "Facilities" j, on, over or under the Easement Area. Grantor, and Grantor's heirs, successors, personal
representatives and assigns, also grants to the Association the following rights and Grantor, and Grantor's heirs, successors, personal
representatives and assigns, agrees to the following provisions:
A. For the purposes of cutting, mowing, trimming, or controlling by chemical means, from time to time, trees, bushes and shrubbery
located within the Easement Area and outside the Easement Area for a reasonable distance from the centerline of said line or system
and to cut down all dead, weak, leaning or dangerous trees or limbs in or adjacent to the Easement Area as may, in the opinion of the
Association or its assigns, otherwise endanger the Facilities.
B. Grantor shall not construct or permit the construction of any temporary or permanent buildings, structures (including without
limitation trailers or mobile homes), signs, or wells on, under, or over the Easement Area or that impair or impede the access of the
Association to its Facilities. No other objects shall be erected, placed, or permitted to remain on, under, or over Easement Area by
Grantor, which will or may interfere with the Facilities installed on the Easement Area or interfere with the exercise of any of the
rights herein granted. Grantor shall not without the prior written approval of the Association, build, create, construct, nor allow to be
built, created, or constructed, any utilities, streets, curb and gutters, parking surfaces, trees, landscaping, fences, or similar
improvements, permanent or temporary, nor allow the impoundment of water on the Easement Area. Any of the improvements or
structures described in this Easement may be hereinafter called "Improvements." No failure by the Association to remove or
otherwise object to such Improvements shall be deemed to constitute consent on the part of the Association to such Improvements.
In addition, no such failure by the Association to remove or otherwise object to such Improvements shall be deemed a waiver of the
Association's right to remove any such Improvements without further notice or compensation to Grantor. Grantor shall not grant
any other easement, right-of-way, permit or license upon, under or over the Easement Area without the prior written consent of the
Association, which consent shall not be unreasonably withheld.
C. And grants to the Association and its assigns the right of access for ingress and egress over the lands above -described and the right
to use the roads or trails, whether public, private or dedicated, to install, maintain and use gates and fences presently installed or as
may be installed from time to time.
1). Grantor agrees that all Facilities installed by or for the Association shall remain the property of the Association, relocatable and
removable at the option of the Association.
E. Grantor shall not perform any act that will impair the structural integrity of, interfere with, or endanger the Facilities. Without limiting
the foregoing, Grantor shall not, without the prior written approval of the Association, alter the existing ground elevations or change
the compaction of the soil on the Easement Area. Non-use or a limited use of the Easement Area shall not prevent the Association
from thereafter making use of the Easement Area to the full extent herein authorized. Following completion of construction or
renovation of its Facilities on the Easement Area, the Association shall restore the surface of the Easement Area to as near a condition
as existed prior to such work as is reasonably practicable, taking into account, among other things, the existence of the Facilities and
the restrictions stated herein, including prohibitions or limitations on structures, trees, shrubs, and other objects. No amendment,
modification or supplement of this Easement shall be binding on the Association unless made in writing and executed by an authorized
representative of the Association (or its successor or assign, if applicable). The failure to enforce all or any portion of this Easement
by the Association shall not be deemed acquiescence or waiver by the Association of any of its hereby expressed rights.
F. Grantor warrants that Grantor is the owner in fee of the above described lands and will defend the title thereto against all claims,
and that said lands are free and clear of encumbr nces and liens of whatsoever character except the following

GRANT OF TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement (TCE), is made between Hein Family Registered Limited
Liability Limited Partnership, (referred to herein as "Owner", whether one or more), and the
County of Weld, a body corporate and politic of the State of Colorado, through its Board of County
Commissioners (referred to herein as "County"):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt
and sufficiency of which is hereby acknowledged, does hereby dedicate and convey unto County
a Temporary Construction Easement, covering that real property lying and being in the County of
Weld, State of Colorado, to wit:
The real property described and depicted on the attached Exhibit C.
Subject to the following conditions:
1. The TCE is conveyed from Owner to County immediately and shall expire and be of no
further force January 1, 2021 or upon the County's determination that the Project is
complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees, designees,
contractors, guests, invitees, successors and assigns, and all those acting by or on behalf of
the County for the purpose of surveying, appraising, establishing, laying, constructing,
reconstructing, installing, realigning, modifying, replacing, improving, adding, altering,
substituting, operating, maintaining, accessing, inspecting, patrolling, protecting, or
repairing the roadway improvements, including the storage of materials related to said
roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on, over,
under, and across the TCE from any adjacent property to which County has legal access,
for any and all purposes necessary and/or incident to the exercise by the County of the
rights granted to it hereunder. At the expiration of the term of this TCE, County shall
promptly repair any damage to Owner's property caused by County, its agents, employees,
contractors, guests, invitees, and all those acting by or on behalf of County so as to maintain
the Owner's property in substantially as good or better condition as existed prior to use by
County.
4. County agrees that any current access to the property from the Right -of -Way shall remain
open throughout the term of the TCE.
5. Owner shall not erect or construct, or allow to be erected or constructed, any building or
other structures on the property described in Exhibit C which may interfere with County's
full enjoyment of the rights hereunder; this Easement includes all rights and privileges as
are necessary or incidental to County's reasonable and proper use of said easement.
6. Owner agrees to limit farming (plowing, planting, irrigating, harvesting, etc.) to the TCE.
The TCE will be utilized for construction staging, materials storage, stockpiling and
utilities relocation. In addition, these areas will be utilized to construct temporary earthen
berms and ditches to control storm -water runoff and irrigation tailwater from entering the
work zone. After all the work is completed these areas will be returned to their original
condition with a layer of topsoil.
