RESOLUTION RE: APPROVE INTERGOVERNMENTAL AGREEMENT FOR CONTRIBUTION TO ROADWAY IMPROVEMENTS AND AUTHORIZE CHAIR TO SIGN - TOWN OF JOHNSTOWN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Intergovernmental Agreement for Contribution to Roadway Improvements between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and the Town of Johnstown, commencing upon full execution of signatures, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. Johnstown approved and signed the agreement on July 15th and is now requesting the Commissioners approve the IGA. The agreement is a proportional share partnership for paving WCR 50, which we currently share jurisdiction of with Johnstown, please refer to the attached vicinity map. Weld County agrees to contribute $360,000 to the project, which is equivalent to the county cost for Public Works crews to pave those portions within county jurisdiction. Therefore, we are requesting these funds be paid to Johnstown and the Board agree to petition the roadway for annexation on behalf of Johnstown, who in return agrees to annex the corridor and construct all the improvements simultaneously. Staff recommends authorization of signature on the IGA. CONTRIBUTION BY WELD COUNTY: WELD COUNTY agrees, upon receipt of an invoice from JOHNSTOWN, to pay to JOHNSTOWN the sum of $360,000.00 as a contribution to the PROJECT. WELD COUNTY agrees to petition the ROADWAY on behalf of JOHNSTOWN for annexation. 5. ANNEXATION OF ROADWAY BY JOHNSTOWN: Upon receipt of payment from WELD COUNTY, JOHNSTOWN agrees to annex the ROADWAY. 6. ENTIRE AGREEMENT: This writing, together with the exhibits attached hereto, constitutes the entire agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 7. NO THIRD -PARTY BENEFICIARY ENFORCEMENT: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in the Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be incidental beneficiary only. 8. SEVERABILITY: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision to the extent that this Agreement is then capable of execution within the original intent of the parties hereto. 9. MODIFICATION AND BREACH: No modification, amendment, notation, renewal, or other alteration of or to this Agreement shall be deemed valid or of any force or effect whatsoever, unless mutually agreed upon in writing by the undersigned parties. No breach of any term, provision, or clause of this Agreement shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party hereto, or waiver of, a breach by any other party, whether express or implied, shall not constitute a consent to, waiver of, or excuse for any other different or subsequent breach. 10. Matt LeCerf, the Town of Johnstown Manager, and Johnstown Mayor Gary Lebsack recently met with me and asked about the improvement of County Road 50 within their boundary, their desire to pursue a DOLA grant, and if the county would be interested in participating. It is my understanding that the county has endeavored to work with Johnstown in the past on the improvement of this roadway, but have been unsuccessful because Johnstown wanted the county to solely fund the paving of the road. Two things: 1. As a former representative of Johnstown, let me assure you that I was unaware of the county's willingness and Johnstown staff's response. 2. As you can see by Johnstown Manager Matt LeCerf's email below, inclusive of the attachments, Johnstown's willingness to participate in funding has more than changed. With this in mind, I am requesting a work session to discuss County Road 50 and Johnstown's DOLA application and whether the county is willing to participate. As a Johnstown resident I am sure you are aware of WCR 50. Also, part of this roadway is unpaved. Collectively in this section of approximately 9700', Weld County, Larimer County and the Town of Johnstown maintain various areas of this which seems very inefficient. Regardless, the Town back in 2017 took a proactive step in having this roadway engineered and designed to be paved for the betterment of the community and the region. Accordingly, I would like to propose an idea that may see this project to a positive conclusion for all of the entities involved in this roadway. I took the liberty of using the GIS systems online, and I have some general numbers and information to provide on the WCR 50 road project. Assuming the county boundary is split right down the middle and each entity have 30' of ROW on either side for 60' ROW I have the following information below. The total project estimate was $1,785,964.08 from March 2017. I haven't adjusted for cost increases which may be close to $2 million at this point, but based on the old number, this information will suffice and one can just take the percentages allocated below to come up with the increased cost based on construction increases over the 2 year period. Weld County Information Approximately 4305 linear feet of ROW is still in Weld County. Based on 50% of the ROW (not including Larimer Side) this accounts for 22.1% of the total ROW area they maintain along WCR 50. At the cost above, the share of the project for Weld County would be $396,318.32. Larimer County Information Approximately 1931 linear feet of ROW is still in Larimer County. Based on 50% of the ROW (not including Weld Side) they account for 9.95% of the total ROW area they maintain along WCR 50. At the cost above, their share of the project cost would be $176,810.44. Town of Johnstown Information Approximately 13,164 linear feet of ROW is annexed into Johnstown. The remaining balance of the project cost, the Town would be responsible for $1,212,835.32 — 67,.9%. What we are hoping is that each entity would be willing to participate, either through paying for their cost based on the percentages at the time of construction, or the Town would be amenable to covering the cost initially and being reimbursed over a 2-3 year period in subsequent fiscal years. We are also exploring the possibility of applying for the April 1 DOLA energy impact grant and this would help with the cost of the project substantially. We would apply for a $1 million dollar application, based on the $2 million dollar cost. The Town is looking for support on both endeavors to move this forward. After completion of the roadway project, the Town would annex the entire 60' ROW and take ownership and maintenance of the road in perpetuity. I have included the design drawings we have on the project already that are ready to bid which puts us in a very competitive position for our DOLA Application.
