CONSTITUTION
and
BY-LAWS
of
INTERSTATE ASSOCIATION OF PUBLIC LAND COUNTIES
ARTICLE I
NAME
This voluntary association shall be known as Interstate Association
of Public Land Counties.
ARTICLE II
PURPOSE AND OBJECTIVES
The purposes and objectives of this association shall be as follows:
1. To perpetuate and maintain the integrity of the county unit of govern-
ment as an essential part of our governmental structure.
2. To rationalize the relationship between local. state and federal
governments.
3. To secure legislation adequately compensating local government
for the financial loss sustained by the exemption of publicly owned land from
taxation, and to promote the efficient administration of such lands.
4. To provide a medium for cooperative action on the part of counties
in advancing common interests and promoting the foregoing objectives.
ARTICLE III
MEMBERSHIP
Membership in this association shall be limited to elective or appointive
county or state officials and to organizations of such officials.
ARTICLE IV
OFFICERS
Officers of this association shall be a President, a First Vice President,
a Second Vice-President, and a Secretary-Treasurer, who shall be elected
annually at the annual meeting of the association, who shall serve for one year,
hut in no event after they have ceased to be members of the association or
until their successors are elected and qualified. Duties of the officers shall
be as follows:
1. PRESIDENT: The President of the association shall preside over
all meetings of the association and of the executive committee. He shall,
between meetings of the executive committee, make interim decisions on
matters affecting the policies of the association and shall perform such other
duties as may be assigned to him by the executive committee.
2. VICE-PRESIDENTS: The First Vice-President shall preside at
meetings of the association and the executive committee in the absence of
the president, shall succeed to the office of president on the death, resig-
nation or disqualification of that officer, and shall perform such other duties
as may be assigned to him by the executive committee. The Second Vice-
President shall preside in the absence of the First Vice-President or the
President, with succession and duties as provided herein.
3. SECRETARY-TREASURER: The Secretary-Treasurer shall be the
custodian of the funds of the association, shall deposit such funds in a bank or
banks selected by the President and Secretary-Treasurer, and shall disburse
such funds in payment of obligations of the association when approved in the
manner prescribed by the executive committee. He shall keep a record of
all receipts and disbursements, shall make a financial report at each annual
meeting of the association and at each meeting of the executive committee.
Books of the Secretary-Treasurer shall be audited by a qualified public ac-
countant or by an auditing committee appointed by the President immediately
prior to or during each annual meeting. If no executive secretary be employed
by the association as authorized by these by-laws, the Secretary-Treasurer
shall be the recording officer of the association and shall keep an accurate

record of the proceedings of meetings of the association and of the executive
committee. He shall perform such other duties as may be assigned to him.
ARTICLE V
EXECUTIVE COMMITTEE
Between meetings of the members of the association, the business of
the association shall be conducted by an Executive Committee, which shall
consist of the President, First Vice-President, Second Vice-President, Secre-
tary-Treasurer, and the immediate Past President of the association, provided
he is a qualified member of the association, and one member from each state
having membership in the association, to be selected by the members of the
association in such state. The executive committee, shall, among other
things, have the following powers and duties:
1. Subject to the will of the association as expressed in meetings of the
membership, to formulate a program for the work of the association and to
issue statements of policy from time to time.
2. To employ a counsel, executive secretary and other assistants, to
fix their compensation, prescribe their duties and in general to direct their
activities.
3. To prepare an annual budget for submission to the association at
its annual meeting and to secure contributions from member state associations
or counties to finance such budget.
4. To fill vacancies in any of the offices of the association.
ARTICLE VI
C OUNSE L
The Counsel shall be the legal advisor of the association, and upon request
his services shall be available to the several state associations which are mem-
bers of the association. He shall carry on legislative research work, advise the
executive committee on pending public land legislation, prepare and present data
at hearings on such legislation and, under the direction of the executive com-
mittee, act as the legislative counsel of the association in all matters affecting
its public land program. He shall not commit the support or influence of the
association to any program or proposal which is not in harmony with the policies

adopted by the executive committee, and shall not accept employment which
shall be prejudicial to the objectives and policies of the association. His coin-
pensation shall be such as allowed by the executive committee.
ARTICLE VII
EXECUTIVE SECRETARY
The executive secretary shall keep adequate records of the proceedings
of the meetings of the association and of the executive committee. shall issue
bulletins from time to time on the progress of legislation and other matters
connected with the public land program of the association and the several mem-
ber state associations, shall assist the counsel and the executive committee in
the preparation of information for use at legislative hearings, shall confer with
and advise the executives of the several member associations, when requested
to do so, and shall perform such other duties as may be assigned to him by the
executive committee. His compensation shall be such as allowed by the execu-
tive committee.
ARTICLE VIII
MEETINGS
The annual meeting of the members of the association shall be held at a
time and place to be determined by the executive committee for the election
of officers and the transaction of other general business of the association.
Special meetings may be called by the executive committee, and shall be called
upon the request of three member state associations, such request to be in
writing and filed with the President and Executive Secretary.
All members of the association in attendance at any annual or special
meeting shall be entitled to vote: provided, that upon the request of any three
members prior to the vote on any question, the vote shall be by state units, in
which case each state having a member,of the association shall be entitled to
one vote, to be cast by a duly appointed representative of the membership of
such state.
The annual meeting of the executive committee shall be held at the time
of the annual meeting of the members. At least one other meeting of the execu-
tive committee shall be held during the fiscal year, but the committee may,

by a majority vote, decide to dispense with not more than one of such meetings.
Special meetings of the executive committee may be called by the President and
shall be called upon the request of three members of the committee. In the
event that any member of the executive committee shall be unable to attend any
meeting of the committee his state association shall select an alternate who
shall be entitled to a voice and vote at such meeting. Between meetings the
executive committee may vote by mail on any questions submitted to it by the
President.
ARTICLE DC
FISCAL YEAR
The fiscal year of the association shall begin on the 1st day of July and
shall end on the 30th day of June of the following calendar year.
ARTICLE X
AMENDMENTS
These by-laws may be amended by a majority vote of the state units at
any annual or special meeting of the membership, or by a majority vote of
the entire membership of the executive committee at any regular or special
meeting upon 30 days written notice prior to the meeting.
