Brief description of the issue:
The Department of Public Works received a request from the applicant, Noble Energy, Inc., requesting that the
Board of County Commissioners consider approving the Road Maintenance Agreement for (Comprehensive
Drilling Plan Consolidated WOGLA - companion to COGCC Docket No. 180700613). No collateral is required
with this agreement.
Weld County Public Works, Planning Services and the County. Attorney's Office have reviewed the
above -mentioned signed original document and observed the following:
• All Public Works related items, of the "Road Maintenance Agreement According To Policy", are found to
be acceptable.
This Agreement complies with the terms of the Comprehensive Drilling Plan Consolidated WOGLA -
companion to COGCC Docket No. 180700613.
What options exist for the Board?

THIS AGREEMENT is made this 0 day of , 201, by and between Noble
Energy, Inc., a corporation organized under the laws of the St to of Colorado, whose address is
2115 117th Ave, Greeley, CO 80634, hereinafter referred to as "No le," authorized to do business in the
State of Colorado, and the County of Weld, a body corporate and politic of the State of Colorado, by and
through its Board of County Commissioners, whose address is 1150 "O" Street, Greeley, Colorado 80631,
hereinafter referred to as "County."
WITNESSETH:
WHEREAS, Noble has been approved through the Colorado Oil and Gas Conservation
Commission for a Comprehensive Drilling Plan ("CDP"), COGCC Docket No. 180700613, and has
submitted multiple Weld Oil and Gas Location Assessments ("WOGLA") under a single comprehensive
permit (the "Consolidated WOGLA"), with sites located on the following described property in the County
of Weld, Colorado:

hereinafter referred to as "the Property," and
NOW, THEREFORE, IN CONSIDERATION OF the foregoing and of the promises and covenants
contained herein, the parties hereto promise, covenant and agree as follows:
PART I: SITE SPECIFIC PROVISIONS
A. Haul Routes: Noble shall be financially responsible for its Proportionate Share of the County's
costs associated with maintaining and/or improving haul/travel routes designated in this Agreement. With
respect to Noble's Proportionate Share, the haul/travel route covered by this Agreement is CR 34.
1.0 Haul Routes. Exhibit C is attached for reference and depicts the haul/travel routes currently
anticipated to be used for all of the proposed oil and gas locations contemplated in the CDP and
Consolidated WOGLA.
1.1 The following roads are designated as haul/travel routes for accessing the Consolidated
WOGLA locations: CR 34.
1) For those Consolidated WOGLA locations located in the Guttersen Ranch, Commercial
Vehicles shall access CR 49 by utilizing CR 34 between the Guttersen West Gate and the
CR 49 / CR 34 intersection. Commercial Vehicles shall then travel North / South on CR
49 as applicable.
1.2 Haul / travel routes for Consolidated WOGLA locations not described in 1.1 above (i.e.
not Guttersen Ranch locations), shall be designated at a future date and shall be the length
of roadway from each access point for each specific Consolidated WOGLA location to a
point'/2 mile away on such road.
1) Commercial Vehicles shall enter and exit each Consolidate WOGLA location under this
1.2 (i.e. other than Guttersen Ranch locations at approved access points and travel east -west
or/north-south to the nearest paved road for further dispersal.
1.3 Travel routes for designated haul / travel routes as described herein shall apply only to a
"Commercial Vehicle," which shall include semi -tractors and trailers, dump trucks,
construction equipment and tow trucks, but shall not include an automobile or light duty
truck.

2.0 Additional Routes / Travel Roads. Any County roads used by Commercial Vehicle traffic that are
determined to be associated with this Consolidated WOGLA locations in an annual traffic count study may
become a designated haul/travel routes.
3.0 Weight Limits. No travel vehicles may exceed CDOT required specifications for pounds -per -axle
and axle configurations unless overweight permits have been applied for and granted.
4.0 Temporary Deviations. In unusual or rare occasions, if deviations from the above -mentioned
haul/travel route are required for a limited period (six months or less), Weld County Public Works may
authorize, in writing, the deviation. In that circumstance, haul/travel vehicles will utilize paved county roads
whenever possible. A deviation from the established haul/travel route lasting more than six (6) months or
requests for one (1) or more deviations within a 12 -month period shall authorize the County to change the
haul/travel routes designated herein, and provide notice to Noble.
5.0 Haul Route Signage. Noble shall install travel route signs, if applicable, as per Manual of Uniform
Traffic Control Devices standards, at all exit points of the Property which can be clearly seen by drivers
leaving the facility and which clearly depict County approved travel routes. Within six (6) months of
approval of the Consolidated CDP WOGLA, Noble will install a stop sign exiting the Guttersen Ranch
access gate as the road enters CR 34. Noble will also install signs in both English and Spanish indicating
the haul route to proceed along CR 34. Noble will coordinate with the Weld County department of Public
Works to acquire the correct signage.
6.0 No Deviation from Permitted Haul Routes. Except as authorized by the Director of the Weld
County Department of Public Works or his/her designee pursuant to this Agreement, no use of any roads
in connection with the development of the Consolidated WOGLA locations other than those specifically
authorized for use in this Agreement is permitted by Commercial Vehicles without the prior written
amendment of this Agreement.
B. Maintenance Requirements:
1.0 Recurring Maintenance. Road maintenance of the designated haul / travel routes related to impacts
caused by the development contemplated in the Consolidated WOGLA, will be required and will be
reviewed each year in connection with a Maintenance Forecast during the six -year term of this Agreement.
2.0 Dust Control. Per Weld County Code Section 23-2-1O20.F.2, dust control measures shall be
employed as necessary during high traffic periods for both on -site and off -site haul roads, including
unpaved COUNTY roads when necessary and in consultation with the COUNTY's Department of Public
Works.
3.0 Repair. Noble shall be financially responsible for its Proportionate Share of excavation, patching,
and pavement repair on designated haul/travel routes in accordance with the Maintenance Forecast for such
haul/travel routes in a given year. The amount and extent of repair and paving measures will be determined
by site -specific conditions, as determined exclusively by County personnel.
4.0 Need for Immediate Repairs. In the event of damage to a designated haul/travel route by Noble
related to Consolidated WOGLA project traffic that causes an immediate threat to public health and safety
or renders the road impassible ("Significant Damage"), County shall, after inspection, notify Noble of such
Significant Damage. Noble shall consult with County on the extent, type, timing. materials and quality of
repair (i.e. temporary versus permanent) within twenty-four (24) hours after receipt of such notice. If Noble

identifies Significant Damage prior to receiving notice thereof from County, Noble shall notify County of
the damage.
5.0 Repair of Road. The County shall notify Noble if County staff has determined through site analysis
and/or pavement testing that a particular haul/travel route road portion will require paving measures in order
to protect the public health, safety, and welfare. Within ninety (90) days of its notice of the need to undertake
the road maintenance repairs and/or improvements. the County shall undertake the necessary repairs.
Noble's payment for its Proportionate Share of the road repairs/improvements will be calculated as
determined in this Agreement. Noble will be invoiced accordingly for those Proportionate Share costs.
6.0 Calculation of Noble's Proportionate Share of Costs. Noble's "Proportionate Share" of costs of
maintenance, repair, or improvements to the designated haul/travel routes shall be determined between the
County and Noble each year based on the data from a bi-annual traffic count study of all vehicles. For
2019, Noble's Proportionate Share shall be 12.5% of the total costs of such maintenance, repair, or
improvements, not to exceed $150,000. The 2019 Proportionate Share shall be prorated from the date that
this Agreement is signed until the end of the year. Noble agrees to pay such Proportionate Share of costs
within 60 days of receiving an invoice from County.
7.0 Bi-Annual Traffic Counts. If County requests, Noble shall provide a baseline traffic count study
for the CR 34 designated haul / travel route and thereafter may require bi-annual traffic count studies be
submitted with the cooperation of Noble. The purpose of the traffic count study shall be to continually
review the impact from the Consolidated WOGLA locations accessing at CR 34 and evaluate safety
concerns or future needs due to impact, traffic baselines and crash histories. A primary focus of the
collaborative review is to ensure adequate roadway safety and roadway network or intersection operations
upon development as contemplated in the Consolidated WOGLA. The County may redetermine Noble's
Proportionate Share at the end of a calendar year if the traffic count study conducted during such year
quantitatively support such redetermination based on Noble's use and traffic on the CR 34 designated haul
/ travel routes. If the traffic counts support an upwards or downwards adjustment to Noble's Proportionate
Share contribution, the County shall adjust for the following year. If during the course of developing the
CDP, a crash history (including known or documented near -crashes) develops at the intersection of CR 34
and CR 53, Noble will work with Weld County to determine and implement appropriate traffic mitigation
measures. County will review any potential future traffic studies and road maintenance obligations for
possible traffic increases along CR 34 associated to the CDP, and shall also account for the offsetting
benefits provided by Noble's CDP plan of reduced overall project traffic and emissions accomplished
through the installation of pipelines.8.0 Annual Road Inspection. County may conduct a road inspection
annually with the cooperation of Noble for the CR 34 haul / travel route designated in this Agreement. As
a result of the annual inspection, County shall provide a "Maintenance Forecast" report to Noble that shall
outline road conditions and shall determine what road repair/maintenance work is to be performed during
the extended construction season during a given year. Noble's Proportionate Share contribution in a given
year shall be based on actual costs incurred for road repair and maintenance as projected in the Maintenance
Forecast for such year, provided, Noble shall not be responsible for any Proportionate Share contribution
for any costs that exceed a given year's Maintenance Forecast by 20%. Notification to Noble of the required
roadway repairs and the Maintenance Forecast will be given as soon as the data become available.

PART II: GENERAL PROVISIONS
A. Collateral:
1.0 General Requirements for Collateral. If applicable, Noble shall provide to County collateral to
guarantee Noble's obligations under this Agreement. Collateral requirements and the acceptance and
release of Collateral shall be governed by the Weld County Code. No collateral is required at the time of
execution of this Agreement. Collateral may be required at the time that improvements become necessary
in accordance with the terms of the Weld County Code if ever, and in such amount and pursuant to such
terms as are reasonable and customary in similar situations to provide security for the obligations of Noble
under this Agreement.
B. Access and Right -of -Way Permits:
1.0 Access Permits. Upon entering into this Agreement, the Department of Public Works shall issue
any necessary access permits to Noble for the areas subject to this Agreement. Public Works may condition
the issuance of an updated access permit on the amendment of this Agreement if the updated access permit
authorizes the use of an additional access point, or if there is a change in use of the current access point, as
permitted by Article V of Chapter 12 of the Weld County Code.
2.0 Right -of -Way (ROW) Permits. According to the Weld County Code, any work occurring within
County ROW requires a ROW permit issued by the Department of Public Works. No work shall occur
without said ROW permit.
C. Enforcement and Remedies:
1.0 Violation of Terms of Agreement. If Noble has violated any of the terms of this Agreement, County
shall notify Noble of such violation and shall state with specificity the facts and circumstances which
County believes constitute the violation. Noble shall have fifteen (15) days within which to either cure the
violation or demonstrate compliance. If, after fifteen (15) days have elapsed, the violation is continuing and
Noble has not commenced efforts to remedy such alleged violation, County may consider Noble to be in
breach of this Agreement.
2.0 Remedies for Breach by Noble. In the event that Noble has violated the terms of this Agreement,
and has failed to correct said violation, County may exercise any or all remedy available in law or equity.
County may seek relief in law or equity by filing an action in the Weld District Court or Federal District
Court for the District of Colorado.
3.0 Rescission of WOGLA Permit. Per Weld County Code Section 23-2-1070, Noble acknowledges
that failure to comply with the terms of this Agreement constitutes cause to rescind the WOGLA Permit for
a location, and County may exercise this option by proceeding with rescission process under the current
provisions of the Weld County Code, provided, however, any such rescission shall only apply to the specific
location in violation of the applicable Weld County Code sections:
a. If at any time following the approval of a WOGLA the Department of Planning Services
determines that one (1) or more of the WOGLA standards set forth in Sections 23-2-1010 and 23-
2-1020 has not been met, the Planning Director shall notify the Operator of the OIL AND GAS
FACILITY of the failure to meet the standard(s). The Operator will be given thirty (30) days in
which to cure the failure to comply with the standard(s). If at the end of the thirty (30) days the

failure to comply with the standards has not been cured, a hearing shall be scheduled before the
Board of County Commissioners.
b. The Board of County Commissioners shall hold a public hearing to determine if one (1) or more
of the WOGLA standards set forth in Sections 23-2-1010 and 23-2-1020 has not been met. Upon
such a finding, subject to paragraph 3(c.) below, the Board may rescind the WOGLA and seek any
appropriate legal remedies to cease the USE of the OIL AND GAS FACILITY.
c. Rescission of any WOGLA location pursuant to this Agreement shall apply only to a specific
location under the Consolidated WOGLA where it has been determined under Section 23-2-1070
that such specific location has failed to meet the standard(s) set forth in Section 23-2-1010 and/or
Section 23-2-1020. Rescission shall not apply to the Consolidated WOGLA as a whole or any
other location(s) or future location(s) under the Consolidated WOGLA that has complied with the
standards set forth in Sections 23-2-1010 and 23-2-1020. Rescission of specific locations shall not
constitute a Termination of this Agreement.
4.0
events:
Termination of Agreement. This Agreement shall terminate upon the earliest of the following
4.1 Cessation of all Permit Related Activities. Termination of this Agreement shall occur upon
Noble's completion of major construction for drilling and completion activities of the facilities
contemplated under the Consolidated WOGLA (i.e. the Guttersen Ranch — CDP development).
Partial completion of major construction for drilling and completion construction activities shall
not constitute a Termination of this Agreement, nor shall County's issuance of a partial release
constitute a Termination. Noble shall inform the County in writing of the completion of the major
construction activities for drilling and completion, and the county shall confirm to cause
Termination of this Agreement.
4.2 Completion of Construction. This Agreement shall terminate following Noble's
completion of major drilling and completion construction activities authorized by the CDP. Noble
shall notify the County of completion.
D. General Provisions:
1.0 Successors and Assigns.
1.1 Noble may not delegate, transfer, or assign this Agreement in whole or in part, without the
prior express written consent of County and the written agreement of the party to whom the
obligations under this Agreement are assigned to assume such obligations. Consent to a delegation
or an assignment will not be unreasonably withheld by County.
1.2 County's rights and obligations under this Agreement shall automatically be delegated,
transferred, or assigned to any municipality which, by and through annexation proceedings, has
assumed jurisdiction and maintenance responsibility over all roads affected by this Agreement.
2.0 Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without
such provision, to the extent that this Agreement is then capable of execution within the original intent of
the parties.

3.0 Governmental Immunity. No term or condition of this contract shall be construed or interpreted as
a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of
the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended.
4.0 No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms
and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly
reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of
action whatsoever by any other person not included in this Agreement. It is the express intention of the
undersigned parties that any entity other than the undersigned parties receiving services or benefits under
this Agreement shall be an incidental beneficiary only.
5.0 Entire Agreement/Modifications. This Agreement including the Exhibits attached hereto and
incorporated herein, and taken together with the Consolidated WOGLA, contains the entire agreement
between the parties with respect to the subject matter contained in this Agreement. This instrument, taken
together with the Consolidated WOGLA, supersedes all prior negotiations, representations, and
understandings or agreements with respect to the subject matter contained in this Agreement. This
Agreement may be changed or supplemented only by a written instrument signed by both parties.
6.0 Board of County Commissioners of Weld County Approval. This Agreement shall not be valid
until it has been approved by the Board of County Commissioners of Weld County, Colorado or its
designee.
7.0 Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto,
shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included
or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null
and void. In the event of a legal dispute between the parties, the parties agree that the Weld County District
Court or Federal District Court for the District of Colorado shall have exclusive jurisdiction to resolve said
dispute.
8.0 Attorneys' Fees/Legal Costs. In the event of a dispute between County and Noble, concerning this
Agreement, the parties agree that each party shall be responsible for the payment of attorney fees and/or
legal costs incurred by or on its own behalf.
9.0 Release of Liability. Noble shall indemnify and hold harmless the County from any and all liability
loss and damage County may suffer as a result of all suits, actions, or claims of every nature and description
caused by, arising from, or on account of Noble's breach of this Agreement, and pay any and all judgments
rendered against the County on account of any such suit, action or claim, and notwithstanding Section 7.0
above, together with all reasonable expenses and attorney fees incurred by County in defending such suit,
action or claim.
10.0 Binding Arbitration Prohibited. Weld County does not agree to binding arbitration by any extra-
judicial body or person. Any provision to the contrary in this Agreement or incorporated herein by reference
shall be null and void.
11.0 Authority to Sign. Each person signing this Agreement represents and warrants that he or she is
duly authorized and has legal capacity to execute and deliver this Agreement. Each party represents and
warrants to the other that the execution and delivery of the Agreement and the performance of such party's
obligations hereunder have been duly authorized and that the Agreement is a valid and legal agreement
binding on such party and enforceable in accordance with its terms.

12.0 Acknowledgment. County and Noble acknowledge that each has read this Agreement, understands
it and agrees to be bound by its terms. Both parties further agree that this Agreement, with the attached or
incorporated Exhibits, and taken together with the Consolidated WOGLA, is the complete and exclusive
agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any
other communications between the parties relating to the subject matter of this Agreement.
13.0 Board Resolution Controls. Notwithstanding any other provision contained in this Agreement, for
any conflict or potential conflict between any term in this Agreement and the Resolution of the Board of
County Commissioners approving the underlying land use permit, the provisions of the Board's Resolution
shall control. In the event of a discrepancy between this agreement and the Weld County Code in effect at
the time of the agreement, the terms of the Weld County Code shall control.
