HomeMy WebLinkAbout20194792.tiffRESOLUTION RE: APPROVE AGREEMENT FOR RELOCATION OF GAS PIPELINE FOR COUNTY ROADS 17/54 INTERSECTION PROJECT AND AUTHORIZE CHAIR PRO-TEM TO SIGN - PUBLIC SERVICE COMPANY OF COLORADO (PSCO) WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Relocation of a Gas Pipeline for the County Roads 17/54 Intersection Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado (PSCo), commencing upon full execution of signatures, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for the Relocation of a Gas Pipeline for the County Roads 17/54 Intersection Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado (PSCo), be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair Pro -Tern be, and hereby is, authorized to sign said agreement. This pipeline needs to be moved approximately 50 feet further away from WCR54 to provide adequate area for the upcoming roadway improvements. Public Works and Xcel Energy have developed a proposed Agreement by which the County will provide a new easement area from one affected landowner and compensation for relocating the pipeline. The attached Agreement has been signed by Xcel Energy and has been reviewed by the County Attorney's Office. The proposed construction cost of the pipeline relocation is $195,792.83. The proposed completion time for the work is 60 days after work commences. Commencement of work is currently anticipated to be sometime in December 2019. What options exist for the Board? (include consequences, impacts, costs, etc. of options): • Allow the attached Agreement to be placed on the next available BOCC agenda for signature. • Request changes be made to the attached Agreement. • Request a work session to discuss. James Barbara Kirkmeyer, Chair Steve Moreno Approve Recommendation Work Session Other/Comments: Schedule CC. : Pc..> C OO/ M8) 2019-4792 1/O3/19 E.Xoo7ro AGREEMENT FOR RELOCATION OF GAS PIPELINE BETWEEN PUBLIC SERVICE COMPANY OF COLORADO AND WELD COUNTY FOR THE WELD COUNTY ROAD 17/54 INTERSECTION PROJECT THIS AGREEMENT, made and entered into this t'ay of (Lev. , 2019, by and between PUBLIC SERVICE COMPANY OF COLORADO, a Colorado corporation with Colorado offices at 1123 W. 3rd Avenue, Denver, CO 80223, (hereinafter called "PSCo") and THE COUNTY OF WELD, a political subdivision of the State of Colorado, by and through the Board of County Commissioners of the County of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County"). WITNESSETH: WHEREAS, to promote the safety of the citizens of County and other members of the travelling public, County has undertaken the construction of a public improvement project, known as the WCR17/54 Intersection Project, (hereinafter the "Project"), and WHEREAS, to construct the Project, County has acquired property rights from private property owners to utilize as WCR17 and WCR54 right-of-way, and PSCo easement, and WHEREAS, PSCo owns a 4 -inch gas pipeline located in WCR17 and WCR54 right-of- way, and its privately -owned easements, and WHEREAS, the properties burdened by PSCo's existing easements are within WCR17 and WCR54 right-of-way being acquired to complete the Project, and WHEREAS, PSCo is willing to remove the existing 4 -inch gas pipeline located in WCR17 and WCR54 right-of-way, and its privately -owned easements, and construct a new pipeline in a different location to facilitate the construction of the Project (the "Work"), and WHEREAS, in recognition of the costs which will be incurred by PSCo to relocate the pipelines and related facilities, County must reimburse PSCo for those reasonable expenses, and, WHEREAS, PSCo has the experience and expertise needed to relocate said pipeline and related facilities and is willing to do so subject to full reimbursement by the County for the cost incurred for said relocation. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. PSCo RIGHTS and RESPONSIBILITIES 1. PSCo Pipeline Relocation: PSCo shall relocate the existing 4 -inch gas pipeline as depicted on the Project Engineering Drawings, (copies of which are attached hereto as Exhibit A and by this reference made a part hereof). The existing pipeline shall be removed, and PSCo shall vacate those portions of its existing privately -owned easements which are no longer needed. The relocated pipeline will be located within a combination of newly acquired PSCo privately - owned easement, WCR17 and WCR54 right-of-way. Pipeline Relocation Not to Conflict with Improvements: PSCo shall relocate its pipelines and related facilities as described and shown on Exhibit A, so that they can accommodate the common use of the property with the proposed roadway improvements or other utility locations and/or relocations. 3. Timing of Pipelines Relocation: PSCo shall commence the Work upon receipt from the County of a fully executed copy of this Agreement; the replacement easements on PSCo approved forms, and receipt of the Deposit as defined below. PSCo shall use commercially reasonable efforts to complete the Work within 60 days after commencement of the pipeline relocation. 4. PSCo Responsible for Traffic Control: Throughout the relocation process, PSCo agrees that it shall be responsible for coordination of traffic control as established by the most recent version of the "Manual on Uniform Traffic Control Devices" (MUTCD). 5. PSCo Shall Obtain Right -of -Way Permits: PSCo shall obtain all necessary permits from County required for its pipeline relocation work. II. COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of Relocation Expenses: County has agreed to reimburse PSCo for the expenses incurred in fulfillment of its obligations under this Agreement as set forth in the Exhibit B the "PSCo Gas Engineering Project Estimate". 2. Increases/Decreases in Estimated Expenses: PSCo has estimated the total cost of said relocation to be $195,792.83, which includes specific work outlined in the Exhibits A and B. Prior to PSCo commencing the Work, the County shall deposit the sum of $156,634.26 with PSCo (the "Deposit") which represents 80% of the PSCo Gas Engineering Project Estimate. If final actual costs of relocation are less than the estimated amount, PSCo shall invoice the County for the actual costs only. If the final relocation costs exceed the attached Exhibit B, County shall pay those reasonable additional expenses incurred. County shall pay the balance within thirty (30) days of the completion of the work and receipt of an invoice from PSCo. 3. County to Stake Right -of -Way and Easements: County shall establish and stake the County right-of-way and PSCo easements within the work area prior to relocation of the PSCo pipeline. County shall verify the relocation to confirm that said relocation is sufficiently clear of Project construction work. 4. County's Right to Terminate: The County may terminate this Agreement at any time prior to PSCo's commencement of Work. MISCELLANEOUS 1. Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all of the provisions of this Agreement. 5. Fund Availability: This Agreement assumes that the relocation of the pipeline will be completed on or before the end of the County's fiscal year. Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By execution of this Agreement, County does not warrant that funds will be available to fund this Agreement beyond the current fiscal year (December 31, 2019). 6. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7. Attorney Fees/Legal Costs: In the event of a dispute between County and PSCo, concerning this Agreement, the parties agree that neither party shall be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the other. 8.
