This letter is in reference to the Solar Energy Planning Lease entered into on the 11th day of November,
2019 by and between The State of Colorado, acting through its State Land Board of Land Commissioners
("State Land Board"), whose address is 1127 Sherman Street, Suite 300, Denver, CO 80203, and TCA
Microgrid Energy, LLC: Pivot Development Fund 1 LLC ("Lessee"), whose address is 1750 15th Street
Suite 400 Denver, CO 80202.
The State Land Board's intention with the Planning Lease process is to give developers exclusive rights,
for renewable energy development, to a piece of land so they can complete necessary diligence and
development testing in order to evaluate the suitability of a given piece of land for a proposed
development. When a Planning Lease is issued, the expectation is that upon completion of a
developer's due diligence and upon State Land Board final review and approval, a Production Lease will
be issued for the construction and operation of a given anticipated development. We consider land use
approval to be an essential step in the development process, and it is our preference for our Lessee to
acquire the Use by Special Review. Our Production Lease does not have a diligence or "option" period,
therefore developers entering into a Production Lease cannot have any doubt about their ability to
execute on a project.
Please consider this letter in support of and in conjunction with the Use by Special Review application
being submitted by our lessee for a solar garden project on the State Land Board's property in Weld
County. The State Land Board feels that this is the appropriate use for this portion of state trust land.
This progression, from Planning Lease to Production Lease, is our standard development process for
energy projects.

development of alternative fuels in addition to innovative and creative
approaches to alternative energy sources. This facility both develops an
alternative fuel source and is a creative approach to bringing an alternative
energy source to market through Xcel's Solar*Rewards Community program
• 22-5-130 encourages the development of alternative energy sources to
counter energy market volatility. This project, as a distributed energy
resource, will serve that aim.
• 22-5-140.A.5 directs regulatory support toward small-scale solar energy.
• 22-5-160.A.1 supports the development of power generation facilities which
benefit County residents and deploy available resources in the County. This
facility meets both of those aims.

Project — Common Concerns
■ "Adjacent property values will be negatively impacted."
■ Pivot Energy worked with CohnReznick to evaluate impacts on properties
adjacent to solar arrays in four states (including CO) and found no impacts
to adjacent property values. (Report submitted into the record.)
■ Noise will be bothersome."
■ Solar inverters do make noise, with a decibel rating similar to that of a
residential A/C unit. In this case, inverters will be more than 700' from
nearest home, and on the other side of WCR'1. The equipment only
operates during daytime hours. During quieter hours of the day (early
morning, late afternoon, and overnight), the inverters are off.
■ Small electrical motors power the trackers during the day. They move
incrementally, and the small motors generate a nearly imperceptible amout
of noise when they move (approx. every 1 n minutes for about 1 F seconds).
