IMPROVEMENTS TO INTERSECTION AT COUNTY ROADS 41 AND 66 AND
AUTHORIZE CHAIR TO SIGN NECESSARY DOCUMENTS - RAY HUNT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the Purchase of Private
Property for Certain Improvements to the Intersection at County Roads 41 and 66 between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Public Works, and Ray Hunt, 19999 County Road 66,
Greeley, Colorado 80631, with further terms and conditions being as stated in said agreement,
and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for the Purchase of Private Property for Certain
Improvements to the Intersection at County Roads 41 and 66 between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of
the Department of Public Works, and Ray Hunt, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign any necessary documents.

RE: Purchase Agreement for CR 66 and CR 41 Right of Way — Hunt Property
Public Works has been working with Ray Hunt to purchase the property at the northwest corner of the CR
66 and CR 41 intersection. The property is needed as ROW for the intersection improvement project that
is currently in design.
The purchase price for the property is $671,450.000. The purchase price includes $531,950.00 for the
property and damages plus a signing bonus of $139,500.00. The current owner will be allowed to stay on
the property for up to 120 days after the closing.
The Board approved a pass around request asking that this agreement to be placed on the BOCC agenda.
Please place the agreement on the BOCC agenda for December 9, 2020. I will be at the BOCC hearing to
answer any questions that may arise.

Brief description of the problem/issue:
During the November 9, 2020 work session regarding a counteroffer to Mr. Hunt, the BOCC indicated that
Public Works could offer Mr. Hunt $671,450.00 for his property located on the NW corner of the CR 66 and
CR 41 intersection. The County's counteroffer was in response to Mr. Hunt's counteroffer of $800,000.00.
The County's counteroffer includes $531,950.00 for the property and damages plus a signing bonus of
$139,500. Public Works, through Western States Land Services, made the counteroffer to Mr. Hunt which he
accepted.
The next step required to complete the purchase of the property for the CR 66 and CR 41 ROW is to have the
Board sign the agreement. Once the agreement is signed, a closing will be set up with Unified Title Company
of Northern Colorado.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
1. Sign the agreement so the purchase of the property can be completed. The completion of the
transaction will keep the project on schedule.
2. Don't sign the agreement.

AGREEMENT FOR THE PURCHASE OF PRIVATE PROPERTY, FOR THE
PURPOSE OF CERTAIN IMPROVEMENTS TO INTERSECTION OF WELD COUNTY
ROAD 41 AND WELD COUNTY ROAD 66 WELD COUNTY, COLORADO
THIS AGREEMENT is made this day of iy , 2020, by RAY HUNT, whose
address is 19999 County Road 66, Greeley, Colorado 80631 hereinafter collectively referred to as
"Owner," and the COUNTY OF WELD, a body corporate and politic of the State of Colorado, by
and through its Board of County Commissioners, whose address is 1150 'O' Street, Greeley,
Colorado 80631 hereinafter referred to as "County."
WITNESSETH:
WHEREAS, Owner owns a parcel of real property described in the attached Exhibit "A"
(hereinafter referred to as "Property") also known as 19999 CR 66, and
WHEREAS, County finds it necessary to rebuild and improve the intersection of Weld
County Road 41 (hereinafter "WCR 41"), and Weld County Road 66 (hereinafter "WCR 66"), which
will involve the realignment and construction of said roads, (hereinafter referred to as "Intersection
Improvement Project"), and
WHEREAS, County requires the parcel of the Property for the benefit of County in order to
complete a portion of said Intersection Improvement Project, and
WHEREAS, Owner wishes to cooperate with County in said Road Improvement Project,
NOW, THEREFORE, the parties herein agree as follows:
OWNER'S RIGHTS AND RESPONSIBILITIES:
1. Agreement. Owner agrees to sell and County agrees to purchase the Property as
shown and/or described on Exhibit "A" (a copy of which is attached hereto and
made a part hereof by this reference), for the sum of Six Hundred Seventy-one
Thousand Four Hundred Fifty Dollars, ($671,450.00). The parties acknowledge and
agree that said purchase price represents full, fair and valuable consideration.
Execution of this agreement is required by December 15, 2020.
2. Owner agrees to grant the Property to the County by General Warranty Deed, a copy
of which is attached as Exhibit B, a copy of which is attached, free and clear of all
liens and encumbrances, except existing easements.
3. Owner shall deliver the fully executed General Warranty Deed for the Property to
County at the date of closing which shall be no later than thirty (30) days following
the County's execution of this Agreement.

4. Owner shall pay any encumbrance associated with the Property, the which is
required to be paid, including, but not limited to, a prorated amount of the property
taxes, and any past due property taxes, (and interest and penalties thereon), on or
before the date of closing when Owner delivers the General Warranty Deed to
County. Owner is solely responsible for the payment of any amounts owed to a third
party holding a security or other ownership interest in the Property.
5. Owner warrants that they are the Owner of the property and will defend title thereto
against all claims.
COUNTY'S RIGHTS AND RESPONSIBILITIES:
1. County shall pay for the cost of obtaining title insurance if County desires to obtain
title insurance for the Property.
2. County shall pay all fees associated with recording this Agreement and / or the
General Warranty Deed.
3. County shall pay Owner for the Property, by County warrant(s) at the date of closing.
MISCELLANEOUS:
1. Upon execution of this Agreement the County will deposit a check in the amount of
$671,450.00 to be held in escrow by Unified Title Company for the benefit of the
Owner. Owner will deliver possession of the Property within 120 days of closing.
During said 120 -day period, owner agrees to extend the Permission to Enter, granted
on January 3, 2020, for the purposes of engineering and design related to the
Intersection Improvement Project. After said 120 days, no later than July 1, 2021, it
is expressly agreed by the parties hereto that the County, its contractors, agents,
employees and all others deemed necessary by County, shall have the irrevocable
right to possess and use the Property for the purposes of constructing the Intersection
Improvement Project and the driveway entrance, and for its daily operation, access
and maintenance. These conveyances shall be deemed to include sufficient land for
the construction, operation, access, repair and maintenance of said Intersection
Improvement Project, including the rights of entry upon, passage over, and deposit of
excavated earth, and storage of material and machinery upon such Property as may
be useful and necessary.
2. This Agreement and the conveyance of the Property made pursuant to the terms
herein, shall be binding upon, all and inure to the benefit of and be enforceable by the
parties and their heirs, executors, administrators, successors, and assigns.

3. This Agreement shall be binding upon the Owner upon the date of signature by the
Owner.
4. This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County, Colorado or its designee.
5. No term or condition of this contract shall be construed or interpreted as a waiver,
express or implied, of any of the immunities, rights, benefits, protections or other
provisions, of the Colorado Governmental Immunity Act §24-10-101 et seq., as
applicable now or hereafter amended.
6. The parties hereby agree that neither has made or authorized any agreement with
respect to the subject matter of this instrument other than as expressly set forth
herein, and no oral representation, promise, or consideration different from the terms
herein contained shall be binding on either party, or its agents or employees.
7. It is expressly understood and agreed that the enforcement of the terms and
conditions of this Agreement, and all rights of action relating to such enforcement,
shall be strictly reserved to the undersigned parties and nothing in this Agreement
shall give or allow any claim or right of action whatsoever by any other person not
included in this Agreement. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or benefits under this
Agreement shall be an incidental beneficiary only.
8. This Agreement including the Exhibits attached hereto and incorporated herein,
embodies all agreements between the parties hereto and there are no promises, terms,
conditions, or obligations referring to the subject matter whereof other than as
contained herein. This Agreement may be changed or supplemented only by a
written instrument signed by both parties.
9. Colorado law, rules and regulations established pursuant thereto, shall be applied in
the interpretation, execution, and enforcement of this Agreement. Any provision
included or incorporated herein by reference which conflicts with said laws, rules,
and/or regulations shall be null and void. In the event of a legal dispute between
parties, the parties agree that the Weld County District Court shall have exclusive
jurisdiction to resolve said dispute.
10. If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, this Agreement shall be
construed and enforced without such provision, to the extent that this Agreement is
then capable of execution within the original intent of the parties.

All that parcel of land described in the Warranty Deed recorded at Reception
Number 4429632, on September 10, 2018, in the Weld County Colorado Clerk and
Recorder's Office, lying in the East Half of the Southeast Quarter of Section 20,
Township 6 North, Range 65 West of the Sixth Principal Meridian, Weld County
Colorado, being described as follows in said deed:
Beginning at the Southeast corner of Lot A of Recorded Exemption No.
0803 -20.4 -RE 818 recorded January 22, 1986 in Book 1100 as Reception No.
2040100, being part of the E1/2 of the SE1/4 of Section 20, Township 6 North,

the State of Colorado whose legal address is 1150 "O" Street, Greeley, Colorado 80631,

WITNESS, that the grantor, for the sum of One Dollar, and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, has

WARRANTY DEED
THIS DEED made this 13 day of , 2021, between RAY HUNT,

of Weld, State of Colorado, Grantor, and County of Weld, a body corporate and politic of
the State of Colorado whose legal address is 1150 "0" Street, Greeley, Colorado 80631,
of the County of Weld, State of Colorado, Grantee:
WITNESS, that the grantor, for the sum of One Dollar, and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, has
granted, bargained, sold and conveyed, and by these presents does grant, bargain, sell,
convey and confirm, unto the grantee, their heirs and assigns forever, all the real property
together with improvements, if any, situate, lying and being in the County of Weld and
State of Colorado, described as follows:

Also known as Weld County Assessor's parcel # 080320000046 and 19999 WCR 66,
Greeley, Weld County, Colorado.
TOGETHER with all and singular the hereditaments and appurtenances
thereunto belonging, or in anywise appertaining, and the reversion and reversions,
reminder and remainders, rents, issues and profits thereof, and all estate, right, title,
interests, claim and demand whatsoever of the grantor, either in law or equity, of, in and
to the above bargained premises, with the hereditaments and appurtenances.
TO HAVE AND TO HOLD the said premises above bargained and described,
with the appurtenances, unto the grantees, their heirs and assigns forever. And the
grantor, for himself, his heirs and personal representatives, does covenant, grant, bargain
and agree to and with the grantees, their heirs and assigns, that at the time of the
ensealing and delivery of these presents, he is well seized of the premises above
conveyed, has good, sure, perfect, absolute and indefeasible estate of inheritance, in law,
in fee simple, and has good right, full power and lawful authority to grant, bargain, sell
and convey the same in manner and form as aforesaid, and that the same are free and
clear from all former and other grants, bargains, sales, liens, taxes, assessments,
encumbrances and restrictions of whatever kind or nature whatsoever, except for taxes
for the current year, easements, restrictions, covenants, conditions reservations and
rights -of -way of record, if any.
The grantor shall and will WARRANT AND FOREVER DEFEND the above -bargained
premises in the quiet and peaceable possession of the grantees, their heirs and assigns,
against all and every person or persons lawfully claiming the whole or any part thereof.
The singular number shall include the plural, the plural the singular, and the use of any
gender shall be applicable to all genders.

Recorder's Office, lying in the East Half of the Southeast Quarter of Section 20,
Township 6 North, Range 65 West of the Sixth Principal Meridian, Weld County
Colorado, being described as follows in said deed:
Beginning at the Southeast corner of Lot A of Recorded Exemption No.
0803 -20 -4 -RE 818 recorded January 22, 1986 in Book 1100 as Reception No.
