RE: APPROVE AMENDMENT #1 TO VOTING SYSTEM ACQUISITION AGREEMENT AND
AUTHORIZE CHAIR TO SIGN - DOMINION VOTING SYSTEMS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #1 to Voting System
Acquisition Agreement between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and
Dominion Voting Systems, Inc., commencing upon full execution of signatures, with further terms
and conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #1 to Voting System Acquisition Agreement between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Clerk and Recorder's Office, and Dominion Voting Systems, Inc.,
be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 1st day of June, A.D., 2020.

Brief description of the problem/issue:
Due to HB19-1278 we are required to have two new Voter Service and Polling Centers (VSPC's).
Along with those additional requirements the State allocated state funds for us to receive, Weld
County put in the request and was awarded from the Local Elections Assistance Cash Fund and from
the Help America Vote Act Election Security Grant to cover the additional voting machines.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
Approve and sign the voting equipment agreement/invoice to allow Weld County to move forward in
receiving the State funds from the grant that has been awarded to Weld County. Was already
approved during the 2019 budget conversation for the 2020 budget. Finance and the County Attorney
office has reviewed and approved the agreement/invoice.
Recommendation:
Approve and sign the voting equipment agreement/invoice to allow Weld County to move forward in
receiving the State funds from the grant.

AMENDMENT 1
TO THE VOTING SYSTEM ACQUISITION AGREEMENT
BY AND BETWEEN
DOMINION VOTING SYSTEMS, INC.
AND COUNTY OF WELD, STATE OF COLORADO
This Amendment 1 to the Voting Systems Acquisition Agreement, is made and entered
into on this t'51- day of 3,ni,2020 (the "Effective Date"), between County of Weld, State of
Colorado ("Customer") and Dominion Voting Systems, Inc. ("Dominion").
RECITALS
WHEREAS, on April 27, 2017, the Customer and Dominion entered into a Voting
Systems Acquisition Agreement (the "Agreement"); and
WHEREAS, the Customer and Dominion desire to amend the Agreement as described
herein to memorialize the equipment purchase described above;
TERMS
NOW, THEREFORE, the parties amend the Agreement in accordance with the terms
and conditions set forth below:
A. Incorporation of Recitals. The above recitals are true and correct and incorporated
herein by this reference as if fully set forth.
B. Addition to Exhibit A. Exhibit A-1 (attached to this Amendment 1) is hereby
incorporated into and appended to Exhibit A of the Agreement.
C. All Other Terms. All other terms and provisions of the Agreement shall remain in full
force and effect.

2. Payment Terms Dominion shall invoice the Customer upon Amendment 1 signing for the
