Enclosure (1) cc: Weld County Board of County Commissioners Karin McDougal, Assistant County Attorney Julie Witkowski, Family Resource Division Head Jamie Ulrich, Director Contract Management Team WELD COUNTY AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN WELD COUNTY & NORTH RANGE BEHAVIORAL HEALTH VOCATIONAL ASSESSMENTS AND COUNSELING THIS AGREEMENT is made and entered into this ‘0NTday of` — 71f7 : , 2017 by and between the County of Weld, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 "O" Street, Greeley, Colorado 80631 hereinafter referred to as "County," and NORTH RANGE BEHAVIORAL HEALTH whose address is 1300 N. 17O AVENUE GREELEY, CO 80631 hereinafter referred to as "Contractor". WHEREAS, County desires to retain Contract Professional as an independent Contract Professional to perform services as more particularly set forth below; and WHEREAS, Contract Professional has the ability, qualifications, and time available to timely perform the services, and is willing to perform the services according to the terms of this Agreement. WHEREAS, Contract Professional is authorized to do business in the State of Colorado and has the time, skill, expertise, and experience necessary to provide the services as set forth below; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. Introduction. The terms of this Agreement are contained in the terms recited in this document and in Exhibit A which forms an integral part of this Agreement. Exhibit A is specifically incorporated herein by this reference. 2. Service or Work. Contractor agrees to procure the materials, equipment and/or products necessary for the Project and agrees to diligently provide all services, labor, personnel and materials necessary to perform and complete the Project described in Exhibit A. 3. Term. The term of this Agreement begins July 1, 2017, upon the date of the execution of this Agreement by County, and shall continue through and until Contractor's completion of the responsibilities described in Exhibits A. This contract may be extended annually upon written agreement of both parties. 4. Termination. County has the right to terminate this Agreement, with or without cause on thirty (30) days written notice. Furthermore, this Agreement may be terminated at any time without notice upon a material breach of the terms of the Agreement. 5. Extension or Modification. Any amendments or modifications to this agreement shall be in writing signed by both parties. No additional services or work performed by Contractor shall be the basis for additional compensation unless and until Contractor has obtained written authorization and acknowledgement by County for such additional services. 6. Compensation/Contract Amount. Upon Contractor's successful completion of the Project, and County's acceptance of the same, County agrees to pay an amount no greater than the amount set forth in Exhibit B. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. 7. Independent Contractor. Contractor agrees that it is an independent Contractor and that Contractor's officers, agents or employees will not become employees of County, nor entitled to any employee benefits from County as a result of the execution of this Agreement. Contractor shall perform its duties hereunder as an independent Contractor. Contractor shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this Agreement. Contractor, its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through County and County shall not pay for or otherwise provide such coverage for Contractor or any of its agents or employees. 8. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the particular reputation and expertise of Contractor. Contractor shall not enter into any subcontractor agreements for the completion of this Project without County's prior written consent, which may be withheld in County's sole discretion. 2017-3817 9. Ownership. All work and information obtained by Contractor under this Agreement or individual work order shall become or remain (as applicable), the property of County. 10. Confidentiality. Contractor agrees to keep confidential all of County's confidential information. Contractor agrees not to sell, assign, distribute, or disclose any such confidential information to any other person or entity without seeking written permission from the County. Contractor agrees to advise its employees, agents, and consultants, of the confidential and proprietary nature of this confidential information and of the restrictions imposed by this agreement. 11. Warranty= Contractor warrants that the services performed under this Agreement will be performed in a manner consistent with the standards governing such services and the provisions of this Agreement. Contractor further represents and warrants that all services shall be performed by qualified personnel in a professional and workmanlike manner, consistent with industry standards, and that all services will conform to applicable specifications. 12. Acceptance of Services Not a Waiver. In no event shall any action by County hereunder constitute or be construed to be a waiver by County of any breach of this Agreement or default which may then exist on the part of Contractor. Acceptance by the County of, or payment for, the services completed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. 13. Insurance and Indemnification. Contractor shall procure at least the minimum amount of automobile liability insurance required by the State of Colorado for the use of any personal vehicle. Proof of said automobile liability insurance shall be provided to County prior to the performance of any services under this Agreement. Professional Liability (Errors and Omissions Liability) The policy shall cover professional misconduct or lack of ordinary skill for those positions defined in the Scope of Services of this contract. Contract Professional shall maintain limits for all claims covering wrongful acts, errors and/or omissions, including design errors, if applicable, for damage sustained by reason of or in the course of operations under this Contract resulting from professional services. In the event that the professional liability insurance required by this Contract is written on a claims -made basis, Contract Professional warrants that any retroactive date under the policy shall precede the effective date of this Contract; and that either continuous coverage will be maintained or an extended discovery period will be exercised for a period of two (2) years beginning at the time work under this Contract is completed. Minimum Limits: Per Loss Aggregate $ 1,000,000 $ 2,000,000 14. Indemnity. The Contractor shall defend, indemnify and hold harmless County, its officers, agents, and employees, from and against injury, loss damage, liability, suits, actions, or claims of any type or character arising out of the work done in fulfillment of the terms of this Contract or on account of any act, claim or amount arising or recovered under workers' compensation law or arising out of the failure of the Contractor to conform to any statutes, ordinances, regulation, law or court decree. 15. Non -Assignment. Contractor may not assign or transfer this Agreement or any interest therein or claim thereunder, without the prior written approval of County. 16. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 17. Compliance with Law. Contractor shall strictly comply with all applicable federal and State laws, rules and regulations in effect or hereafter established, including without limitation, laws applicable to discrimination and unfair employment practices. 18. Non -Exclusive Agreement. This Agreement is nonexclusive and County may engage or use other Contractors or persons to perform services of the same or similar nature. 19. Entire Agreement/Modifications. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 20. Fund Availability. Financial obligations of the County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. Execution of this Agreement by County does not create an obligation on the part of County to expend funds not otherwise appropriated in each succeeding year. 21. Employee Financial Interest/Conflict of Interest — C.R.S. §§24-18-201 et seq. and §24-50-507. The signatories to this Agreement state that to their knowledge, no employee of Weld County has any personal or beneficial interest whatsoever in the service or property which is the subject matter of this Agreement. 22. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 23. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 24. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 25. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 26. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, Contractor agrees that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 27. Public Employment Retirement Program. Contractor is responsible for notifying Weld County of any previous participation in the Colorado Public Employee Retirement Program. Contractor must notify Weld county of the most recent employment for a PERA contributing employer. 28. Public Contracts for Services C.R.S. §8-17.5-101. Contractor certifies, warrants, and agrees that it does not knowingly employ or contract with an illegal alien who will perform work under this contract. Contractor will confirm the employment eligibility of all employees who are newly hired for employment in the United States to perform work under this Agreement, through participation in the E -Verify program or the State of Colorado program established pursuant to C.R.S. §8-17.5-102(5)(c). Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or enter into a contract with a subcontractor that fails to certify with Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement. Contractor shall not use E - Verify Program or State of Colorado program procedures to undertake pre -employment screening or job applicants while this Agreement is being performed. If Contractor obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or contracts with an illegal alien Contractor shall notify the subcontractor and County within three (3) days that Contractor has actual knowledge that a subcontractor is employing or contracting with an illegal alien and shall terminate the subcontract if a subcontractor does not stop employing or contracting with the illegal alien within three (3) days of receiving notice. Contractor shall not terminate the contract if within three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. Contractor shall comply with reasonable requests made in the course of an investigation, undertaken pursuant to C.R.S. §8-17.5-102(5), by the Colorado Department of Labor and Employment. If Contractor participates in the State of Colorado program, Contractor shall, within twenty days after hiring an new employee to perform work under the contract, affirm that Contractor has examined the legal work status of such employee, retained file copies of the documents, and not altered or falsified the identification documents for such employees. Contractor shall deliver to County, a written notarized affirmation that it has examined the legal work status of such employee, and shall comply with all of the other requirements of the State of Colorado program. If Contractor fails to comply with any requirement of this provision or of C.R.S. §8-17.5-101 et seq., County, may terminate this Agreement for breach, and if so terminated, Contractor shall be liable for actual and consequential damages. Except where exempted by federal law and except as provided in C.R.S. § 24-76.5-103(3), if Contractor receives federal or state funds under the contract, Contractor must confirm that any individual natural person eighteen (18) years of age or older is lawfully present in the United States pursuant to C.R.S. § 24-76.5-103(4), if such individual applies for public benefits provided under the contract. If Contractor operates as a sole proprietor, it hereby swears or affirms under penalty of perjury that it: (a) is a citizen of the United States or is otherwise lawfully present in the United States pursuant to federal law, (b) shall produce one of the forms of identification required by C.R.S. § 24-76.5-101, et seq., and (c) shall produce one of the forms of identification required by C.R.S. § 24-76.5-103 prior to the effective date of the contract. 29. Acknowledgment. County and Contractor acknowledge that each has read this Agreement, understands it and agrees to be bound by its terms. General Scone of Services: North Range Behavioral Health (North Range) and the Temporary Assistance for Needy Families (TANF) Program agree to aid Colorado Works families by offering vocational assessments, vocational placement, individual, family and group counseling services, evaluations and life skills services to remove barriers to self-sufficiency and Supplemental Security Income or Social Security Disability Insurance application assistance. North Range will work jointly with TANF Program staff (Assistance Payments and Employment Services of Weld County, both Divisions of the Weld County Department of Human Services). Employment Services provides the case management, and work activities necessary for Colorado Works (TANF) clients. 2 Types of Services to be Provided: North Range agrees to provide certain services as follows: a. Vocational Assessments: North Range will conduct vocational assessments called the Vocational Career Profile through structured individual interviews for Colorado Works applicants aimed at identifying personal strengths and barriers to self-sufficiency. The vocational assessment will address various content areas including work/career, family, physical health, mental health, disabilities, legal issues, housing, support network, education/training, personal growth/development and motivation. The results of the screening are compiled into a brief written report delineating employment strengths, employment concerns and recommendations. The written report is provided to the referring Human Services staff members within two business days of the interview to expedite the applicant's placement in employment activities. Vocational Assessments will be scheduled by the Colorado Works' Employment Services case managers in conjunction with North Range Employment Specialists to complete the task of an on -site assessment at either the Weld County Department of Human Services offices located at 315 North I I's Avenue, Greeley, Colorado and 2950 9th Street, Fort Lupton, Colorado. Additionally, for increase flexibility, these assessments could occur at North Range clinical sites or offices. b. Vocational Placement: North Range Employment Specialist will attempt to place Colorado Works referrals based on their Vocational Assessment into the appropriate job placements via the evidence -based practice known as Individual Placement and Support Program (IPS). This supportive employment model provides the principles of focusing on competitive employment; readiness to work; integration with recovery services; effects on benefits; rapid and systematic job search; and time -unlimited individualized support. c. Vocational Support: l (Pape When clinically appropriate, medically necessary and with the proper diagnosis, mental health and/or substance abuse support services through an individualized treatment plan may be recommended: 1) Individual Counseling: North Range will make available individual counseling for Colorado Works recipients referred by the TANF program and services will be designed to remove barriers to work and may take place at a North Range clinical site or offices, in the recipient's home or at other appropriate sites based on recipients' needs and limitations. 2) Family Counseling: North Range will provide family counseling, which is designed to remove barriers to work, for Colorado Works recipients referred by the TANF Program. Services may take place at a North Range clinical site or offices, in the recipient's home, or at other appropriate sites based on the recipients' needs and limitations. 3) Group Support or Counseling: North Range will provide group support or counseling services to those Colorado Works recipients referred by the TANF Program. Groups will be designed to address self-sufficiency issues common to the recipients (i.e. self-esteem, anger management, relationship issues, problem - solving skills and social skills). 4) Life Skills Services: North Range will make available Life Skills Services for Colorado Works recipients referred by the TANF Program. Life Skills will provide psychosocial educational services to improve self-sufficiency in targeted skill areas such as household management, parenting practices, relational skills, accessing community resources and goal setting. Life Skills Services will take place at multiple North Range clinical sites or offices or at other appropriate community sites based on the recipient's needs and limitations. 5) Psychological Evaluation and Consultation: North Range agrees to provide evaluation and consultation relating to cognitive, social/emotional and other functioning issues identified with Colorado Works recipients who are referred by the TANF Program. North Range agrees to provide an evaluation performed by a qualified psychologist. The purpose of the evaluation is to identify any limitations or barriers to work that might exist with the clients, especially identifying functional limitation issues such as learning disabilities, borderline intellectual functioning and mental illness. A written report is to be provided to the referring TANF staff member upon completion of the testing. North Range will also make available a qualified psychologist for consultation with Human Services, discussing test results or other difficult cases and making Individual Responsibility Contract (IRC) recommendations. b. Supplemental Security Income and Social Security Disability Insurance Application Assistance 1) Documentation: North Range agrees to assist Colorado Works clients that are referred by the TANF Program in gathering all applicable documentation and information to assist in the Supplemental Security Income (SSI) and Social Security Disability Insurance (SSDI) application process. This includes, but not limited to: identifying and utilizing relevant doctors or other professional's information pertinent to the client's medial, cognitive and physical condition pertinent to the application, 21Page obtaining personal information for the application, obtaining the work history of the client, obtaining all necessary SSI or SSDI applications and paperwork or utilizing on-line tools and obtaining any correspondence that is sent by Social Security Administration (SSA). 2) Application Submission: North Range agrees to assist clients that are referred by the TANF Program with the submission of their SSI or SSDI application. This includes, but not limited to: ensuring that the application and all required supporting documentation is complete and accurate to the best of North Range's knowledge, ensuring all known relevant information is listed on the application and all required supporting documents or on-line and ensuring that the application and all required supporting documents are submitted to SSA within SSA specified guidelines. 3) Appeal Process: North Range agrees to assist clients that are referred by the TANF Program in the appeals process for which clients have been denied for SSI or SSDI. This includes, but not limited to: Obtaining additional relevant information and documentation that assists the client in overturning the denial of the application by SSA, submitting all required information and documentation to SSA within the applicable timelines set by SSA, informing the Department of any additional professional help that might assist in overturning the denial of the application, and following up with the client as needed to ensure all SSA correspondence has been reviewed and acted upon. Contact to schedule appointments with clients must be done by North Range within seven calendar days from receipt of the referral from the appropriate TANF Program staff person. North Range staff agree to notify the appropriate TANF staff person within 2 working days when a client fails to show for a scheduled appointment and whenever a referred client cancels the North Range initial appointment. The appropriate TANF program staff agrees to notify North Range within 2 working days when a client is sanctioned, moves, becomes ineligible for cash benefits, or any other reason that may affect or limit the clients' participation in counseling services. 3. Eligible Recipients: TANF Program staff will approve designated referrals for counseling, life skills, evaluations, SSI application assistance, SSDI application assistance and consultation services and provide North Range with a referral authorization, signed by the technician or case manager and a program supervisor. Human Services Colorado Works case managers will schedule the vocational assessments, with a signed referral form for this service. 4. Staff Oualifications: For all services offered through this Agreement, North Range will provide counselors who hold, at a minimum, a Master's degree in a human services field and two years of relevant experience. North Range agrees to make available to the TANF Program State licensed professionals, i.e. Licensed Professional Counselor, Licensed Marital and Family Therapist, or Licensed Clinical Social Worker or an equivalent degree and/or experience as appropriate and available. Vocational assessments will be performed by a professional employment specialist who holds a Master's degree or an equivalent degree and/or experience in Rehabilitation Counseling. Any 3[Page substance abuse services will be provided by State of Colorado Certified Addiction Counselors (II's and III's) or an equivalent addiction -related licensure and/or experience. Evaluation and Consultation providers will hold, at a minimum, a doctorate degree in psychology or a related field, two years of relevant experience, and be a Licensed Psychologist or supervised by a Licensed Psychologist. Most skill -building programs, life skill development and benefit acquisition services will be done by personnel who hold a Bachelor's degree in the human service field or an equivalent degree and/or experience. All staff members and supervisors providing direct services meet or exceed minimum qualifications in education and experience as defined in Staff Manual Volume VII, Section 7303.17 and Section 7.0006, Q, Colorado Department of Human Services. 5. Measurable Outcomes and Objectives: a. Vocational Assessments: 1. Screen Colorado Works participants for barriers to self-sufficiency. 2. Provide a prompt written report delineating employment strengths, employment concerns and recommendations to Colorado Works Program staff to be utilized in IRC planning and expedite placement in work activities. Reports will be provided within 48 hours of the assessment interview. Outcomes will be measured by the number of acceptable reports submitted within time parameters. b. Vocational Placement: 1. To place Colorado Works participants into competitive job placements based on experience, interests and/or strengths. 2. Provide information to Colorado Works Program staff of individuals who obtain and retain jobs. c. Vocational Support: 1. Provide individual, family and group counseling to remove barriers to self- sufficiency. Monthly reports will be submitted to the appropriate TANF Program staff to identify areas addressed and progress. 2. Life Skills Services will utilize a Functional Assessment and Treatment Plan to measure client progress. The Functional Assessment tool rates the client in areas of a) self -care management and environment, b) risk assessment c) symptomology, d) social skills, and e) coping skills. Progress is measured by changes in the rating scale at pre- and post -treatment. 3. Evaluations will identify barriers to self-sufficiency, including cognitive, social/emotional and functioning issues. A written report identifying any diagnoses, disabilities or functioning limitations and recommendations will be provided to Colorado Works Program staff. Outcomes will be measured by the number of acceptable reports submitted. 4IPage 4. Program outcomes may also be measured through the analysis of Colorado Works participation rates, program recidivism and participants' employment retention rates. d. Supplemental Security Income and Social Security Disability Insurance Application Assistance 1. Provide SSI or SSDI application assistance to all disabled individuals that are referred by the TANF Program. Monthly reports will be submitted the appropriate TANF Program staff to identify how the application assistance is proceeding for each client. 2. Monthly reports will be provided with the monthly bill detailing how many clients are currently referred for application assistance, where each client is in the process of the application process, and how much time has been charged by North Range for each client. Outcomes will be measured by the number of SSI and SSDI applications submitted to SSA, the number approved applications and number of overturned denials. 6. Service Time Frames: a. Vocational Assessments: Vocational Assessments are completed in one session. The number of available hours per week for scheduling with an on -site counselor will be determined based on the needs of the Colorado Works Program. Written reports are filed within two business days of the assessment interview. b. Vocational Placement: Job placements and support is unlimited based on the participant's needs. c. Vocational Support: Individual, group and family counseling services are tailored for each referred participant/family and is directed by the person's treatment plan. Length of stay in treatment, frequency, and service modalities utilized, will be determined by North Range treatment team(s) in conjunction with Colorado Works staff. Typically, the course of treatment will follow the professional standard practices in the behavioral health field as well as meet the Utilization Management guidelines of the agency through the Quality Improvement Department. d. Supplemental Security Income and Social Security Disability Insurance Application Assistance: Application assistance will be tailored to everyone referred. The Individual Responsibility Contract will detail the client's responsibility to participate in the application process North Range will complete the initial SSI or SSDI application processes within two months from referral. Any appeals will be completed within the guidelines established by SSA. Any non -cooperation from referred clients should be reported directly to the applicable TANF Program staff member. 7. Workload Standards: North Range Employment Specialists are trained and follow the fidelity standards set in the evidence -based practice by the Individual Placement and Support model. This is set forth by Dartmouth University and therefore do not exceed a caseload size over 20. North Range counselors who provide individual, family, and group services may carry a mixed caseload of clients from various referral sources. There are over 100 mental health professionals available. Thus, allowing designation of a Colorado Works participant to a specific service 5!Page modality and therapist who meets their individual needs. All therapists follow all rules and regulations associated with the State of Colorado Office of Behavioral Health. North Range Behavioral Health Case Managers maintain a maximum caseload within the industry standards and follow all rules and regulations associated with the State of Colorado Office of Behavioral Health. North Range provides a minimum professional liability insurance of $1,000,000 per occurrence and $3,000,000 aggregate to all clinical employees. 6WPage EXHIBIT B PAYMENT SCHEDULE 1. Funding and Method of Payment Human Services agrees to reimburse to North Range Behavioral Health in consideration for the work and Services performed, a total amount not to exceed seventy-five thousand dollars ($75,000) for the contract period. Expenses incurred by North Range Behavioral Health, in association with said project prior to the term of this agreement, are not eligible Human Services expenditures and shall not be reimbursed by Social Services. Payment pursuant to this Contract, whether in whole or in part, is subject to and contingent upon the continuing availability of Temporary Assistance to Needy Families funds for the purposes hereof. If said funds, or any part thereof, become unavailable as determined by Human Services, Human Services may immediately terminate this Contract or amend it accordingly. 2. Fee Schedule Most services will be covered by Medicaid. However, if there is a non -covered diagnosis or if medical necessity is not met then the following charges will prevail. a. Psychologist $120/hour b. Mental Health Professional (Licensed) $70/hour c. Mental Health Professional (Non -Licensed) $55/hour d. Vocational Counselor $55/hour e. Case Management $15/15 minutes or $60/hour 3. Submittal of Vouchers North Range Behavioral Health shall prepare and submit monthly the itemized voucher and certify that the services authorized were provided on the date indicated and the charges made were pursuant to the terms and conditions of Exhibit A.
