RE: AMENDMENT TO SMALL TRACT OIL AND GAS LEASE COVERING CERTAIN
PROPERTY OWNED BY WELD COUNTY, COLORADO, AND AUTHORIZE CHAIR TO
SIGN - GRIZZLY PETROLEUM COMPANY, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County, Colorado, is the owner of vast acres of mineral lands located
in Weld County, Colorado, and
WHEREAS, the Board approved a Small Tract Oil and Gas Lease for Grizzly Petroleum
Company, LLC, 1801 Broadway, Suite 500, Denver, Colorado 80202, recorded at Reception No.
4319508, dated July 19, 2017, and
WHEREAS, the Board has been presented with an Amendment to a Small Tract Oil and
Gas Lease, between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and Grizzly Petroleum Company, LLC, 1001 17th Street,
Suite 2000, Denver, Colorado 80202, commencing upon full execution of signatures, with further
terms and conditions being as stated in said amendment concerning 4.042 net mineral acres,
more or less, described to -wit:
Part of Section 11, Township 4 North, Range 67
West of the 6th P.M., Weld County, Colorado, as
further described in Exhibit A to said lease
amendment
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment to a Small Tract Oil and Gas Lease, between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
and Grizzly Petroleum Company, LLC, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said lease amendment.

AMENDMENT TO WELD COUNTY SMALL -TRACT OIL AND GAS LEASE
THIS AMENDMENT TO WELD COUNTY SMALL -TRACT OIL AND GAS LEASE, hereinafter called
Amendment, is made and entered into as of this 13th day of January 2020, but effective as of May 15, 2017, hereinafter
called Effective Date, by and between WELD COUNTY, COLORADO, A POLITICAL SUBDIVISION OF THE
STATE OF COLORADO, ACTING BY AND THROUGH THE BOARD OF COUNTY COMMISSIONERS OF
THE COUNTY OF WELD, FOR ITS RESPECTIVE INTERESTS, c/o BOARD OF COUNTY COMMISSIONERS,
1150 O STREET, PO BOX 758, GREELEY CO 80632, hereinafter called Lessor, and GRIZZLY PETROLEUM
COMPANY, LLC, whose address is 1001 17t St., Suite 2000, Denver CO 80202, hereinafter called Lessee.
RECITALS
WHEREAS, Lessor entered into a Lease Agreement in favor of Lessee dated May 15, 2017, recorded on July
19, 2017 in the Real Property Records of Weld County, Colorado, at Reception Number 4319508, hereinafter called
Lease, covering the land situated in the County of Weld, State of Colorado, and more particularly described in the
"Exhibit A" therein attached to said Lease.
WHEREAS, Lessor and Lessee desire to amend said Lease with respect to the inaccurate or incomplete legal
description in said "Exhibit A" therein attached to the Lease.
AGREEMENT
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are
acknowledged, Lessor and Lessee agree as follows:
1. Except as expressly provided herein, the terms and conditions of the Lease remain in full force and effect
and are not intended to be amended or abrogated.
2. The Lease is hereby amended by deleting the Legal Description in the "Exhibit A" therein attached to the
Lease and replacing the Legal Description in said "Exhibit A" with the Legal Description in the herein attached
"Exhibit A".
3. Lessor does hereby give, grant, bargain, sell and convey to Lessee a leasehold estate in the described land
situated in the County of Weld, State of Colorado, and more particularly described in the herein attached "Exhibit A"
on the same terms as contained in the Lease and any amendments thereto, and Lessor does hereby ratify, adopt and
confirm the Lease as amended.
IN WITNESS WHEREOF, Lessor has hereunto signed and caused its name to be signed by the CHAIR,
BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF WELD, with the seal of the office affixed, and
Lessee has signed this Amendment, the day and year first above written, but shall be effective as of the Effective Date
herein.

In reference to the Amendment I spoke of on the phone with you last week, I have attached a draft for
your review of the proposal that corrects the Legal Description in the subject lease.
Please refer to the herein attached documents:

• Vesting Deed (R. 934573) in which Weld County came into the property in question, (items #6
9 and #70)
• Mineral Reservation (R. 938689) for the mineral interest in question
By cross referencing the Plat of the Town of Milliken and the Replat of Prairie View Subdivision and
then comparing it to the Replat of Prairie View Subdivision with our lot markings, it will be clear how
the Lots in the Amendment should have been included in the original lease and why we are now
amending the lease to include those lots, without abrogating any part of the lease or the lands
included in the lease.

Defendants.
This matter having come on to be heard on plaintiff's
complaint, and the defendants herein having been served with
process for the time and in the manner required by law, and each
and all of said defendants having failed to plead or answer
herein andhawing made default, except the unknown defendants
who may be in the military service, whose appearance is entered
as hereinafter stated; and plaintiff having filed its affidavit
herein as required by law with reference to any named defendants
and unknown defendants who may be in the military service as
defined by the Soldiers' and Sailors' Civil Relief Act of 1940
and subsequent amendments thereto, and Roy M. Briggs, Esq., an
attorney, having been appointed by the court to represent. any
and all such named defendants or unknown defendants who are or
may be in the military services within the terms of the Soldiers'
and Sailors' Civil Relief Act of 1940 and subsecuent amendments
and as Guardian ad litem for any defendants who may be minors
thereto,/which said attorney enters his appearance and files his
answessherein; and the court having heard the testimony in support

of plaintiff's complaint, and examined the files herein and
being fully advised
DOTH FIND
1. That all the defendants including those defendants
designated as unknown, have been duly and lawfully summoned
for the time,and in the manner required by law; that each of said
defendants although duly and lawfully summoned for the time and
in the manner required by law, have not appeared, pleaded,
demurred or answered herein, and the time therefor having elapsed,
and each and all thereof have made default; and the default of
said defendants and each thereof is now entered herein.
2. That this court has jurisdiction over the subject
matter of this action; that the allegations contained in the
complaint are true; that the plaintiff is the owner in fee simple
and in actual possession of the real estate hereinafter described
and as described in the complaint herein; that plaintiff has
made diligent efforts to obtain the names, whereabouts, resi-
dences, addresses and post -office addresses of the defendants
designated as unknown defendants, but has beer unsuccessful in
securing same; that all said defendants are unknown to plaintiff.
IT IS THEREFORE ORDERED, ADJUDGED AND DECREED That the
.title and possession of the plaintiff in and to the following
described realestate situate in the County of Weld and State of
Colorado be and the same is hereby forever settled and quieted
in accordance with the complaint as against all claims and
demands in law or in equity by the said defendants and those
claiming by, through, or under them, or any of them, to -wit,
