RE: AMENDED ARTICLES OF ASSOCIATION OF LARIMER-WELD
REGIONAL COUNCIL OF GOVERNMENTS.
WHEREAS, hertofore and on November 28, 1973, pursuant to law,
the Board of County Commissioners, Larimer County, by Resolution did
adopt the Larimer-Weld Regional Area Council of Governments, and
WHEREAS, certain differences had arisen as to the formation and
operation of said organization, and
WHEREAS, all such differences now have been amicably resolved
to the mutual satisfaction of allmembers thereof by certain amendments
and deletions.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County Commissioners
Larimer County, Colorado, that the Amended Articles of Association of
Larimer-Weld Regional Council.:tof Governments, copy of which is attached
hereto and made a part hereof by reference, be, and they hereby are
approved.
The above and foregoing Resolution was, on motion duly made and
seconded, adopted by the following vote on the 28th day of November, A.D.
1973.

Dear Glenn:
Reference is made to the proposed Articles of Associa-
tion of the Larimer-Weld Regional Council of Governments.
The following is presented for your information.
1. At the City Council meeting of November 20th the
Loveland City Council, at the recommendation of
the Latimer County Commissioners , approved the pro-
posed articles in concept subject to corrections of
a typographical and gramatical nature being made
at the November 28th meeting. Attached you will
find the outline of the proposed corrections.
2. The City Council also appointed Mayor Jean Gaines
as the official representative of the City on the
Executive Board and Mayor Pro-Tem Charles Armfield
as the alternate member.

Dear Sirs:
In compliance with your request, I have reviewed the
amended trticles of Association of Larimer-Weld Regional
Council of Governments forwarded to me per a copy of a letter
to Glenn K. Billings, dated October 31 , 1973. From my review
of said Amended Articles of Association, I cannot approve the
same.
I raise the following questions, and make the following
recommendations or suggested changes:
' . Article I, Section 1 . The reference as to the com-
position of the Council is not clearly set forth. In Article
IV, Section 2 there is a provision that the "Council of the
Whole" shall meet. What is the composition of that council?
The whole population of Larimer and Meld Counties? I suggest
that the second sentence of Article I, Section 1 should read
as follows if this is the intention of the parties: The
Council is comprised of the duly appointed representatives
from the Counties of Larimer and Weld and the municipal cor-
tI, porations located therein which ratify this Agreement in
writing.
2. Article I, Section 2. What is the total membership
of the Council, because it is not defined in the Articles.
Does the "total membership" have any voting rights?
x. Article I, Section 3 should be amended to state in
the third line, before the word "Larimer" the following:
representatives from, if that is the intention of the parties.
4. The word "immediate" in the second line on page 2
should be changed to "immediately" or omitted.
5. The meaning of Article I, Section 3, a. and b. is
not clear. I suggest the following wording:
a. an elected member of a city council or board of
trustees of a municipal corporation who will be serving during
his or her term of office; or

b. an elected mayor of a municipal corporation.,
serving during the term of his or her office.
6. The second paragraph following subparagraph b. ,
Article I, Section 3 raises soma question as to wbat it
to actually means. The Section appears to me to provide that
the participating municipal corporations shall jointly vote
to determine how each municipal corporation's voting repre-
sentative shall be selected. Is it the intention that the
governing; body of each participating municipal corporation
shall determine how its representative shall be selected?
If the foregoing is the intention, it is my opinion that the
paragraph should be reworded to so provide.
7. There is a typographical error in the second line

of Article I, Section 4 in that the reference is to paragraph
2 and, in my opinion, the reference should be to paragraph 3.
8. I suggest the following wording for the last sentence
in Section 4, Article I to more clearly state the intention of
the parties: Any vacancies occurring on the Governing Board
(� shall be filled in the same manner as provided above for the
original designation.
T 9. I suggest the following wording for Section 6, Article
I to more clearly state the intention of the parties: Each
municipality shall have the right to designate an alternate.
�f In the first instance, the alternate shall be selected by the
municipality at the same time that the voting representative
is selected. The alternate shall meet the qualifications of
the voting representative as set forth in Article I, Section
3.
10. In my opinion, subparagraph h. , Section 2, Article
II provides that the Council speaks exclusively for all of
the municipalities. Is it the intention to foreclose a
municipality from having the ability of speaking as to its
position if it should disagree with the Council?
11 . The word "officials" in the first full paragraph of
au ph(5)under k.of Section 2,Article II should,in
my op on, be stricken and the words "governmental entities"
substituted therefor. The officials are not the contracting
agencies. It is the governmental entities that are contracting.
12. The paragraph after subparagraph e. , Section 3,
Article II appears to conflict with the provisions of Article

IV, Section 4 in that said paragraph provides "upon agreement
of all interested member jurisdictions." whereas said Section
4 provides that a vote of eight (8) members is required to
adopt any matter before a Governing Board.. The Governing
Board is granted the authority in Article I, Section 3 to
"conduct the business of the Council between general meetings."
There appears to be no limitation as to what action the govern-
ing Board may take; therefore, I assume that that power would,
U in my opinion, include exercising all powers set forth in
CRS 1963, Chapter 88, Article (as amended) . The paragraph
after said subparagraph e. appears to substantiate that fact
by providing "the Governing Board of the Council may exercise
all powers set forth in CRS 1963, Chapter 88, Article 2 (as
amended) , . . " Is it the intention that all governmental
entities that are members of the Council must agree, or is
��; it the intention that all members of the Governing Board of
the Council must agree, or is it the intention that a vote
of eight (8) members will have the authority to make binding
--� agreements? Is it the intention of the Articles of Association
D to be binding upon all of the municipalities within the
r' respective counties; if so, I question the authority of the
Council to bind those municipalities unless they are members
of the Council.
There is a typographical error in the first word of the
paragraph after subparagraph e. , Section 3, Article II. The

13. It is my opinion that the word "whereby" in the
fourth line of Section 3, Article II should be "where. "
14. In Article III, Section 1 , the reference to Article
I, paragraph 3 should be Article I, paragraph 2.
15. What is the composition of the "Council of the Whole"
referred to in Article IV, Section 2?
16. It is my opinion that the words "or alternates"
should be added to Section 3, Article IV.
17. It is my opinion that the wording of Section 5,
Article IV is confusing and I suggest the following warding;
5. Action of the Governing Board shall, be by a
majority vote except where the issue involves an amendment
of the Articles, or the adoption, of the budget and funding
of the Council, etc.

18. In Article VI, Section 1 , the reference to Article
IV, Section 4 should be Article IV, Section 5.
Is it the intention that all funds required by the
Council shall be apportioned solely to the counties and not
t::ie municipalities? It is my opinion that such an inter-
pretation could be made of the provisions in the last part
o£ said 4ection 1 .
19. The last phrase of Section 3, Article VI "or as
otherwise required by law." raises a question as to what is `
required. Otherwise, what is required by law?
20. In Article VII, Section 2, the reference to Article
IV, Lection 4 should be Article IV, Section 5.
f.. 21 . Should not some provisions be made for the with-
drawal of a municipality from the Council and the effect of
11 such withdrawal?

3. The following comments pertain to policy matters
which, to me, are rather important:
•
a. Page 2, paragraph beginning with the 6th line:
This paragraph means that the municipal •
corporations will select their voting repre-
sentatives in the same manner as the majority
vote of the participating member muncipal .
corporations shall determine. If it is the •
intent that each city determine its own method
of selection, this is not provided for. Like-
wise, the method of selection according to this
paragraph would be determined by a majority vote
of all member municipal corporations, not just
those entitled to otherwise vote.
•
b. Page 4, Article II, paragraph 2 h. , states that
the Council shall speak as spokesman for local
governments on matters of regional or mutual
. concern. This means that an individual city, if
it were a member of the Council, could not
theoretically make its feelings known on such
matters. For example, it is undoubtedly true
that the cities will not have the same viewpoint
concerning planning matters; since planning will
be o£ a regional concern the Council of Govern-
• ments, after majority vote, would tell any
. interested body such as the state, what the •
region felt; and, according to the Articles, the
City has delegated this responsibility to the
Council of Governments. I do not believe this is
' either wise or necessary.
- c. Page 7, Article VI, provides that the two counties
shall provide all the funds required by the Council. '
It does not say participating municipalities and
counties. I do not know what the intent was, but
the way it is drafted, the cities would have no
financial obligation.
d. No provision is made for withdrawal by a municipality
from the Council of Governments or the, effect of
such withdrawal. It does not seem to me to be wise
for the city to bind itself in perpetuity.

Though clearly we are reaching a point where certain
municipal functions are handled on a regional basis there exists,
and will continue to exist, a grey area in which each individual •
city will have its own solution to a particular problem. •
Constitutionally I do not believe that this right of the City for
self-determination should be abrogated to any other entity and as
such, the City should be permitted to withdraw and not be subject
to acts of the Council of Governments.
Inasmuch as there are substantial typographical errors
and corrections that need to be made, and since certain policy issues
are not clearly spelled out, I cannot approve as to form the proposed
Articles.

RESOLUTION
WHEREAS, the City of Greeley is a member of the Larimer- •
Weld Regional Council of Governments, and has previously given
its approval to the Articles of Association of that organization;
WHEREAS, it has been proposed that the Articles of
Association of the Larimer-Weld Regional Council of Governments
be amended, and a document entitled "Amended Articles of Assoc-
iation of Larimer-Weld Regional Council of Governments" has
been presented to the City Council of the City of Greeley,

Colorado for its approval, acceptance, adoption, and ratification,
a copy of said document being attached hereto, and
WHEREAS, the City Council has considered said document and
has found that it would be to the best interest of the citizens

OF THE COUNCIL OF THE CITY OF FORT COLLINS
APPROVING THE ARTICLES OF ASSOCIATION OF THE
LARIMER-WELD AREA COUNCIL OF GOVERNMENTS
ELECTING ON BEHALF OF THE CITY OF FORT COLLINS
• TO BECOME A MEMBER OF SUCH COUNCIL OF
GOVERNMENTS AND DESIGNATING THE REPRESENTATIVE
AND ALTERNATE REPRESENTATIVE TO SUCH COUNCIL OF
GOVERNMENTS FROM THE CITY OF FORT COLLINS
WHEREAS, pursuant to Article XIV, Section 18(2) , of the Constitu-
tion of the State of Colorado and Article II of Chapter 88, Colorado
Revised Statutes, 1963, as amended, the boards of County Commissioners
of the Counties of Larimer and Weld have adopted Articles of Association
for a proposed Larimer-Weld Area Council of Governments; and
WHEREAS, the municipalities in such counties have been invited
to join such Council of Governments; and
WHEREAS, under the proposed Articles of Association the City of
Fort Collins would be entitled to a representative on such Council of
Governments; and
WHEREAS, it is the opinion of the City Council that the best
interests of the City of Fort Collins would be served if the City of Fort
Collins were to approve the proposed Articles of Association and become
a member of such Council of Governments.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
FORT COLLINS:
Section 1. That the proposed Articles of Association of the
Larimer-Weld Area Council of Governments be, and the same hereby are,
accepted and approved.

Section 2. That the City of Fort Collins hereby elects to
become a member of the Larimer-Weld Area Council of Governments.
Section 3. That the City Council hereby designates Mabel G.
Preble as its representative to the Larimer-Weld Area
Council of Governments and Margaret D. Reeves as its
alternate representative, the terms of such representative and alternate
representative to expire on May 1. 1974 •

I have received the Amended Articles on the Regional
COG. The changed which we suggested have been made with
two exceptions:
1. Page 2, 2nd paragraph, still states that the
representatives from the municipal corporations shall be
selected in a manner agreed upon by majority vote of the
participating municipalities. This means that the repre-
sentatives from the cities will all be selected in the
same manner and the manner of seledtion will be determined
by the participating cities.
2. We had originally suggested on page 7 , Article VI,
Paragraph 1, 4th line, that "Section 4" should read
"Section 5" . I §elieve this change should be made.
I have approved the Amended Articles as to form, however,
I feel attention should be given to the above items.
