RE: APPOINT DIRECTORS TO FILL VACANCIES ON BOARD OF DIRECTORS OF
KITELEY RANCH METROPOLITAN DISTRICT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Kiteley Ranch Metropolitan District ("Kiteley Ranch") is located in Weld
County, Colorado, and was approved by the Board of County Commissioners, and
WHEREAS, the Board of Directors for Kiteley Ranch is without elected Directors, and
WHEREAS, pursuant to the procedures set forth in C.R.S. §32-1-905(2.5), the Board of
County Commissioners may appoint a new Board of Directors to allow them to call and conduct
a special election on October 6, 2020, for the election of new Directors, and
WHEREAS, as set forth in the attached letter from Jennifer L. Ivey, attorney for Kiteley
Ranch Metropolitan District, dated March 3, 2020, proper procedures and publications have been
made to identify qualified candidates, who are as follows:

WHEREAS, on April 20, 2020, the Board deemed it advisable to continue the matter to
April 22, 2020, to allow the County Attorney adequate time to research the status of the District,
and
WHEREAS, after review, the Board deems it advisable to appoint the above listed persons
to the Board of Directors of the Kiteley Ranch Metropolitan District, who will then call for, and
organize, a Special Election on October 6, 2020, following the procedures set forth in
C.R.S. §32-1-905(2.5).

NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld

Directors of the Kiteley Ranch Metropolitan District.
BE IT FURTHER RESOLVED by the Board that said Board of Directors is directed to call
for and organize a special election on October 6, 2020, following the procedures set forth in
C.R.S. §32-1-905(2.5).
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 18th day of May, A.D., 2020.

Just one further comment. The statement in the 5t1i recital about the 7 qualified individuals in accurate. However, only 5
of the 7 indicated willingness to serve on the Board and the Board is only a 5 -member board. As such, I think one further
revisions needs to be made and have attached 2 different suggestions for how that might be corrected.

Thank you so much for your prompt attention to this. Unfortunately, this is the first I have seen of the resolution and it
incorrectly identifies the date of the election art which the directors will be up for election. Given the date of the County's
approval of the resolution is was at that time already impossible to hold a May 5, 2020 election for the special
district. The election is required to be held by statute within 6 months of the appointment and only on certain statutorily
allowed dates — as such the soonest the election can be held is October 6, 2020.

Re: Kiteley Ranch Metropolitan District — Appointment of Directors
Board of County Commissioners:
The Board of Directors of the Kiteley Ranch Metropolitan District, Weld County,
Colorado, (the "District") is entirely vacant and the District is unable to take any formal
action. A map and legal description of the boundaries of the District are enclosed herewith.
Our firm represents eligible electors of the District and is requesting the Board of County
Commissioners of the County of Weld, Colorado (the "County") appoint directors to fill
the vacancies on the Board of Directors of the District pursuant to § 32-1-905(2.5), C.R.S.
In accordance with § 32-1-808(2)(I), C.R.S. notices of vacancies on the Board of
Directors of the District were published in The Greeley Tribune on November 29, 2018
and again on May 3, 2019 as evidenced by the affidavits of publication enclosed herewith.
Within ten days of the respective dates of publication no otherwise qualified eligible elector
had filed a letter of interest in filling the vacancies on the Board of Directors of the District
and to date no such letters have been received.
After such publications, in accordance with § 32-1-808(2), C.R.S., Anadarko E &
P Onshore, LLC (the owner of the property) entered into Agreements for Sale and Purchase
of Real Estate Pursuant to §§ 32-1-103(5)(b), C.R.S. and 32-1-808, C.R.S. with Chad
Ellington, Anthony Loeffler, and Donald C. Jobe III for the purpose of qualifying they as
eligible electors of the District. In accordance with § 32-1-103(5)(a)(II), C.R.S. spouses or
civil union partners of the aforementioned eligible electors are also eligible electors of the
District.
Our firm caused a search to be performed by the Weld County Assessor of property
owners within the boundaries of the District and received confirmation that the property
within the boundaries of the District is owned by Anadarko E & P Onshore, LLC and that
there are no other property owners. Our office also received a list of registered electors
residing within the boundaries of the District from the Clerk and Recorder of Weld County
indicating that there is one such registered elector.

As a follow-up to our brief conversation this afternoon, here is some additional information in response to some of the
questions I was able to catch during today's BoCC meeting.
The Board was entirely vacated due to transition of the property from the former owner to the current owner
sometime during or before 2018
- With no Board of Directors the District is completely unable to take actions or comply with statutory
requirements, this would include responding to a request for an annual report or quinquennial finding of
reasonable diligence
Based on the last available financial information from the District, the District has not assessed a mill levy or
issued any bonded indebtedness.
- The eligible electors that have submitted letters of interest in serving on the Board of Directors are qualified under
purchase contracts with Anadarko E & P Onshore, LLC

Once the BoCC appoints a Board of Directors that Board of Directors shall call for nominations for a special
election within six months after their appointment. We are now too late for that to occur in conjunction with the
May 5, 2020 regular election, instead this would occur as a court -order special election within the statutorily
required 6 -month window.
I will leave the only questions I head, which I am listing below, for Chad to respond to since they are outside of the scope
of what I have been advising on:
1. Describe how the property came to be owned by Anadarko E & P Onshore, LLC.
2. What is Anadarko E & P Onshore, LLC or the current developers plan for development of the property?

Anadarko purchased the property to use as a drill site (possibly under another entity name) from Jerrie Eckelberger who
was processing prior plans for the property's development about 4-5 years ago. (Previously Approved PUD is attached for
reference.)
2.) What is Anadarko F & P Onshore, LLC or the current developers plan for development of the property?
My company (Peak Development Group) is under contract to purchase the property around the new well pad from
Anadarko and their successor (Occidental Petroleum) to develop the property mainly as was previously contemplated, a
master -planned residential community. The Metro District and its ability to finance public infrastructure is an integral
part of the development's viability due to the high costs of infrastructure improvements.

Thanks Bruce. This is the COZ plat, which was approved by the Board back in 2006 and recorded. Shortly after the COZ
was approved the Board approved the Service Plan. However, the developer never followed through with the final plan /
plat. The Board gave a two year extension in 2014 to get the final plat recorded in 2016. Right about the time this
extension expired the developer sold the property to Anadarko for $5,250,000. Kim and I spoke to reps from Anadarko
about two years ago asking them if they had any plans to develop and their response at that time was "no". We even
suggested at the time to change the zoning back to Ag if they were not going to develop. We heard crickets after that.
Chris Kennedy who is the planner for Mead said that Oxy approached them last year to discuss annexation, but they
haven't received a formal annexation petition as of today. Tom
