Ross 2020-1475 EM0019 BC0054 FIRST AMENDMENT TO THE INTERGOVERNMENTAL AGREEMENT BETWEEN CITY OF GREELEY AND WELD COUNTY FOR A COVID-19 PERSONAL ISOLATION FACILITY THIS first amendment to that certain Intergovernmental Agreement for the operation of a Personal Isolation Facility (PIF) upon the Evangelical Lutheran Good Samaritan — Bonell Community campus (the "Bonell Facility") in Greeley, Colorado dated April 21, 2020 (the "IGA") is made and entered into this 18th day of May, 2020, by and between the City of Greeley, Colorado, a home rule municipality of the State of Colorado, whose address is 1000 10t11 Street, Greeley, Colorado 80631, hereinafter referred to as "Greeley" and the County of Weld, State of Colorado, by and through the Board of County Commissioners of the County of Weld, Colorado whose address is P.O. Box 758, 1150 "O" Street, Greeley, Colorado 80632, hereinafter referred to as "Weld County." WHEREAS, in accordance with Paragraph 17 of the IGA, the parties are desirous of amending certain terms to reflect a reassignment of duties and responsibilities and to extend the term of the agreement. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree to amend and extend the IGA as follows: 1. Paragraph 1 of the IGA is amended to read as follows: "1. PROJECT: The project shall consist of establishing, funding and operating a COVID-19 PIF at the Bonell Facility. The parties' respective financial and operational obligations shall consist of the following: a. Weld County Responsibilities: Weld County shall provide services and/or funding for the following activities in an amount not to exceed twenty nine thousand dollars ($29,000.00): i. Leasing the Bonell Facility through August 7, 2020; ii. Completing an initial deep cleaning of the Bonell Facility; iii. Providing daily trash removal; iv. Provision of Personal Protective Equipment (PPE) and provision of one half (1/2) of necessary cots and bedding. b. Greeley Responsibilities: Greeley shall provide services and/or funding for the following activities in an amount not to exceed two hundred thousand dollars ($200,000.00): i. Inspecting the Bonell Facility and completing all building repairs and maintenance necessary for occupancy; 1 goo -1915 ii. Overseeing all aspects of the Bonell Facility operation, including operation management, provision of site security services, routine cleaning, meal delivery, patient transportation, provision of one half (1/2) of necessary cots and bedding, and provision of toiletry and cleaning supplies." 2. Paragraph 4 of the IGA is amended to read as follows: "4. EFFECTIVE DATE AND TERM: This Agreement shall be effective as of April 21, 2020. The term of this Agreement shall be from the effective date until August 7, 2020 unless extended by agreement of the parties hereto." 3. Paragraph 19 shall be added to the IGA as follows: "19. CASUALTY LOSS: Weld County shall provide Greeley with evidence of adequate insurance coverage for casualty loss at the Bonell Facility and agrees to indemnify, defend and hold Greeley harmless against any claims or suit for damages stemming from a casualty loss at the Bonell Facility as well as for any claim arising from the condition of the facility at the time the premises are returned to the lessor." 4. Unless otherwise amended herein, all other terms and provisions of the IGA shall remain in full force and effect.
