RESOLUTION
RE: AGREEMENT BETWEEN WELD COUNTY AND POUDRE VALLEY
RURAL ELECTRIC ASSOCIATION (R. E. A. ) FOR ELECTRIC
POWER SERVICE TO THE FORMER ATLAS MISSILE SITE WEST
OF GREELEY, COLORADO.
WHEREAS, pursuant to law, the Board of County Commissioners,
Weld County, Colorado, is vested with the responsibility of administering
the affairs of Weld County, Colorado, and
WHEREAS, Weld County is the owner of the former Atlas Missile
site west of Greeley, Colorado, and
WHEREAS, the Board has determined to develop said former Atlas
Missile Site as a county park and recreational area and is desirous of
obtaining electric power service thereto, and
WHEREAS, Poudre Valley Rural Electric Association (R. E. A. )
has submitted an agreement providing for the necessary electric power
service to said former Atlas Missile Site, and
WHEREAS, the Board believes it to be in the best interest of the
County to enter into such agreement on the basis recited therein.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, Weld County, Colorado, that said agreement with
Poudre Valley Rural Electric Association (R. E. A. ) providing for electric
power service to the former Atlas Missile Site west of Greeley, Colorado,
copy attached hereto and made a part hereof by reference, be, and it
hereby is approved.
BE IT FURTHER RESOLVED, that the Board be, and it hereby
is authorized to exdecute the agreement as submitted and to make the same
effective forthwith.
BE IT STILL FURTHER RESOLVED, that the Board, be, and it
hereby is authorized to execute an easement providing the necessary
right-of-way to Poudre Valley Rural Electric Association (R. E. A. ) for
the necessary power lines to run parallel with the access road leading to
the aforementioned former Atlas Missile Site.
The above and foregoing Resolution was, on motion duly made and
seconded, adopted by the following vote on the Sth day of December,

( l CONTRACT FOR ELECTRIC SERVICE C
The undersigned(hereinafter called the"Applicant''hereby applies for electric service from Poudre Valley Rural Electric Association,Inc.,
(hereinafter called the"Association") upon the following tams and conditions.
1. GENERAL -
a The Applicant will,when electric energy becomes available,purchase from the Association all electric energy used on the premises described
below and will pay therefore at the applicable rates and terms in accordance with the"Schedule of Rates for Electricity and Rules and
Regulations" (hereinafter called the"Rules end Regulations") as may from time to time be filed with the Public Utilities Commission of
the State of Colorado. This contract shall continue In force for a minimum of five years from the date service is made available hereunder
and thereafter until the contract expiration date If for a period greater than five years and/or thereafter until cancelled by at least thirty
(30) days written notice given by either party to the other.
b. The minimum monthly or annual charge for electric service,regardless of the k Howell hours consumed,shall be the higher of the following
charges:
1) The minimum specified in the applicable rate schedule,or
2) One percent(190 of the construction cost per month or twelve percent(12%) of the construction cost annually,based upon the actual
necessary tort of constructing and installing the line extension and facilities necessary to supply the service,or
3) The transformer charge specified in the applcable rate schedule.
c. No agent or representative of the Association has the power to amend,modify,alter or waive any of the provisions of the terms of this
contract. Any promises,agreements,or representations made by any agent or representative of the Association not herein sat forth shall
be void and of no effect.
d. Acceptance of this contract by the Association stall constitute a binding agreement between the Applicant and the Association. This
contract will not alter the terms of any other contract between the Applicant and the Association.
2. RESPONSIBILITY
a. The Applicant will sign a separate Application for Service on the form provided and will comply with the Rules and Regulations of the
Association.
b. Failure on the part of the Applicant to accept service from the Association,to comply with the Rules and Regulations of the Association
or to carry out the terms end conditions of this coMract, shall not relieve the Applicant from the payments and conditions set forth In
this contract
c. The applicant press that indebtedness incurred under this contract shell be considered as a lien against the real estate described below and
• may be enforced by foreclosure thereof. The Asaocleticn may record this instrument In the office of the County Clark and Recorder in
the County In which the reel estate is situated
d. This agreement shall be binding upon the successors,legal representatives,heirs,devisees,and assigns of the respective parties hereto.
s. The Association shall use reasonable diligence to provide the Applicant with a constant end uninterrupted supply of electric power and
energy;but H such apply shall fail or be interrupted or become defeetbe through act of God,or the public enemy,or by accident,strikes,
labor troubles,or by action of elements or inability to secure rights•ofw ay,or other permits needed,or any other cause beyond reasonable
control of the Association,the Association shall not be liable therefore.
3. RIGHTS•OFNAY
a The Applicant hereby grants end conveys unto the Association the right, privilege and easement to construct, operate end maintain
• together with right of Immo and egress, transmission or distribution lines and appurtenances,either overheed and/or underground over
and across land of the Applicant, as may be necessary or convenient to the extension of service and agrees,upon request,to execute the
Association's Standard Right-of-Way Easement granting suitable easement,at no expense therefore.
b. The Appliesmt hereby gives to the Association without cost or expense,the further right and privilege to cut and trim any trees or shrub.

anchors or underground service but will not be responsible for damage to sewers,water lines or other underground facilities if the exact
location of such underground property can not be determined before construction begins.
4. CONTRACT PROVISIONS
a Service will be rendered at the Association's standard voltage. The Association's meter shall constitute the point of delivery to the Appli-
cant and the Applicant will own and maintain all poles,wires,equipment and other facilities beyond the point of delivery.

Please find enclosed the papers necessary for power at the missile site we,Greeley. As you
con see the Purchase of Power and Contract have the voltage of 120/240 filled in. If this is not
correct after you consult with you electrician, please change these figures and date and initial
the change.
In talking with Mr. Dave Town of Nelson, Haley, Patterson, and Quirk, there seems to be some
question as to what the total KVA load is to be. If this is going to change, please change these
figures and initial and date the change.
It has been our experience in working with county projects that the county commissioners cannot
commit tax money for more than one year. The contract the Association requires is for ten years.
If it is impossible for you to sign a contract with a long term commitment, th
struction will be payable by Weld County. The cost of construction would a $4,574.00.
Payment would have to be made prior to the release of the work order. The would be
returned at the rate of 12 per cent after two full years of service. This is more clearly defined
on page 158, paragraph 2 of subparagraph A,in the extension policy on file with the Public
Utilities Commission of Colorado.
It will also be necessary for you to sign a right-of-way easement for the power line that runs
parallel to the access road to the missile site. An easement for the down guy on the tap pole
will also have to be soliciated by your personnel.
If the county commissioner would like to have a meeting with a representative of our company,
please feel free to call and set up an appointment. Should you have any questions, please let
me know.

V - SERVICE CONNECTION AND LINE EXTENSION POLICY
6. EXTENSION TO INDETERMINATE SERVICE _
The Association will extend service of this class upon the following terms and
conditions.
a. The applicant will enter into a ten year term contract with the Association
for electric service at the applicable rate schedule.

AGREEMENT FOR PURCHASE OF POWctt
AGREEMENT made , 19 , between Poudre Valley Rural Electric Association,
Inc. (hereinafter called the "Seller"), and Weld County
(hereinafter called the "Consumer"), a
(Corporation, Partnership, etc.)
WITNESSETH
The Seller agrees to sell and to deliver to the Consumer, and the Consumer agrees to purchase
and receive from the Seller all of the electric power and energy which the Consumer may need
at Section 2 , Township 5 , Range 67 , in Weld
County, Colorado, up to 1125 KVA, upon the following terms _
1. SERVICE CHARACTERISTICS •
Service hereunder shall be alternating current, three phase, sixty cycles,
120/240 • volts.
2. PAYMENT
(a) The Consumer shall pay the Seller for service hereunder at the rates and upon the
terms and conditions set forth in Schedule Lp, attached to and made a part
of this agreement or any duly authorized succeeding rate schedule. Notwithstanding
any provision of the Schedule, however, and irrespective of the Consumer's requirements,
the Consumer shall pay to the Seller not less than $ 84.38 per month for
service or for having service available hereunder.
(b) The initial billing period shall start when the Consumer begins using electric power
and energy, or thirty (30) days after the Seller notifies the Consumer in writing that
service is available hereunder, whichever shall occur first.
(c) Bills for service hereunder shall be paid at the office of the Seller in Fort Collins,
State of Colorado, monthly and promptly after the bill is mailed to the Consumer. If
the Consumer shall fail to pay any such bill promptly, the Seller may discontinue .
service hereunder by giving fifteen (15) days notice in writing to the Consumer.
(d) The Consumer agrees that if, at any time, the rate under which the Seller purchases
electric energy at wholesale is modified, the Seller may make a corresponding
modification in the rate for service hereunder.

3. CONTINUITY OF SERVICE
The Seller shall use reasonable diligence to provide a constant and uninterrupted
supply of electric power and energy; but if such supply shall fail or be interrupted,
or become defective through an act of God, or the public enemy, or by accident,
strikes, labor troubles, or by action of the elements, or inability to secure right—of—
ways, or other permits needed, or for any other cause beyond the reasonable control
of the Seller, the Seller shall. not be liable therefor.
4. MEMBERSHIP
The Consumer shall become a member of the Seller, shall pay the membership fee of
five dollars ($5.00) and be bound by the provisions of the articles of incorporation and
by—laws of the Seller and by such rules and regulations as may from time to time be
adopted by the Seller and filed with the Public Utilities Commission o£ the State of
Colorado.
5. LIABILITY
The Consumer, by paying a membership fee and becoming a member, assumes no
liability or responsibility for any debts or liabilities of the Seller and it is expressly
understood that the property of the Consumer cannot be attached for any debts or
liabilities of the Seller.
6. TERM
This agreement shall become effective on the date first above written and shall remain
in effect until years following the start of the initial billing period and there
after until terminated by either party giving to the other six months notice in writing.
7. CANCELLATION —
(Cross out this section if construction deposit mode as outlined)

In the event of cancellation by the Consumer after the first year of service hereunder,
the Consumer shall pay to the Seller a sum equal to,the following construction cost as

8. DEPOSIT

on or before commencement of construction of such facilities. Such deposit shall
be returnable to the original Consumer without interest during the ten (10) years

deposit amount per year. The refunds will be mode on or about the March 15th
following two (2) full years of service. Refund payments will be made only as long
as the facilitiesare in continuous use by the original applicant.

This agreement shall be binding upon and inure to the benefit of the successors,
legal representatives and assigns of the respective parties hereto,
10, ALTERATIONS
No agent or representative of the Seller has the power to amend, modify, alter or
- waive any of the provisions of the terms of this contract (except Section 7 may be
eliminated) or any of the general terms and conditions relating not herein contained.
Any promises, agreement or representations made by any agent or representative of
the Seller not herein set forth shall be void and of no effect.
IN WITNESS THEREOF the parties hereto have caused this agreement to be executed by their
duly authorized representatives all as of the day and year first above written.

MINIMUM CHARGES •
The minimum monthly charge under the above rate shall be $3.00 where 5 KVA

former capacity is required, the minimum shall be increased at the rate of 74
for each additional KVA or fraction thereof. '
SERVICE AT PRIMARY VOLTAGE •

If service is furnished at primary voltage, a discount of seven percent (7%)
shall apply to the energy charges, and if the minimum charge is based on trans-
former capacity, a discount of seven percent (7%) shall also apply to the
• minimum charge. Service may be metered at secondary voltage and adjusted

The above rates are net, the gross rate being five percent (5%) higher. In
the event the current monthly billing is not paid by the due date of the bill, RATE
the gross rate shall apply.
- ANNUAL BILLING OPTION
Any consumer served under this rate schedule may have the option of annual
billing, the billing period being from November to November, with the
consumer making a prepayment equal to the last year's billing or equal to the
estimated annual bill. Any excess used over the amount of KWH's prepaid
shall be billed according to Rate Schedule B-S. If the usage is less than was
prepaid, the account shall be adjusted to actual use but no refund will be
made for use less than provided in the minimum charge. .
Charges for excess KWH's used shall be billed. In the event the bill is not
--� paid by the due date of the bill, the gross rate shall apply.

In the event that the prepayment of the next year's estimated annual billing is
not paid by the due date of the annual billing option, the account shall be
billed on the regular monthly schedule until the following November.

This agreement shall be binding upon and inure to the benefit of the successors,
legal representatives and assigns of the respective parties hereto.
10, ALTERATIONS
No agent or representative of the Seller has the power to amend, modify, alter or
waive any of the provisions of the terms of this contract (except Section 7 may be
eliminated) or any of the general terms and conditions relating not herein contained.
Any promises, agreement or representations made by any agent or representative of
the Seller not herein set forth shall be void and of no effect.

MINIMUM CHARGES

The minimum monthly charge under the above rate shall be $3.00 where 5 KVA
or less of transformer capacity is required. When more than 5 KVA of trans-
former capacity is required, the minimum shall be increased at the rate of 75q
for each additional KVA or fraction thereof.
SERVICE AT PRIMARY VOLTAGE
a
If service is fumished at primary voltage, a discount of seven percent (7%)
shall apply to the energy charges, and if the minimum charge is based on trans-
former capacity, a discount of seven percent (7%) shall also apply to the
minimum charge. Service may be metered at secondary voltage and adjusted
by adding the estimated transformer losses to the metered KWHrs. All

The above rates are net, the gross rote being five percent (5%) higher. In
the event the current monthly billing is not paid by the due dote of the bill, RATE
the gross rate shall apply.
ANNUAL BILLING OPTION
• Any consumer served under this note schedule may have the option of annual
billing, the billing period being from November to November, with the
consumer making a prepayment equal to the last year's billing or equal to the
estimated annual bill. Any excess used over the amount of KWH's prepaid
shall be billed according to Rate Schedule B-S. If the usage is less than was
prepaid, the account shall be adjusted to actual use but no refund will be
made for use less than provided in the minimum charge.
Charges for excess KWH's used shall be billed. In the event the bill is not
paid by the due date of the bill, the gross rate shall apply.
In the event that the prepayment of the next year's estimated annual billing is
not paid by the due date of the annual billing option, the account shall be
1 billed on the regular monthly schedule until the following November.
