RE: APPROVE AMENDMENT #1 TO MEMORANDUM OF AGREEMENT BETWEEN WELD
COUNTY, COLORADO, AND UPSTATE COLORADO ECONOMIC DEVELOPMENT AS
A RECIPIENT OF CARES ACT MONIES AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, an Amendment #1 to the Memorandum of Agreement between Weld County,
Colorado, and Upstate Colorado Economic Development as a recipient of CARES Act monies
has been presented to the Board of County Commissioners of Weld County, Colorado, a copy of
which is attached hereto and incorporated herein by reference, and
WHEREAS, Upstate Colorado Economic Development was awarded the sum of
$1,173,593.00 of CARES Act monies for a business relief program and up to an additional
$50,000.00 of CARES Act monies, which needs to be amended to the amount of $2,173,293.00,
for the purpose of administering a business relief program in accordance with the CARES Act
regulations and guidelines, and
WHEREAS, the contract period shall remain from June 1, 2020, through December 30,
2020, and
WHEREAS, the Board of County Commissioners deems it advisable, and in the best
interest of Weld County, to approve said amendment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment #1 to the Memorandum of Agreement between Weld
County, Colorado, and Upstate Colorado Economic Development as a recipient of CARES Act
monies, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair of the Board of County
Commissioners of Weld County, Colorado, be, and hereby is, authorized to sign said amendment.

AMENDMENT TO THE MEMORANDUM OF AGREEMENT BETWEEN WELD COUNTY,
COLORADO, AND UPSTATE COLORADO ECONOMIC DEVELOPMENT
This Amended Memorandum of Agreement between Weld County, Colorado, and Upstate
Colorado Economic Development ("Agreement") is made this 14th day of December, 2020, by
and between County of Weld, a body politic and corporate of the State of Colorado, by and
through the Board of County Commissioners of the County of Weld, hereinafter referred to as
"Weld" and Upstate Colorado Economic Development, hereinafter referred to as "Contractor", the
parties agree as follows:
WHEREAS, on the 17th day of August, 2020, nunc pro tunc to June 1, 2020, Weld entered
into an Agreement with Contractor to administer a business relief program, known as the "Weld
County Business Recovery Program" in accordance with CARES Act regulations and guidelines,
and
WHEREAS, Weld has now determined that additional funds are necessary to meet the
demand for additional business relief for Weld County businesses under the CARES Act, and
WHEREAS, the amount of compensation of said agreement needs to be amended from
$1,173,593 to the amount of $2,173,293, and
WHEREAS, Weld and Contractor now wish to amend the term of the Agreement of
August 17, 2020, paragraph 3 to modify the not to exceed amount for this contract from
$1,173,593 to the amount of $2,173,293. This increase is in order to continue to provide additional
business relief for Weld County businesses under the CARES Act.
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth
hereinafter, Weld and Contractor agree as follows:
Compensation: "Weld" agrees to pay "Contractor" on a full cost reimbursement basis of
the grants paid to businesses and administrative costs incurred to administer the Weld County
Business Recovery Fund. The total amount paid by "Weld" to "Contractor" under this Agreement
shall not exceed the sum of $2,173,293.
