HomeMy WebLinkAbout20203038.tiffWELD COUNTY AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN WELD COUNTY AND G4S SECURE SOLUTIONS (USA) INC (ARMED SECURITY GUARD SERVICES) rd THIS AGREEMENT is made and entered into this �3 'Oday of (\pvembe,r , 2020, by and between the County of Weld, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 "O" Street, Greeley, Colorado 80631 hereinafter referred to as "County," and G4S Secure Solutions (USA) Inc., who whose address is 1395 University Boulevard, Jupiter Florida 33458, hereinafter referred to as "Contractor". WHEREAS, County desires to retain Contractor as an Independent Contractor to perform services as more particularly set forth below; and WHEREAS, Contractor has the ability, qualifications, and time available to timely perform the services, and is willing to perform the services according to the terms of this Agreement. WHEREAS, Contractor is authorized to do business in the State of Colorado and has the time, skill, expertise, and experience necessary to provide the services as set forth below; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. Introduction. The terms of this Agreement are contained in the terms recited in this document and in Exhibit A, County's Request for Proposal and Exhibit B, Contractor's Response to the County Request for Proposal, which forms an integral part of this Agreement. Exhibits A and B are specifically incorporated herein by this reference. Exhibit A, County's Request for Proposal, is further identified as bid number B2000175, and contains all of the specific requirements of the County. Exhibit B, Contractor's Response to the County Request for Proposal, confirms Contractor's obligations under this Agreement. 2. Service or Work. Contractor agrees to provide the materials, equipment and/or products necessary for the outlined Scope of Work and further agrees to diligently provide all services and labor, as set forth in Exhibits A and B with the following clarifications to the Scope of Work provision: Use reasonable efforts to prevent unauthorized activity by requesting assistance to control, subdue, disarm, or apprehend persons threatening disturbances; and Use reasonable efforts to prevent vandalism and detection of theft, loss, fire, and safety hazards. 3. Term. The term of this Agreement shall be from January 1, 2021, through December 31, 2021, or Contractor's completion of the responsibilities described in Exhibit A. This Agreement may be extended annually upon written agreement of both parties, as set forth in Exhibits A and B. 4. Transition. Contractor shall implement a 30 -day transition program which takes place prior to the commencement of this Agreement. The transition tasks to be performed by Contractor are set forth in Exhibit B under the "Transition" heading. Contractor will not receive compensation pursuant to the "Compensation/Contract Amount" of this Agreement, or any compensation from the County, for tasks and activities performed for the 30 -day transition period. Each party has the right to terminate this Agreement, with or without cause on (in the case of termination by County) thirty (30) days or, in the case of termination by Contractor, sixty (60) days, written notice. Furthermore, this Agreement may be terminated by either party at any time without notice (except as provided below) upon a material breach by the other party of the terms of the Agreement, provided that, where such breach is capable of remedy, the breaching party shall be afforded a reasonable opportunity (not exceeding thirty (30) days) to cure such breach before such termination becomes effective. 6. Extension or Modification. Any amendments or modifications to this agreement shall be in writing signed by both parties. No additional services or work performed by Contractor shall be the basis for additional compensation unless and until Contractor has obtained written authorization and acknowledgement by County for such additional services. 7. Representatives. For the purpose of this Agreement, the individuals identified below are hereby designated representatives of the respective parties. Either may from time to time designate in writing a new or substitute representative(s). All notices required to be given by the parties hereunder shall be given by certified or registered mail to the individuals at the addresses set forth below. County agrees to pay an amount no greater than the amount set forth in Exhibit B for the term of this Agreement. County agrees to pay Contractor through an invoice process during the course of this Agreement in accordance with the Scope of Work as described in Exhibit A. Contractor agrees to submit invoices which detail the work completed by Contractor. The County will review each invoice and if it agrees Contractor has completed the invoiced items to the County's satisfaction, it will use reasonable efforts to attempt to pay the contractor within forty-five (45) days after the relevant invoice is received by the County. Contractor agrees to work within the confines of the Scope of Services outlined in Exhibit A. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. 10. Independent Contractor. Contractor agrees that it is an independent Contractor and that Contractor's officers, agents or employees will not become employees of County, nor entitled to any employee benefits from County as a result of the execution of this Agreement. Contractor shall perform its duties hereunder as an independent Contractor. Contractor shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this Agreement. Contractor, its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through County and County shall not pay for 2 or otherwise provide such coverage for Contractor or any of its agents or employees. Unemployment insurance benefits will be available to Contractor and its employees and agents only if such coverage is made available by Contractor or a third party. Contractor shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to this Agreement. 11. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the particular reputation and expertise of Contractor. Contractor shall not enter into any subcontractor agreements for the completion of this Project without County's prior written consent, which may be withheld in County's sole discretion. 12. Ownership. All work and information obtained by Contractor under this Agreement or individual work order shall become or remain (as applicable), the property of County. 13. Confidentiality. Contractor agrees to keep confidential all of County's confidential information. Contractor agrees not to sell, assign, distribute, or disclose any such confidential information to any other person or entity without seeking written permission from the County. Contractor agrees to advise its employees, agents, and consultants, of the confidential and proprietary nature of this confidential information and of the restrictions imposed by this agreement. 14. Warranty. Contractor warrants that the services performed under this Agreement will be performed in a manner consistent with the standards governing such services and the provisions of this Agreement. Contractor further represents and warrants that all services shall be performed by qualified personnel in a professional and workmanlike manner, consistent with industry standards, and that all services will conform to applicable specifications. 15. Acceptance of Services Not a Waiver. In no event shall any action by County hereunder constitute or be construed to be a waiver by County of any breach of this Agreement or default which may then exist on the part of Contractor. Acceptance by the County of, or payment for, the services completed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. 16. Insurance. Contractor shall procure at least the minimum amount at or before the time of execution of any agreement or commencement of any work, the insurance covering all operations, goods or services provided under this Agreement as set forth in Exhibit A. Proof of said insurance shall be provided to County prior to the performance of any services under this Agreement. Types of Insurance: The Contract Professional shall obtain, and maintain at all times during the term of any Agreement, insurance in the following kinds and amounts: Workers' Compensation Insurance as required by state statute, and Employer's Liability Insurance covering all of the Contract Professional's employees acting within the course and scope of their employment. Policy shall contain a waiver of subrogation against the County. This requirement shall not apply when a Contract Professional or subcontractor is exempt under Colorado Workers' Compensation Act., AND when such Contract Professional or subcontractor executes the appropriate sole proprietor waiver form. Commercial General Liability Insurance shall include bodily injury, property damage, and liability assumed under the contract. $1,000,000 each occurrence; $1,000,000 general aggregate; $1,000,000 Personal Advertising injury Automobile Liability: Contract Professional shall maintain limits of $1,000,000 for bodily injury per person, 3 $1,000,000 for bodily injury for each accident, and $1,000,000 for property damage applicable to all vehicles operating both on County property and elsewhere, for vehicles owned, hired, and non -owned vehicles used in the performance of this Contract. Professional Liability (Errors and Omissions Liability) The policy shall cover professional misconduct or lack of ordinary skill for those positions defined in the Scope of Services of this contract. Contract Professional shall maintain limits for all claims covering wrongful acts, errors and/or omissions, including design errors, if applicable, for damage sustained by reason of or in the course of operations under this Contract resulting from professional services. In the event that the professional liability insurance required by this Contract is written on a claims -made basis, Contract Professional warrants that any retroactive date under the policy shall precede the effective date of this Contract; and that either continuous coverage will be maintained or an extended discovery period will be exercised for a period of two (2) years beginning at the time work under this Contract is completed. Minimum Limits: Per $ 1,000,000 Loss Aggregate $ 2,000,000 17. Indemnity. The Contractor shall defend, indemnify and hold harmless County, its officers, agents, and employees (together, "Indemnified Parties"), from and against injury, loss damage, liability, suits, actions, or claims of any type or character arising out of the Contractor's negligence or willful misconduct in the course of performing the work done in fulfillment of the terms of this Contract or on account of any act, claim or amount arising or recovered under workers' compensation law or arising out of the failure of the Contractor to conform to any statutes, ordinances, regulation, law or court decree. 18. Non -Assignment. Contractor may not assign or transfer this Agreement or any interest therein or claim thereunder, without the prior written approval of County. 19. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 20. Compliance with Law. Contractor shall strictly comply with all applicable federal and State laws, rules and regulations in effect or hereafter established, including without limitation, laws applicable to discrimination and unfair employment practices. 21. Non -Exclusive Agreement. This Agreement is nonexclusive, and County may engage or use other Contractors or persons to perform services of the same or similar nature. 22. Entire Agreement/Modifications. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 23. Fund Availability. Financial obligations of the County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. Execution of this Agreement by County does not create an obligation on the part of County to expend funds not otherwise appropriated in each succeeding year. 4 24. Employee Financial Interest/Conflict of Interest — C.R.S. §§24-18-201 et seq. and §24-50-507. The signatories to this Agreement state that to their knowledge, no employee of Weld County has any personal or beneficial interest whatsoever in the service or property which is the subject matter of this Agreement. 25. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 26. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 27. Force Majeure. Neither the Contractor nor the County shall be liable for any delay in, or failure of performance of, any covenant or promise contained in this Agreement, nor shall any delay or failure constitute default or give rise to any liability for damages if, and only to extent that, such delay or failure is caused by "force majeure." As used in this Agreement, "force majeure" means acts of God, acts of the public enemy, unusually severe weather, fires, floods, pandemics, epidemics, quarantines, strikes, labor disputes and freight embargoes, to the extent such events were not the result of, or were not aggravated by, the acts or omissions of the non- performing or delayed party. 28. No Third -Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 29. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 30. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, Contractor agrees that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 31. Public Employment Retirement Program. Contractor is responsible for notifying Weld County of any previous participation in the Colorado Public Employee Retirement Program. Contractor must notify Weld county of the most recent employment for a PERA contributing employer. 32. Public Contracts for Services C.R.S. §8-17.5-101. Contractor certifies, warrants, and agrees that it does not knowingly employ or contract with an illegal alien who will perform work under this contract. Contractor will confirm the employment eligibility of all employees who are newly hired for employment in the United States to perform work under this Agreement, through participation in the E -Verify program or the State of Colorado program established pursuant to C.R.S. §8-17.5-102(5)(c). Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or enter into a contract with a subcontractor that fails to certify with Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement. Contractor shall not use E -Verify Program or State of Colorado program procedures to undertake pre -employment screening or job applicants while this Agreement is being performed. If 5 Contractor obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or contracts with an illegal alien Contractor shall notify the subcontractor and County within three (3) days that Contractor has actual knowledge that a subcontractor is employing or contracting with an illegal alien and shall terminate the subcontract if a subcontractor does not stop employing or contracting with the illegal alien within three (3) days of receiving notice. Contractor shall not terminate the contract if within three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. Contractor shall comply with reasonable requests made in the course of an investigation, undertaken pursuant to C.R.S. §8-17.5-102(5), by the Colorado Department of Labor and Employment. If Contractor participates in the State of Colorado program, Contractor shall, within twenty days after hiring a new employee to perform work under the contract, affirm that Contractor has examined the legal work status of such employee, retained file copies of the documents, and not altered or falsified the identification documents for such employees. Contractor shall deliver to County, a written notarized affirmation that it has examined the legal work status of such employee and shall comply with all of the other requirements of the State of Colorado program. If Contractor fails to comply with any requirement of this provision or of C.R.S. §8-17.5- 101 et seq., County, may terminate this Agreement for breach, and if so terminated, Contractor shall be liable for actual and consequential damages. Except where exempted by federal law and except as provided in C.R.S. § 24-76.5-103(3), if Contractor receives federal or state funds under the contract, Contractor must confirm that any individual natural person eighteen (18) years of age or older is lawfully present in the United States pursuant to C.R.S. § 24-76.5-103(4), if such individual applies for public benefits provided under the contract. If Contractor operates as a sole proprietor, it hereby swears or affirms under penalty of perjury that it: (a) is a citizen of the United States or is otherwise lawfully present in the United States pursuant to federal law, (b) shall produce one of the forms of identification required by C.R.S. § 24-76.5-101, et seq., and (c) shall produce one of the forms of identification required by C.R.S. § 24- 76.5-103 prior to the effective date of the contract. 33. Acknowledgment. County and Contractor acknowledge that each has read this Agreement, understands it and agrees to be bound by its terms. Both parties further agree that this Agreement, with the attached Exhibits A and B, is the complete and exclusive statement of agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of this Agreement. 6 IN WITNESS WHEREOF, the parties hereto have duly executed the Agreement as of the day, month, and year first above written. If Successful vendor obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or contracts with an illegal alien Successful vendor shall notify the subcontractor and County within three (3) days that Successful vendor has actual knowledge that a subcontractor is employing or contracting with an illegal alien and shall terminate the subcontract if a subcontractor does not stop employing or contracting with the illegal alien within three (3) days of receiving notice. Successful vendor shall not terminate the contract if within three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. Successful vendor shall comply with reasonable requests made in the course of an investigation, undertaken pursuant to C.R.S. §8-17.5-102(5), by the Colorado Department of Labor and Employment. If Successful vendor participates in the State of Colorado program, Successful vendor shall, within twenty days after hiring a new employee to perform work under the contract, affirm that Successful vendor has examined the legal work status of such employee, retained file copies of the documents, and not altered or falsified the identification documents for such employees. Successful vendor shall deliver to County, a written notarized affirmation that it has examined the legal work status of such employee and shall comply with all of the other requirements of the State of Colorado program. If Successful vendor fails to comply with any requirement of this provision or of C.R.S. §8-17.5-101 et seq., County, may terminate this Agreement for breach, and if so terminated, Successful vendor shall be liable for actual and consequential damages. Except where exempted by federal law and except as provided in C.R.S. § 24-76.5-103(3), if Successful vendor receives federal or state funds under the contract, Successful vendor must confirm that any individual natural person eighteen (18) years of age or older is lawfully present in the United States pursuant to C.R.S. § 24-76.5-103(4), if such individual applies for public benefits provided under the contract. If Successful vendor operates as a sole proprietor, it hereby swears or affirms under penalty of perjury that it: (a) is a citizen of the United States or is otherwise lawfully present in the United States pursuant to federal law, (b) shall produce one of the forms of identification required by C.R.S. § 24-76.5-101, et seq., and (c) shall produce one of the forms of identification required by C.R.S. § 24-76.5-103 prior to the effective date of the contract. 4. GENERAL PROVISIOS: A. Fund Availability: Financial obligations of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By acceptance of the proposal, Weld County does not warrant that funds will be available to fund the contract beyond the current fiscal year. B. Trade Secrets and other Confidential Information: Weld County discourages bidders from submitting confidential information, including trade secrets, that cannot be disclosed to the public. If necessary, confidential information of the bidder shall be transmitted separately from the main bid submittal, clearly denoting in red on the information at the top the word, "CONFIDENTIAL." However, the successful bidder is advised that as a public entity, Weld County must comply with the provisions of C.R.S. 24-72-201, et seq., the Colorado Open Records Act (CORA), with regard to public records, and cannot guarantee the confidentiality of all documents. The bidder is responsible for ensuring that all information contained within the confidential portion of the submittal is exempt from disclosure pursuant to C.R.S. 24-72-204(3)(a)(IV) (Trade secrets, privileged information, and confidential commercial, financial, geological, or geophysical data). If Weld County receives a CORA request for bid information marked "CONFIDENTIAL", staff will review the confidential materials to determine whether any of them may be withheld from disclosure pursuant to CORA and disclose those portions staff determine are not protected from disclosure. Weld County staff will not be responsible for redacting or identifying Confidential information which is included within the body of the bid and not separately identified. Any document which is incorporated as an exhibit into any contract executed by the County shall be a public document regardless of whether it is marked as confidential. Governmental lmmunity: No term or condition of the contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable nw or hereafteramended. D. 0ndependent Contra: ctoro The successful vendor shall perform its dutir:s hereunder as an independent contractor and not as an employee. He or she shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to the contract. Neither the successful vendor nor any agent or employee thereof shall be deemed to be an agent or employee of Weld County. The successful vendor and its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through Weld County and Weld County shall not pay for or otherwise provide such c, average for the successful vendor or any of its agents or employees. Unemployment insurance benefits will be available to the successful vendor and its employees and agents only if such coverage is made available by the successful vendor or a third party. The successful vendor shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to the contract. The successful vendor shall not have authorization, express or implied, to bind Weld County to any agreement, liability or understanding, except as expressly set forth in the contract. The successful vendor shall have the following responsibilities with reg,,rd to orkers' compensation and unemployment compensation insurancematters: (a) provide and keep in force workers' compensation and unemployment compensation insurance in the amounts required by law, and (b) provide proof thereof when requested to do so by Weld County. E. CornpHoanct - with Law: The successful vendor shall strictly comply with all applicable federal and state laws, rules and regulations in effect or hereafter established, including without limitation, laws applicable to discrimination and unfair employment practices. F. Ch ace .f Law: Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of the contract. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. G. No third -Party Eereficoary Enforcement: It is expressly understood and agreed that the enforcement of the terms and conditions of the contract, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in the contract shall give or allow any claim or right of action whatsoever by any other person not included in the contract. It is the express intention of the undersigned parties that any entity other than the L ndersigned parties receiving services or benefits under the contract shall be an incidental beneficiary only. H. Attorney's Fees/Lega0 Costs: In the event of a dispute between Weld County and the successful vendor, concerning the contract, the parties agree that Weld County shall not be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the successful vendor. I. Dosadvani aged -_r u&ones Enterprises: Weld County assures that disadvantaged business enterprises will be afforded full opportunity to submit proposals in response to all invitations and will not be discriminated against on the grounds of race, color, national origin, sex, age, or disability in consideration for an award. J. Procurement and Perrforrr arce: The successful vendor agrees to procure the materials, equipment and/or products necessary for the project and agrees to diligently provide all services, labor, personnel and materials necessary to perform and complete the project. The successful vendor shall further be responsible for the timely completion, and acknowledges that a failure to comply with the standards and requirements outlined in the Proposal within the time limits prescribed by County may result in County's decision to withhold payment or to terminate this Agreement. K. Term: The term of this Agreement begins upon the date of the execution of this Agreement by County, and shall continue through and until successful vendor's completion of the responsibilities described in the Proposal. L. Termination: County has the right to terminate this Agreement, with or without cause on thirty (30) days written notice. Furthermore, this Agreement may be terminated at any time without notice upon a material BID REQUEST #B2000175 Page 4 breach of the terms of the Agreement. M. Extensuon or odofcation: Any amendments or modifications to this agreement shall be in writing signed by both parties. No additional services or work per:ormed by she successful vendor shall be the basis for additional compensation unless and until the successful vendor has obtained written authorization and acknowledgement by County for such additional services. Accordingly, no claim that the County has been unjustly enriched by any additional services, whether or not there is in fact any such unjust enrichment, shall be the basis of any increase in the compensation payable hereunder. N. Subcontr ctc*rrs: The successful vendor acknowledges that Cunty has entered into this Agreement in reliance upon the particular reputation and expertise of the successful vendor. The successful vendor shall not enter into any subcontractor agreements for the completion of this Project without County's prior written consent, which may be withheld in County's sole discretion. County shall have the right in its reasonable discretion to approve all personnel assigned to the subject Project during the performance of this Agreement and no personnel to whom County has an objection, in its reasonable discrtion, shall be assigned to the Project. The successful vendor shall require each subcontractor, as approved by County and to the extent of the Services to be performed by the subcontractor, to be bound to the successful vendor by the terms of this Agreement, and to assume toward the successful vendor all the obligations and responsibilities which the successful vendor, by this Agreement, assumes toward County. County shall have the right (but not the obligation) to enforce the provisions of this Agreement against any subcontractor hired by the successful vendor and the successful vendor shall c000erate it such pr, cess. The successful vendor shall be responsible for the acts and omissions of its agents, employees and subcontractors. O. Warranty: The successful vendor warrants that services performed under this Agreement will be performed in a manner consistent with the standards governing such services and the provisions of this Agreement. The successful vendor further represents and warrants that all services shall be performed by qualified personnel in a professional and workmanlike manner, consistent with industry standards, and that all services will conform to applicable specifications. The vendor warrants that the goods to be supplied shall be merchantable, of good quality, and free from defects, whether patent or latent. The goods shall be sufficient for the purpose intended and conform to the minimum specifications herein. The successful vendor shall warrant that he has title to the goods supplied and that the goods are free and clear of all liens, encumbrances, and security interests. Service Calls in the First One Year Period: The successful vendor shall bear all costs for mileage, travel time, and service trucks used in the servicing (including repairs) of any of the goods to be purchased by Weld County, Colorado, pursuant to this bid for as many service calls as are necessary for the first one (1) year period after said goods are first supplied to Weld County. Vendor shall submit with their proposals the following information pertaining to the equipment upon which the proposals are submitted: 1. Detailed equipment specifications to include the warranty. 2. Descriptive literature. P. Non -Assignment: The successful vendor may not assign or transfer this Agreement or any interest therein or claim thereunder, without the prior written approval of County. Any attempts by the successful vendor to assign or transfer its rights hereunder without such prior approval by County shall, at the option of County, automatically terminate this Agreement and all rights .f the successful vendor hereunder. Such consent may be granted or denied at the sole and absolute discretion of County. Q. Onterruptoors: Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. BID REQUEST #B2000175 Page 5 R. Non -Exclusive Agreement: This Agreement is nonexclusive, and County may engage or use other contractors or persons to perform services of the same or similar nature. S. Employee Financial Interest/Conflict of Interest — Co 9S. §§24-1- =2O1 et seq. and §245O -5O7. The signatories to this Agreement agree that to their knowledge, no employee of Weld County has any personal or beneficial interest whatsoever in the service or property which is the subject matter of this Agreement. County has no interest and shall not acquire any interest direct or indirect, that would in any manner or degree interfere with the performance of the successful vendor's services and the successful vendor shall not employ any person having such known interests. During the term of this Agreement, the successful vendor shall not engage in any in any business or personal activities or practices or maintain any relationships which actually conflicts with or in any way appear to conflict with the full performance of its obligations under this Agreement. Failure by the successful vendor to ensure compliance with this provision may result, in County's sole discretion, in immediate termination of this Agreement. No employee of the successful vendor nor any member of the successful vendor's family shall serve on a County Board, committee or hold any such position which either by rule, practice or action nominates, recommends, supervises the successful vendor's operations, or authorizes funding to the successful vendor. T. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. U. Binding Arbitration Prohibited: Weld County does not agree to binding arbitration by any extra- judicial body or person. Any provision to the contrary in the contract or incorporated herein by reference shall be null and void. V. Board of County Commissioners of Weld C.unty Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or itsdesignee. W. Compensation Amount: Upon the successful vendor's successful completion of the service, and County's acceptance of the same, County agrees to pay an amount no greater th ;n the amount of the accepted proposal. The successful vendor acknowledges no payment in excess of that amount will be made by County unless a "change order" authorizing such additional payment has been specifically approved by the County's delegated employee, or by formal resolution of the Weld X. Taxes: County Board of County Commissioners, as required pursuant to the Weld County Code. County will not withhold any taxes from monies paid to the successful vendor hereunder and the successful vendor agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. Contractor shall not be entitled to bill at overtime and/or double time rates for work done outside of normal business hours unless specifically authorized in writing byCounty. 6. INSURANCE REQUIREMENTS: Insurance and Indemnification. Contract Professionals must secure, at or before the time of execution of any agreement or commencement of any work, the following insurance covering all operations, goods or services provided pursuant to this request. Contract Professionals shall keep the required insurance coverage in force at all times during the term of the Agreement, or any extension thereof, and during any warranty period. The required insurance shall be underwritten by an insurer licensed to do business in Colorado and rated by A.M. Best Company as "A" VIII or better. Each policy shall contain a valid provision or endorsement stating "Should any of the above -described policies by canceled or should any coverage be reduced before the expiration date thereof, the issuing company shall send written notice to the Weld County Controller/Purchasing Director by certified mail, return receipt requested. Such written notice shall be sent thirty (30) days prior to such cancellation or reduction unless due to non-payment of premiums for which notice shall be sent ten (10) days prior. If any policy is in excess of a deductible or self -insured retention, County must be notified by the Contract Professional. Contract Professional shall be responsible for the payment of any deductible or self -insured retention. BID REQUEST #B2000175 Page 6 claims. The insurance coverages specified in this Agreement are the minimum requirements, and these requirements do not decrease or limit the liability of Professional. The County in no way warrants that the minimum limits contained herein are sufficient to protect them from liabilities that might arise out of the performance of the work under this Contract by the Contract Professional, its agents, representatives, employees, or subcontractors. The Contract Professional shall assess its own risks and if it deems appropriate and/or prudent, maintain higher limits and/or broader coverages. The Contract Professional is not relieved of any liability or other obligations assumed or pursuant to the Contract by reason of its failure to obtain or maintain insurance in sufficient amounts, duration, or types. The Contract Professional shall maintain, at its own expense, any additional kinds or amounts of insurance that it may deem necessary to cover its obligations and liabilities under this Agreement. Any modification to these requirements must be made in writing by Weld County. The Contract Professional stipulates that it has met the insurance requirements identified herein. The Contract Professional shall be responsible for the professional quality, technical accuracy, and quantity of all services provided, the timely delivery of said services, and the coordination of all services rendered by the Contract Professional and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. INDEMNITY: The Contract Professional shall defend, indemnify and hold harmless County, its officers, agents, and employees, from and against injury, loss damage, liability, suits, actions, or willful acts or omissions of Contract Professional, or claims of any type or character arising out of the work done in fulfillment of the terms of this Contract or on account of any act, claim or amount arising or recovered under workers' compensation law or arising out of the failure of the Contract Professional to conform to any statutes, ordinances, regulation, law or court decree. The Contract Professional shall be fully responsible and liable for any and all injuries or damage received or sustained by any person, persons, or property on account of its performance under this Agreement or its failure to comply with the provisions of the Agreement, or on account of or in consequence of neglect of the Contract Professional in its methods or procedures; or in its provisions of the materials required herein, or from any claims or amounts arising or recovered under the Worker's Compensation Act, or other law, ordinance, order, or decree. This paragraph shall survive expiration or termination hereof. It is agreed that the Contract Professional will be responsible for primary loss investigation, defense and judgment costs where this contract of indemnity applies. In consideration of the award of this contract, the Contract Professional agrees to waive all rights of subrogation against the County its associated and/or affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents, and volunteers for losses arising from the work performed by the Contract Professional for the County. A failure to comply with this provision shall result in County's right to immediately terminate this Agreement. Types of Insurance: The Contract Professional shall obtain, and maintain at all times during the term of any Agreement, insurance in the following kinds and amounts: W•;rkers' Compensation Insurance as required by state statute, and Employer's Liability Insurance covering all of the Contract Professional's employees acting within the course and scope of their employment. Policy shall contain a waiver of subrogation against the County. This requirement shall not apply when a Contract Professional or subcontractor is exempt under Colorado Workers' Compensation Act., AND when such Contract Professional or subcontractor executes the appropriate sole proprietor waiver form. Professional Liability (Errors and Omissions lability) The policy shall cover professional misconduct or lack of ordinary skill for those positions defined in the Scope of Services of this contract. Contract Professional shall maintain limits for all claims covering wrongful acts, errors and/or omissions, including design errors, if applicable, for damage sustained by reason of or in the course of operations under this Contract resulting from professional services. In the event that the professional liability insurance required by this Contract is written on a claims -made basis, Contract Professional warrants that any retroactive date under the policy shall precede the effective date of this Contract; and that either continuous coverag will be maintained or an extended discovery period will be exercised for a period of two (2) years beginning at the time work under this Contract is completed. inimum Limits: a Per Loss Aggregate 1,000,000 2,000,000 Contract Professionals shall secure and deliver to the County at or before the time of execution of this Agreement, and shall keep in force at all times during the term of the Agreement as the same may be extended as herein provided, a commercial general liability insurance policy, including public liability and property damage, in form and cmpany acceptable to and apprved by said Administrator, covering all operations hereunder set forth in the related Request for Proposal. Proof of Insurance: County reserves the right to require the Contract Professional to provide a certificate of insurance, a policy, or other proof of insurance as required by the County's Risk Administrator in his sole discretion. Additional Insureds: For general liability, excess/umbrella liability, pollution legal liability, liquor liability, and inland marine, Contract Professional's insurer shall name County as an additional insured. Waiver of Subrogation: For all coverages, Contract Professional's insurer shall waive subrogation rights against County. Subcontractors: All subcontractors, independent Contract Professionals, sub -vendors, suppliers or other entities providing goods or services required by this Agreement shall be subject to all of the requirements herein and shall procure and maintain the same coverages required of Contract Professional. Contract Professional shall include all such subcontractors, independent Contract Professionals, sub -vendors suppliers or other entities as insureds under its policies or shall ensure that all subcontractors maintain the required coverages. Contract Professional agrees to provide proof of insurance for all such subcontractors, independent Contract Professionals, sub -vendors suppliers or other entities upon request by the County. The terms of this Agreement are contained in the terms recited in this Request for Proposal and in the Response to the Proposal each of which forms an integral part of this Agreement. Those documents are specifically incorporated herein by this reference. BID REQUEST #B2000175 Page 8 SCOPE OF WORK: The intent of this Request for Proposal ("RFP") is to procure a high quality, experienced company to provide armed security guard coverage at Human Services offices that is reasonable and practical, meeting the safety and security needs of employees and the public. The Weld County Department of Human Services (WCDHS) is requesting armed security guard coverage for our offices and the parking areas located next to the buildings. The Greeley offices are located at 315 North 11th Avenue (Main Campus), 710 11th Avenue (Family Support and Visitation Center) and 822 7th Street (Child Welfare Campus). The Fort Lupton Office is located at 2950 9th Street, and the South West Weld County office is located at 4209 Weld County Road 24 1/2 Longmont, CO. The Main Campus has three (3) buildings; Family Support and Visitation Center has one (1) office; Child Welfare Campus has (2) buildings; Fort Lupton location has one building with (2) offices; South West Weld location has one (1) building with (2) offices. Security guard schedules must be flexible upon request to cover some family engagement meetings that may last beyond 7:00 p.m. Coverage at the South West Weld location will be upon request only. The Security Company will be responsible to provide cell phones (preferably with email capability) to each of the guards to communicate with each other, Human Services staff, and to notify 9-1-1 when necessary. The Security Company will also be responsible to provide required annual and on -going training in areas such as firearm qualifying, recognizing crisis development, responding appropriately to each level, and de- escalation techniques. Security guards must have the ability to maintain poise and self-control under stress. Security guards must always be in clean and neat security uniforms while on duty. To ensure the safety of employees and the public, the guard is to remain constantly alert. Security guards are not to engage in extended conversations or activities that would prevent them from observing the area or people around them. The objective of the armed security guard coverage is to serve as a deterrent against potentially hostile people as well as protect real and personal property. In no instance will the guard or supervisors act in the capacity of a police officer and the power of arrest will be limited to that of a private citizen. The actual services to be performed will be determined by the County, to include but not be limited to the following areas: Monitor the parking lots and entry/exit points as staff arrive for work and as they leave at the end of the business day. a Roam the buildings and parking lots throughout the day to provide a security guard presence. ® Upon request, monitor client appointments/interviews. ® Prevent unauthorized activity by requesting assistance to control, subdue, disarm, or apprehend persons threatening disturbances. ® Prevent vandalism and detection of theft, loss, fire, and safety hazards. • Respond to incidents including medical emergency, fire, bomb threat, flooding, elevator emergency, inclement weather, and other incidents. BID REQUEST #82000175 Page 9 e e Protect County equipment and other items or documents. Regulate the direction and flow of the movements of the public. Protect county personnel, clients, and the general public from bodily harm. Enforce the rules, regulations, and policies related to crime reduction and Departmental procedure. The County shall have the unfettered right to monitor the contractor's work in every respect. In this regard, the contractor shall provide its full cooperation, and ensure the cooperation of its employees. Further, the contractor shall make available for inspection and/or copying when requested, original time sheets, invoices, charge slips, credentialing statements, continuing education and training records, and any other data, records and accounts relating to the contractor's work and performance under the Agreement. In the event the Provider does not hold such material in its original form, a true copy shall be provided. Appropriate WCDHS staff may request an interview with each guard prior to assignment. The following standards apply to any personnel assigned to this contract: le U Maintain a good working relationship with clients, the public, county staff, and local law enforcement personnel. Ability to document and complete required logs and incident report forms as needed. Maintain satisfactory standards of competency, conduct, hygiene, cleanliness, appearance, and integrity. Adhere to standards of behavior and appearance that reflect with credit on himself/herself, his/her employer, and the County. All individuals assigned to the County must meet the following minimum standards: O 21 years or older. O Able to read, write, and speak the English language fluently. o High school education or equivalency. O Ability to meet and deal with the general public. O Ability to make written or verbal reports of his/her activities readily understandable to supervisors. o Ability to read, understand, and apply written rules, detailed orders, instructions and training materials. o Ability to maintain poise and self-control under stress. o No felony convictions, conviction of any misdemeanor, which, in the judgment of the County reflects unfavorably on his/her fitness. o Possess a valid Colorado Driver's License. o Able to sit, stand and walk for extended periods; occasional lift and/or move up to 25 pounds. Not meeting the minimum standards shall be considered justification for replacement. Minimum Qualifications To be considered, the bidder must meet the following minimum qualifications: 1. The bidder shall affirm via written statement that it will take all the steps necessary to ensure that all guards assigned to the WCDHS have demonstrated armed security training proficiency in the areas pertaining to this project. 2 The bidder must be incorporated and must have legal authority to operate in the State of Colorado. Evidence of such authority will be made available for review upon request by Weld County. 3 The bidder will affirm via written statement or other documentation that it has at least three (3) continuous years of corporate experience in providing armed security services, and at least one (1) current contract with a jurisdiction of similar size demonstrating the ability to provide security to a public building like the WCDHS of₹ices. The bidder will further acknowledge via written statement that it understands that any security guard assigned by the firm to this project must have a minimum of on (1) year experience actually engaged in the performance of armed security services. However, the Contractor shall have the prerogative of requesting the approval of an employee without BID REQUEST #B2000175 Page 11 the experience, and the WCDHS may authorize such approval if Contractor can provide sufficient documentation to support the selection. 4. The bidder must demonstrate current capability to successfully complete the transition to full operation within thirty (30) days, a proven system of recruiting staff, and an adequate support staff in its central office capable of competently supervising and monitoring its operation in Weld County. The bidder must provide a detailed, written transition plan as part of the bid process, that includes documentation of organizational structure and internal processes for recruitment, supervision and monitoring of staff. 6 The bidder must affirm via written statement that it has the current stability and size to hire, train, and sustain a security workforce at all times to fulfill the contract. 7 The successful bidder must be licensed by the City of Greeley. Armed Security Guards must be licensed in accordance with of Greeley code - Chapter 6.12.020. Proof of license must be provided to the Contract Administrator for all guards who will work at the WCDHS offices. The WCDHS does not reimburse contractor for licensing requirements. The bidder shall affirm via written statement that it shall provide the WCDHS with workers who are free of alcohol and/or drugs at all times. The use of alcohol and/or drugs or narcotics on the job or being under their influence when reporting for work is prohibited and shall be an independent cause for termination or a material breach of the contract. Use of prescription and over-the-counter drugs are allowed if they do not interfere with an employee's ability to perform the assigned job tasks or duties. Minimum Site Training Re uiremen In many instances of criminal and/or emergency situations, a contract guard will be the first concerned individual on the scene. His/her reaction to the situation could make the difference between successfully protecting lives and property or disaster. Therefore, security guards and personnel must be properly trained in view of the serious consequences that could arise from mis action or inaction. Weld County requires written confirmation of satisfactory completion of required training for all guard personnel assigned under this contract. a Every security guard must be trained and proficient on -site procedures. All training will be at the expense of the contractor. The bidder shall affirm via written statement or documentation that every guard satisfactorily completed site training. Security Guard training is expected and encouraged to happen on site. However, a trainee is not considered part of the specified scheduled hours until training is complete, and the security guard is able to work proficiently without assistance. The WCDHS will include the guards in any scenario -based training and or security drills to ensure security guards are proficient in practicing proper protocol. Orientation of all new employees shall be the responsibility of the Contractor. The initial contract period shall commence on January 1, 2021 through December 31, 2021. Subject to the satisfaction and concurrence of both parties the contract may be renewed annually each year thereafter through December 31, 2024. 2 The Contractor will submit a monthly invoice to the WCDHS Contract Administrator. The monthly invoice shall include: ® An itemization of security costs. Invoices shall only reflect hours actually worked by Contractor. • Any hours requested by the WCDHS , exceeding the specified contract hours. ® A summary of any hours where security guards are not provided. The WCDHS shall not be billed for hours in which security is not provided in any given month. 3 Costs shall be fixed by contract and only modified on an annual basis. The bidder will be limited with regard to the escalation of costs, including wages, by the Consumer Price Index for the Denver- Boulder -Greeley metropolitan area. No escalation of costs shall exceed the general percentage increase in the consumer price index. Contract Specifications 1. The Contract Administrator for the WCDHS is the Division Head for the Organizational Integrity Division. All contact and operational matters between the Contractor and the WCDHS will be through the Organizational Integrity Division Head. 2 Minimum staffing requirements are for five (5) armed security guards as described in Table 1. Upon request, hours will be flexible enough to provide coverage for meetings scheduled outside of the hours listed on Table 1. Note: Guards #3 and #4 will rotate between three (2) separate locations. 3 All must be armed and wear a uniformed approved by the Contract Administrator. The guards must always be in neat and clean uniforms, neat in appearance, and professional in behavior. 4 The five (5) security guards will work each day the WCDHS offices are open and will follow the County holiday schedule. Minimum regularly scheduled hours of operation shall be sufficient for the operation of five (5) offices Monday through Friday (see Table 1 for schedule) excluding county holiday closures. The Contract Administrator reserves the right to request adjustments to the schedule (as shown in Table 1) as needed and in collaboration with the Contractor. Occasional requests for off -site coverage may be requested. Additionally, weekend hours may be requested as overtime paid by the WCDHS. 6. Contractor personnel should be aware that they might be subpoenaed to testify in court regarding incidents witnessed or involved in as part of performing their responsibilities at the WCDHS offices. Overtime, if any, associated with this obligation is the responsibility of the contractor. 7 All pre -employment activities, i.e. application, interviews, testing etc., of guards are at the cost of the Contractor and must be conducted off the Weld County work sites. 8 Security guards will maintain professional standards of appearance and conduct as required by the WCDHS. 9 The WCDHS may request replacement of any contractor personnel when unable to carry out the responsibilities of the contract. Disciplinary actions, including removal actions, shall be the responsibility of Contractor. 10. The WCDHS shall approve all appointments to the position of site supervisor. 11. If contractor fails to provide properly trained officer or supervisor for required post or shift or fails to provide supervisory checks as specified, termination for default of contract may be considered. 12. In -person training requirements, if required, are scheduled for minimum impact on existing work schedules. 2-1 Wee or toContract Star Master Schedule created: We will create an Installation Schedule for staffing at your locations to cover post hours, number of officers at each post and skills needed. The schedule is entered into the G4S Labor Scheduling System and includes pay and billing information. We prepare the schedule as far in advance as practical to give officers early notice of their work schedule and days off. Assignment of personnel to schedules: In every case possible, officers will be assigned to schedules that are suited to their personal background, personality, appearance and preference, which encourages a high level of personal performance. Officers will not exchange scheduled shifts or days off without first obtaining approval from their G4S supervisor. Understanding the local market wages helps us provide an accurate price proposal to Weld County, which will ensure that we are able to deliver on our promise to staff your account with high caliber, qualified and licensed security professionals. Plans are renewed each year on November 1; if any changes in cost or changes due to legislation or the interpretation of same, we request the opportunity to revisit our rates. Disaster/Emergency services: Disaster and emergency services involve the deployment of large groups of personnel and include complicated operational issues such as travel, communications, equipment and lodging in sometimes challenging environments. Because needs vary, G4S requires the mutual development of the operations plan in order to ensure the highest probability of successful deployment in the event there is a need to activate this service. G4S has a well -established and documented Disaster/Emergency Operations Plan developed from extensive experience in providing these services. Contract Terms (Section 4 of the DHS RFP) The RFPs set out comprehensive terms relating to provision of the services, although they indicate that the County may require a separate contract document. We would like the opportunity to review this contract document during negotiations, if we are selected to move forward in the process. The main points to be aware of with regard to the contract terms are: (i) Subsection L provides that the County will have a right of termination, for convenience or for cause, on 30 days' notice. There will also be a right to terminate, without notice, for material breach — however it is not specified whether both parties will have this right, or only the County. G4S would like to propose that the vendor should have a mutual right to terminate for cause and for convenience. (ii) Payment terms are not specified — our standard payment terms are net 30. (iii) The terms do not include any liability cap, exclusion of liability for indirect or consequential loss, or force majeure provision. These are normally required in G4S contracts and we would like to request they be included in any final contract. 2. Insurance and Indemnity (Section 5 of the DHS RFP) Indemnity from the vendor extends to "any claims of any type or character arising out of the work done" and "any and all injuries or damage received or sustained by any person persons or property on account of [the vendor's] performance under [the] Agreement". They are committed to delivering uninterrupted services and providing a security presence that our department can rely on. 1. G4S Presented a professional and detailed submission that expanded in all areas. The company demonstrated a strong recruiting and retention strategy including the ability to cover the required shifts. Decades of experience with governmental agencies with a strong local presence. Solid training program, with a detailed transition plan for assuming the contract. Additionally, they have superior reporting functionality required for this contract. 2. Citadel Security Local vendor with experience with similar contracts. Their training program is detailed and covers a wide range of topics including de-escalation techniques. They presented the second lowest bid but will not provide onsite supervision. Additionally, their proposal wasn't as detailed, and didn't expanded on the additional armed training requirement. 3. Securitas Our current contract presented the lowest bid, but their ability to cover shifts and instill confidence in our employees is a concern. Historically, Securitas has had significant issues meeting the recruitment needs of the contract. Additionally, their bid didn't provide a detailed transition plan with the ability to cover the additional hours.
