Request Board Approval of the Department's Approval of the Department's Agreement Amendment with United Way of Weld County. The Department entered into an agreement with United Way of Weld County (UWWC) for the Child Care Recruitment and Quality Care Project on August 23, 2017, identified as 2017-2909. The Department is completing the third year of the initial three-year project on June 30, 2020, also identified as 2017-2909. To formally address changes by the Department and to further align the recruitment efforts, the scope of services and the budget have been amended. The amendment reflects a continued Child Care collaboration with UWWC for one year; July 1, 2020 through June 30, 2021. The maximum reimbursement under this agreement is $208,050.00 This amendment and extension have been mutually agreed upon by both the Department and UWWC. I do not recommend a Work Session. I recommend approval of this Amendment and authorize the Chair to sign. WHEREAS the parties entered into an Agreement for the Child Care Recruitment and Quality Care Project, (the "Original Agreement") identified by the Weld County Clerk to the Board of County Commissioners as document No. 2017-2909, approved on August 23, 2017. WHEREAS the parties hereby agree to amend the term of the Original Agreement in accordance with the terms of the Original Agreement and any previously adopted amendment, which is incorporated by reference herein, as well as the terms provided herein. NOW THEREFORE, in consideration of the premises, the parties hereto covenant and agree as follows: • The Original Agreement will end on June 30, 2020. • The Original Agreement was amended on October 23, 2019. The Amendments are identified by the Weld County Clerk to the Board of County Commissioners as document number 2017-2909. • These Amendments, together with the Original Agreement, constitutes the entire understanding between the parties. The following additional changes are hereby made to the current Agreement: 1. Paragraph 3, Term, is hereby amended as follows: The initial term of this Agreement shall be effective on July 1, 2017 and shall expire on June 30, 2021. This Agreement shall be automatically renewed annually by the parties, unless one of the parties notifies the other in writing prior to thirty days before the end of the contract year. It may not be renewed beyond June 30, 2022. 2. Paragraph 6, Compensation/Contract Amount, is hereby amended as follows: County agrees to pay Contractor an amount no greater than Two hundred, Eight Thousand and Fifty Dollars ($208,050.00), as set forth in Exhibit B, United Way of Weld County Budget. County agrees to pay Contractor through an invoice process during the course of the contract in accordance with the Scope of Services as described in Exhibit A. Contractor agrees to submit invoices which detail the work completed by the Contractor. The County will review each invoice and if it agrees Contractor has completed the invoiced items to the County's satisfaction, it will remit payment to the Contractor. Contractor agrees to work O2O17- within the confines of the Scope of Services outlined in Exhibit A, with the full scope of services being completed by June 30, 2021. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this agreement. 3. Paragraph 7, Independent Contractor, is hereby amended as follows: Contractor agrees that it is an independent Contractor and that Contractor's officers, agents or employees will not become employees of County, nor entitled to any employee benefits from County as a result of the execution of this Agreement. Contractor shall perform its duties hereunder as an independent Contractor. Contractor shall be solely responsible for its acts and those of its agents and employees for all acts performed pursuant to this Agreement. Contractor, its employees and agents are not entitled to unemployment insurance or workers' compensation benefits through County and County shall not pay for or otherwise provide such coverage for Contractor or any of its agents or employees. Unemployment insurance benefits will be available to Contractor and its employees and agents only if such coverage is made available by Contractor or a third party. Contractor shall pay when due all applicable employment taxes and income taxes and local head taxes (if applicable) incurred pursuant to this Agreement. 4. Exhibit A, Scope of Services, is hereby amended as attached. 5. Exhibit B, United Way of Weld County Budget, is hereby amended as attached. 6. Exhibit C, UWWC Performance Expectations and End of Year Report Template, is hereby amended as attached. • All other terms and conditions of the Original Agreement remain unchanged. Goal of Services Weld County Department of Human Services (WCDHS) is contracting with United Way of Weld County (UWWC) to recruit additional child care providers and support the development and quality of providers, primarily focusing on home providers. Home providers to include both licensed and non - licensed homes. II. Contractor's Roles and Responsibilities A. Recruitment Efforts Expand the child care provider recruitment program, that aims at fostering the relationships with agencies, organizations, volunteers, funders, and community members of Weld County. The recruitment efforts of the Child Care Recruiter shall support the recruitment and retention of Child Care providers. The recruitment efforts of UWWC shall include the following duties: 1.In recognition of each parties' efforts, both parties shall implement multiple non - duplicative methods of outreach to recruit child-care providers. These methods to include: a. Creation of promotional materials for recruitment purposes. i. All materials to be reviewed and approved by both WCDHS and UWWC within 10 business days of request submitted. ii. All marketing materials shall be subject to County, State, and Federal regulations. iii. Co -branding with joint applicable logos shall be placed on all marketing materials. It will be assumed that the Weld Child Care logo will be included in all materials unless it is shared during the design process that it should not be. iv. Marketing materials will be paid for from "Marketing" as specified in Exhibit B, Budget. b. Colorado Child Care Assistance Program (CCCAP) Advocacy i. Focus efforts on the development of home providers who have CCCAP authorizations, by meeting the goals outlined in the existing contract performance assessment document, which by June 30, 2020 will be updated and agreed upon by IIPage WCDHS and UWWC staff. The document will become a part of this contract as Exhibit C. c. Weld County Child Care Website Maintenance i. Consistent and timely updates to the website, at a minimum monthly, to ensure appropriate support and messaging to our providers and the community. ii. Immediate communication to WCDHS of any URL changes within the UWWC website. 2. Recruiting efforts will be directed toward in -home child care, to include after-hours and weekend care, in addition to traditional licensed home care. a. All potential non -licensed providers (Realizing Economic Advancement Through Caring Homes - REACH) will be referred to WCDHS within five (5) business days following the completion of a one-on-one meeting between the potential provider and the United Way employed Weld Child Care recruiter. b. Providing impartial guidance to all child care providers to ensure an opportunity for each provider to identify their most appropriate child care path. B. Provider Onboarding Provide support and guidance to individuals expressing interest and/or intent of becoming a child care provider. i. Respond to inquiries within two business days. ii. Collaborative participation and attendance at on -boarding events. iii. Provide monthly written updates to WCDHS regarding current status for each provider. C. UWWC shall work within partnership with WCDHS and contracted child care partners to serve REACH providers, with an open fiscal agreement and either expressed licensed interest or pending licensure, to meet individual provider needs. III. Department's Role and Responsibilities 1. WCDHS will work closely with UWWC to recruit and retain in -home child care providers by ensuring that UWWC is provided with necessary resources to provide sufficient information sharing opportunities and diligent recruitment efforts. 2. WCDHS will work collaboratively, while not duplicating efforts, to have a presence at recruitment venues and to ensure marketing materials meet the intended goals. 3. WCDHS will direct recruitment efforts of all in -home child care providers with an emphasis on REACH providers. 4. All potential licensed providers and interested REACH providers will be 2IPage referred to UWWC within five (5) business days. 5. WCDHS will maintain scheduling of all required partner meetings to ensure efforts and outcomes are in alignment and efforts are not duplicated. a. The agenda for said meetings will be drafted and distributed by the WCDHS Child Care Manager a minimum of two (2) business days in advance. 6. WCDHS shall provide capital and quality improvement for all REACH providers, except in the instance where a REACH provider is interested in obtaining theCDA credential or would like to begin the licensure process. 7. WCDHS will work with all Child Care partners, ensuring appropriate referrals are made and appropriate delegation of duties are assigned. IV Service Accessibility 1. UWWC shall have access to the capital and quality improvement for Health and Safety funds as outlined in the amended Exhibit B- Budget for in -home licensed providers or those actively pursuing licensures. 2. Coaching/Professional Development a. UWWC shall utilize all applicable resources to ensure professional development and growth of the providers, and to provide ample coaching opportunities for direct learning experiences for all in -home providers, including providers with expressed interest in pursuing licensure. These resources will be accessible to providers with said interest through the licensing process and up to the attainment of a license. b. UWWC shall have access to the Coaching/Professional Development funds as outlined in the amended Exhibit B- Budget. c. UWWC shall continue support and development of the Providers Advancing School Outcomes (PASO) program. i. WCDHS will further support the PASO Institute program by funding an additional $15,000.00, as outlined in Exhibit B, for UWWC to continue the efforts of delivering training in child development. ii. UWWC shall offer English CDA curriculums, including 1) a pilot of the English -language PASO Institute beginning March 2020 and 2) supporting providers wishing to obtain the CDA credential through Virtual Classroom, with the goal to further support kinship and child care providers. Exhibit B has been amended to include costs associated with the development of this offering. d. UWWC shall work with in partnership with WCDHS and contracted child care partners to serve REACH providers, with an open fiscal agreement and either expressed licensed interest or pending licensure, to meet individual provider needs. Any amendments or modifications to this agreement shall be in writing signed by both parties. Compensation/Contract Amount. Independent Contractor. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the particular reputation and expertise of Contractor. Ownership. All work and information obtained by Contractor under this Agreement or individual work order shall become or remain (as applicable), the property of County. The County gives the Contractor permission to use the work and information developed under this Agreement for purposes of supporting other caregivers and communities within our state in relation to Early Childhood Care and Education initiatives. 10. Confidentiality. Contractor agrees to keep confidential all of County's confidential information. Contractor agrees not to sell, assign, distribute, or disclose any such confidential information to any other person or entity without seeking written permission from the County. Contractor agrees to advise its employees, agents, and consultants, of the confidential and proprietary nature of this confidential information and of the restrictions imposed by this agreement. 11. Warranty. Contractor warrants that the services performed under this Agreement will be performed in a manner consistent with the standards governing such services and the provisions of this Agreement. Contractor further represents and warrants that all services shall be performed by qualified personnel in a professional and workmanlike manner, consistent with industry standards, and that all services will conform to applicable specifications. 12. Acceptance of Services Not a Waiver. In no event shall any action by County hereunder constitute or be construed to be a waiver by County of any breach of this Agreement or default which may then exist on the part of Contractor. Acceptance by the County of, or payment for, the services completed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. 13. Insurance and Indemnification. Contractor shall procure at least the minimum amount of automobile liability insurance required by the State of Colorado for the use of any personal vehicle. Proof of said automobile liability insurance shall be provided to County prior to the performance of any services under this Agreement. Professional Liability (Errors and Omissions Liability) The policy shall cover professional misconduct or lack of ordinary skill for those positions defined in the Scope of Services of this contract. Contract Professional shall maintain limits for all claims covering wrongful acts, errors and/or omissions, including design errors, if applicable, for damage sustained by reason of or in the course of operations under this Contract resulting from professional services. In the event that the professional liability insurance required by this Contract is written on a claims -made basis, Contract Professional warrants that any retroactive date under the policy shall precede the effective date of this Contract; and that either continuous coverage will be maintained or an extended discovery period will be exercised for a period of two (2) years beginning at the time work under this Contract is completed. Non -Assignment. Contractor may not assign or transfer this Agreement or any interest therein or claim thereunder, without the prior written approval of County. 16. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 17. Compliance with Law. Contractor shall strictly comply with all applicable federal and State laws, rules and regulations in effect or hereafter established, including without limitation, laws applicable to discrimination and unfair employment practices. 18. Non -Exclusive Agreement. This Agreement is nonexclusive and County may engage or use other Contractors or persons to perform services of the same or similar nature. 19. Entire Agreement/IVIodifications. This Agreement including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 20. Fund Availability. Financial obligations of the County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. Execution of this Agreement by County does not create an obligation on the part of County to expend funds not otherwise appropriated in each succeeding year. 21. Employee Financial Interest/Conflict of Interest — C.R.S. §§24-18-201 et seq. and §24-50-507. The signatories to this Agreement state that to their knowledge, no employee of Weld County has any personal or beneficial interest whatsoever in the service or property which is the subject matter of this Agreement. 22. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 23. Governmental Immunity. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. 24. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 25. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 26. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, Contractor agrees that the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. 27. Public Employment Retirement Program. Contractor is responsible for notifying Weld County of any previous participation in the Colorado Public Employee Retirement Program. Contractor must notify' Weld county of the most recent employment for a PERA contributing employer. 28. Public Contracts for Services C.R.S. §8-17.5-101. Contractor certifies, warrants, and agrees that it does not knowingly employ or contract with an illegal alien who will perform work under this contract. Contractor will confirm the employment eligibility of all employees who are newly hired for employment in the United States to perform work under this Agreement. through participation in the E -Verify program or the State of Colorado program established pursuant to C.R.S. §8-17.5-102(5)(c). Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or enter into a contract with a subcontractor that fails to certify with Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement. Contractor shall not use E -Verify Program or State of Colorado program procedures to undertake pre -employment screening or job applicants while this Agreement is being performed. If Contractor obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or contracts with an illegal alien Contractor shall notify the subcontractor and County within three (3) days that Contractor has actual knowledge that a subcontractor is employing or contracting with an illegal alien and shall terminate the subcontract if a subcontractor does not stop employing or contracting with the illegal alien within three (3) days of receiving notice. Contractor shall not terminate the contract if within three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. Contractor shall comply with reasonable requests made in the course of an investigation, undertaken pursuant to C.R.S. §8-17.5-102(5), by the Colorado Department of Labor and Employment. If Contractor participates in the State of Colorado program, Contractor shall, within twenty days after hiring an new employee to perform work under the contract, affirm that Contractor has examined the legal work status of such employee, retained file copies of the documents, and not altered or falsified the identification documents for such employees. Contractor shall deliver to County, a written notarized affirmation that it has examined the legal work status of such employee, and shall comply with all of the other requirements of the State of Colorado program. If Contractor fails to comply with any requirement of this provision or of C.R.S. §8-17.5-101 et seq., County, may terminate this Agreement for breach, and if so terminated, Contractor shall be liable for actual and consequential damages. Except where exempted by federal law and except as provided in C.R.S. § 24-76.5-103(3), if Contractor receives federal or state funds under the contract, Contractor must confirm that any individual natural person eighteen (18) years of age or older is lawfully present in the United States pursuant to C.R.S. § 24-76.5-103(4), if such individual applies for public benefits provided under the contract. If Contractor operates as a sole proprietor, it hereby swears or affirms under penalty of perjury that it: (a) is a citizen of the United States or is otherwise lawfully present in the United States pursuant to federal law, (b) shall produce one of the forms of identification required by C.R.S. § 24-76.5-101, et seq., and (c) shall produce one of the forms of identification required by C.R.S. § 24-76.5-103 prior to the effective date of the contract. 29. Acknowledgment. County and Contractor acknowledge that each has read this Agreement, understands it and agrees to be bound by its terms. The mutually agreed upon results and deliverables of the planning period will be incorporated in the scope of services (Exhibit A), through written concurrence of the Director of the Weld County Department of Human Services and the President/CEO of United Way of Weld County. If mutually agreed upon results and deliverables are not able to be reached, one of the following options may be implemented. I. Agree, in writing, to extend the planning period for a mutually agreed upon timeframe, not to exceed an additional 60 days. II. Ensure all marketing materials related to child care quality are kept up to date and contain accurate and usable information.
