LLC ("Purchaser"). WHEREAS, the Membership Interest Percentage of Dust & Dirt Excavating, LLC and Dust & Dirt Excavating. LLC is as listed below; and Dust & Dirt Excavating, LLC Membership Interest Percentage Doug Derr 25% Darwin Derr 25% Global Recovery One, LLC 50% WHEREAS. Sellers desires to sell said Membership Interest of Mill Iron Mining. LLC and Purchaser desires to purchase all rights and title of said Membership Interest. NOW THEREFORE, in consideration of agreements hereinafter set forth, Sellers and Purchaser covenant and agree as follows: 1) Sale of Membership Interest. Sellers, as of the date of this Agreement, hereby sell, transfer, and assign. all Seller's Membership Interest in the aforesaid Limited Liability Company to Purchaser, and Purchaser hereby purchases same from Seller subject to the terms and conditions herein provided. 2) Purchase Price. Total Purchase Price is Three hundred thousand and no/100 Dollars ($300,000.00). payable as follows: a) $100.000 ($50,000 each) payable at closing. b) $100,000 ($50,000 each) payable November 15, 2015. c) $100,000 ($50,000 each) payable January 2, 2016. d) $400,000 ($200,000 each) payable on the date the real estate owned by Dust & Dirt, known as the Derr Pit, leased or sold, or September 1, 2019, whichever date comes first. e) Sellers shall have the right to delay payment 2(b) or 2(c) by days. Unless Sellers makes such a request in writing, the payments dates are as stated above. 3) Other Terms and Conditions. a. Such assistance shall be at the sole cost of' the Purchaser. c. Purchaser agrees to allow Sellers to continue to occupy that certain section of the real estate currently used for equipment storage consisting of approximately 5 acres. Additional, upon the sale, or lease of the real estate, OR at the 4 year anniversary of this Agreement, Sellers shall have the option of purchasing said equipment storage area, consisiting of approximately 5 acres, for One hundred thousand and no/700 dollars ($100,000.00). 4) Indemnification. Purchaser herein covenants and agrees to indemnify, protect, and defend Seller against, and hold Seller harmless from, any and all Claims related to arising from Dust & Dirt Excavating, including, without limitation alI debts, liabilities and contractual obligations that exist as of the effective date of this Agreement. 5) Entire Agreement. This Agreement constitutes the entire agreement between Seller and Purchaser with respect to the matters in this Agreement. 6) Successors and Assigns. All agreements made in this Agreement by either party shall inure to the benefit off, and shall be binding upon, each party to this Agreement and its successors and assigns.
