THIS AGREHLNT, made and entered into, in duplicate,
this 10th day of August 1922,
by and between the UNION PACIFIC RAILROAD C01PANY, a corpor-
ation of the State of Utah, (hereinafter called "Lessor" )
party of the first part, and WELD COUNTY, COLORADO, (herein-
Siafter called "Lessee" ), party of the second part, WITNBS3ETH:
The Lessor hereby leases to the Lessee for a period

twenty-five (25) years thereafter, unless sooner terminated

such culverts and ditches as may be necessar;, to properly care
for the drainage from said premises and the adjoining right of
vay of the Lessor; and to hold the Lessor harmless from any
and all damages to any bridges or culverts on said leased
and all damages to any bridges or cuiverts on said leased
promises arising from fire caused directly or indirectly by
sparks or fire emitted from the engines or trains of the Les-
sor; and to further hold the Lessor harmless from any damages
to the hirhway upon the leased premises which may result from
the construction or maintenance of drainage ditches or water-
weys by the Lessor. The Lessor reserves the right to take
) temporary or permanent possession of all or any portion of
the leased premises whenever their use may become necessary
for expedient, 'in the jungment of the Lessor, for railroad pure
• ! pones, including the location of public or private warehouses,
lelevators, or other structures with the design to facilitkte
hand premote traffic; PROVIr1 D, however, that in the event the
Lessor elects to take permanent nossession of all or any por

This lease is subject to all outstanding superior

If, by reason of a line change, or otherwise, the title of
the Lessor shall cease before the expiration of the term
above provided, or if the lease of the above described prem-
ises is held to bo, or should become inconeintent with the
<, _ law of the land, this lease shall thereupon terminate,
This lease is to become null and void upon the
failure of the Lessee to keep any of the conditions hereof
• and is not to be assigned; nor is any portion of the leased
premiums to be sublet, without the written consent of the
Lessor. The Lessee will surrender peaceable possession of
'said premises at the expiration of this lease.
