The Department is requesting to amend the Memorandum of Understanding (MOU) with the Weld County Department of Public Health and Environment (WCDPHE), signed by the Board of County Commissioners on March 4, 2020, and identified as Tyler ID 2020-0756. Through the MOU, the WCDPHE provides health and safety education and consultation to child care provider homes. This amendment was requested following review of the existing MOU by new WCDPHE leadership and through discussion with Department Deputy Director, Tami Grant. The amendment increases the clarity of the Department's roles, expected outcomes and WCDPHE goals. Financial obligations of the Department were decreased from $119,308 to $119,283 as a result of percent of time changes. I do not recommend a Work Session. I recommend approval of this Amendment and authorize the Chair to sign. WCDHS may approve additional child care provider homes to be assessed to support numerous programs and individuals to include but not limited to Colorado Works, Foster Care and Kinship. 1. General Description of Services A. WCDPHE and WCDHS, in partnership with Realizing Economic Advancement through Caring Homes (REACH), United Way of Weld County (UWWC) and North Range Behavioral Health (NRBH), referred together as the "Weld Child Care Team", will collaboratively develop and implement quality services and supports through: 1) A team -based approach to support the needs ofchild care provider homes. 2) Providing health and safety assessment, education, and consultation to child care provider homes. 2. Expected Outcomes Anticipated outcomes of the collaboration will include: A. An increase in the quality of child care and the safety environment of child care provider homes. B. An increase in the number of child care provider homes, including those providers with active Colorado Child Care Assistance Program (CCCAP) Fiscal Agreements through WCDHS, due to provider knowledge and use of recommended supports. C. An increase in the overall knowledge base and understanding of child care issues within the child care community by providing educational trainings, presentations, and seminars. D. Having adequate child care provider homes will allow WCDHS clients to maintain or obtain needed education and employment to be self-sufficient. E. Children in child care provider homes will be better prepared for pre-school or kindergarten and be more successful in a traditional school setting. 3. Target Goals for WCDPHE A. Support the development of quality child care provider homes by assessing and supporting health and safety. Complete a minimum of 15 in -home assessments for child care provider homes, referred from WCDHS. Provide support and resources to child care provider homes as needed per the assessment to support overall health and safety for children. Initial contact should be made within three (3) business days of the new child care provider home referral. Identified needs should be followed -up within one (1) month of the initial home visit. Maintain monthly communication, at minimum, with child care provider homes to provide support and identify additional needs. B. Serve as an ambassador for CCCAP to increase the number on child care provider homes with active CCCAP Fiscal Agreements. The goal is to increase the number of child care provider homes with a CCCAP Fiscal Agreement by three (3). C. Provide educational trainings and seminars to support child care provider homes, conducting a minimum of four (4) related trainings. D. Initiate a minimum of two (2) referrals each month to partner agencies regarding licensing, supportive services, behavior management, etc. E. At a minimum, attendance and active participation in quarterly Weld County Child Care events. F. Provide ongoing health and safety support for existing child care provider homes. 4. Role of WCDHS The REACH Team of Employment Services of Weld County (ESWC), a division under the WCDHS, will provide overall guidance and direction to the Childcare Home Provider Health and Safety Specialist. The REACH Team will serve as the liaison between child care provider homes and community partners and the Childcare Home Provider Health and Safety Specialist. To this end, ESWC will: A. Provide financial support, utilizing Child Care, Colorado Works, or other appropriate and available funding sources for this initiative. B. Conduct background checks on potential child care provider homes, prior to making referrals to Childcare Home Provider Health and Safety Specialist; C. Provide referrals to the Childcare Home Provider Health and Safety Specialist, to complete thorough health and safety assessment, consultation, and education. D. Collaborate with Childcare Home Provider Health and Safety Specialist, in developing, providing, and participating in trainings. E. Collaborate and identify solutions with the Childcare Home Provider Health and Safety Specialist to assist in resolving the concerns and needs of potential child care provider homes. F. Collaborate with the Childcare Home Provider Health and Safety Specialist to create a means of tracking assessment results, such as a database or other acceptable method agreed to by both WCDHS and WCDPHE. G. Collaborate with the Childcare Home Provider Health and Safety Specialist, the community, and the other members of the Weld Child Care Team to provide education, health and safety training, presentations, seminars, etc., in order to support the "Expected Outcomes" in section 2. H. Meet with the Childcare Home Provider Health and Safety Specialist on an ongoing basis or as needed to ensure contractual obligations are met, improve communication, and strengthen the intent of this Agreement. 5. Role of the WCDPHE and the Childcare Home Provider Health and Safety Specialist A. Hire, house, and supervise the Childcare Home Provider Health and Safety Specialist. WCDPHE is solely responsible for the supervision of the Childcare Home Provider Health and Safety Specialist. See job description (Exhibit C). B. In collaboration with WCDHS, provide training for the Childcare Home Provider Health and Safety Specialist ensuring the assessments (inspections) requested by WCDHS, through their recruitment process, are completed. It is understood that the assessments are to be undertaken solely for child care provider homes that currently function as an unlicensed provider. Additionally, assessments (inspections) may be approved for other child care provider homes as determined necessary by WCDHS. C. Provide timely and appropriate referrals to partner agencies within the Weld Child Care Team. D. Assure that the Childcare Home Provider Health and Safety Specialist participates as a member of the Weld Child Care Team, in order to resolve the concerns and needs of potential child care provider homes. With the expectation of active engagement in Weld Child Care Team meetings and activities, as well as a willingness to support the overall goals of the team. E. Respectful collaboration with WCDHS, the community, and the other members of the Weld Child Care Team to provide education, health and safety training, presentations, seminars, etc., in order to support the "Expected Outcomes" in section 2. F. In collaboration with WCDHS, create a means of tracking assessment results, such as a database or other acceptable method agreed upon by WCDHS and WCDPHE. G. The Childcare Home Provider Health and Safety Specialist will provide, at a minimum, a quarterly report of outcomes produced during the previous quarter. The report is due to the WCDHS Child Care Manager no later than the 10th of the month following quarter end. The report is to include (but is not limited to) referrals made to Weld Child Care Team members; individual trainings, group trainings, and/or presentations provided to potential or existing child care provider homes; home visits and consultation services provided; any attendance at Weld Child Care Team activities, and any other informational supports provided to providers. H. While the primary function of the Childcare Home Provider Health and Safety Specialist is working in tandem with the Weld Child Care team, the Childcare Home Provider Health and Safety Specialist, may be utilized in a similar capacity for other WCDHS divisions. Whereas, WCDHS desires to obtain the services set forth in this memorandum and incorporated exhibits, and Whereas, WCDPHE has the ability, qualifications and time available to timely perform these services, NOW THEREFORE, in consideration of the mutual promises set forth herein, the parties hereto agree as follows: 1. Introduction. The terms of this Agreement are contained in the terms recited in this document and in Exhibits A and B which form an integral part of this Agreement. Exhibits A and B are specifically incorporated herein by this reference. 2. Service or Work. WCDPHE agrees to procure the materials, equipment and/or products necessary for the Project and agrees to diligently provide all services, labor, personnel and materials necessary to perform and complete the Project described in Exhibits A and B. 3. Term. The initial term of this Agreement shall be effective on July 1, 2019 and shall expire on June 30, 2021. This agreement shall be automatically renewed annually by the parties, unless one of the parties notifies the other in writing prior to thirty days before the end of the contract year. It may not be renewed beyond June 30, 2021. 4. Termination. This agreement may be terminated without cause by either WCDPHE or WCDHS upon 30 days written advance notice. 5. Extension or Modification. Any amendments or modifications to this agreement shall be in writing signed by both parties. No additional services or work performed by WCDPHE shall be the basis for additional compensation unless and until WCDPHE has obtained written authorization and acknowledgement by County for such additional services. 6. Compensation/Contract Amount. Funds for this contract shall be obtained by County from Temporary Aid to Needy Families (TANF) and other funding sources. County shall pay WCDPHE no more than one hundred nineteen thousand, three hundred eight dollars ($119,308) annually as set forth in Exhibit B, Project Budget. County agrees to pay WCDPHE through an invoice process during the course of the contract in accordance with the Scope of Work as described in Exhibit A. WCDPHE agrees to submit invoices which detail the work completed by WCDPHE. The County will review each invoice and if it agrees WCDPHE has completed the invoiced items to the County's satisfaction, it will remit payment to WCDPHE. 7. Ownership. All work and information obtained by WCDPHE under this Agreement or individual work order shall remain (as applicable), the property of County. 8. Warranty. WCDPHE warrants that the service performed under this Agreement will be performed in a manner consistent with the standards governing such services and the provisions of this Agreement. WCDPHE further represents and warrants that all services shall be performed by qualified personnel in a professional and workmanlike manner, consistent with industry standards, and that all services will conform to applicable specifications. 9. Liability Coverage. WCDHS and WCDPHE shall exchange evidence of insurance showing general liability coverage in the minimum amount of the Colorado Governmental Immunity Act for protection from claims for bodily injury, death, property damage, or personal injury which may arise through the execution of this agreement. Such evidence shall be approved by each recipient prior to commencement of this agreement. 10. Immunity. Nothing in the Agreement shall be construed (i) as a waiver by either party of immunity provided by common law or by statute, specifically including the Colorado Governmental Immunity Act, Section 24-10-101. et.seq. C.R.S., as it may be amended from time to time; (ii) as creating an assumption of any duty or obligation with respect to any third party where no such duty previously existed; or (iii) as creating any rights enforceable by such third parties. 11. Acceptance of Services Not a Waiver. In no event shall any action by County hereunder constitute or be construed to be a waiver by County of any breach of this Agreement or default which may then exist on the part of WCDPHE. Acceptance by the County of, or payment for, the services completed under this Agreement shall not be construed as a waiver of any of the County ' s right s under this Agreement or under the law generally. 12. Non -Assignment. WCDPHE may not assign or transfer this Agreement or any interest therein or claim thereunder, without the prior written approval of County. 13. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control. including but not limited to Acts of God, fires, strikes, war, flood, earthquake s or Governmental actions. 14. Non -Exclusive Agreement. This Agreement is nonexclusive, and County may engage or use other contractors or persons to perform services of the same or similar nature. 15. Termination. This agreement may be terminated without cause by either WCHPHE or WCDHS upon 30 days written advance notice. 16. Entire Agreement/Modifications. This Agreement, including the Exhibits attached hereto and incorporated herein, contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiations, representations, and understandings or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 17. Fund Availability. Financial obligations of the County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. Execution of this Agreement by County does not create an obligation on the part of County to expend funds not otherwise appropriated in each succeeding year. 18. Employee Financial Interest/Conflict of Interest - C.R.S. §§24-18-201 et seq. and §24-50-507. The signatories to this Agreement state that to their knowledge, no employee of Weld County has any personal or beneficial interest whatsoever in the service or property which is the subject matter of this Agreement. 19. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 20. Third Party Beneficiaries. It is expressly understood and agreed that the enforcement of the terms and conditions of this agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this agreement shall give or allow any claim or right of action whatsoever by any other person not included in this agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this agreement shall be an incidental beneficiary only. 21. Confidentiality. All parties to this agreement shall comply with all federal, state and county laws and regulations governing confidentiality, subject only to statutory exceptions applicable to criminal investigations and proceedings. 22. Amendment. Any amendment of this agreement may be made only by written agreement and signed by all parties hereto. 23. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 24. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and void. In the event of a legal dispute between the parties, the Weld County District Court shall have exclusive jurisdiction to resolve said dispute. Expected Outcome Anticipated outcomes of the collaboration will include: A. An increase in the quality of child care and safety of environment in - home child-care provider settings. B. An increase in the number of child care home providers, due to provider knowledge and use of recommended supports. c. Having adequate child care home providers will allow DHS clients to maintain or obtain needed education and employment to be self-sufficient. D. Children in provider homes will be better prepared for pre-school or kindergarten and be more successful in a traditional school setting. Role of Human Services The Realizing Economic Advancement through Caring Homes (REACH) Team of Employment Services of Weld County Division under the Department of Human Services will provide overall guidance and direction to the family home care health/safety consultant. The REACH Team will provide the liaison function between providers and community partners and the Health Department consultant. To this end, ESWC will: A. Provide financial support, utilizing Child Care, TANF or other appropriate and available funds for this initiative. B. Conduct background checks on potential providers, prior to making referrals to Consultant; c. Provide referrals to consultant, to complete thorough health and safety assessment, consultation, and education. D. Collaborate with WCDPHE, in developing, providing, and participating intrainings. E. Collaborate and identify solutions with consultant to assist in resolving the concerns and needs of potential providers. F. Collaborate with WCDPHE to create a means of tracking assessment results, such as a database or other acceptable method. G. Collaborate with WCDPHE, the community, and the other members of the team to provide education, health and safety training, presentations, seminars, etc. in order to support the "Expected Outcomes" listed above. H. Meet with WCDPHE on an ongoing basis or as needed to ensure Contractual Obligations are met, improve communication, and strengthen the intent of this Agreement.
