SIGN NECESSARY DOCUMENTS - CITY OF THORNTON
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement Concerning the Purchase
of Public Road Rights -of -Way and Temporary Construction Easements for the County Roads 80
and 37 Intersection Improvements Project between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, and the City of Thornton,
9500 Civic Center Drive, Thornton, Colorado 80229, with further terms and conditions being as
stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement Concerning the Purchase of Public Road Rights -of -
Way and Temporary Construction Easements for the County Roads 80 and 37 Intersection
Improvements Project between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, and the City of Thornton, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign any necessary documents.

AGREEMENT FOR THE PURCHASE OF PUBLIC ROAD RIGHT-OF-WAY FOR
PUBLIC ROAD IMPROVEMENT PRO CT
THIS AGREEMENT is made this _day o �� �� <<� , 2021, by CITY OF
THORNTON, a Colorado home rule municipality (Owner) w ose : gal address is 9500 Civic Center
Drive, Thornton Colorado, 80229, and the COUNTY OF WELD, a body corporate and politic of the
State of Colorado, by and through its Board of County Commissioners (County), whose address is
1150 'O' Street, Greeley, Colorado 80631, together which may be referred to as the (Parties).
WITNES SETH:
WHEREAS, Owner owns a parcel of real property (Property) described in the attached
Exhibits A and C (Right -of -Way or ROW), and property described in Exhibits B and D
(Temporary Construction Easement or TCE)
WHEREAS, County finds it necessary to rebuild and improve the intersection of Weld
County Road 80 (WCR 80) and Weld County Road 37 (WCR 37), which will involve the
realignment and construction of said roads (the Project), and
WHEREAS, County requires additional public road ROW from the Property for the benefit
of County in order to complete a portion of the Project, and
WHEREAS, Owner wishes to cooperate with County in the Project,
NOW, THEREFORE, the Parties herein agree as follows:
I. EXHIBITS INCORPORATED. The following exhibits are attached and incorporated into this
agreement.
• Exhibit A — 002 -PR ROW Deed of Dedication form, legal description, and depiction
• Exhibit B — 002A-TCE, 002B-TCE, and 002C-TCE Temporary Construction Easement
form, legal description, and depiction
• Exhibit C — 003 -PR ROW Deed of Dedication form, legal description, and depiction
• Exhibit D — 003-TCE Temporary Construction Easement form, legal description, and
depiction
II. COMPENSATION; PROPERTY CONVEYANCE
1. Total compensation to be paid by County to Owner, at closing, as described below is one
hundred thirty four thousand six hundred one dollars and sixty cents ($134,601.60).

2. Owner agrees to sell and County agrees to purchase the Rights -of -Way described and
depicted on Exhibits A and C, respectively, for the sum of twenty six thousand three hundred
fifty four dollars and ninety cents ($26,354.90).
3. Owner agrees to sell and County agrees to purchase the Temporary Construction Easements
described on Exhibits B and D for the sum of one thousand three hundred ninety three
dollars and sixty cents ($1,393.60)
4. County agrees to pay for the replacement of existing improvements, for the sum of fourteen
thousand five hundred seventy-three dollars and zero cents ($14,573.00).
5. County agrees to pay for crop damages in the sum of two hundred eighty dollars and
fourteen cents ($280.14).
6. County agrees to pay the sum of sixty-five thousand dollars and zero cents ($65,000.00) for
the diminution in value to the on -site house and the remainder of the property.
7. County agrees to pay the sum of twenty seven thousand dollars and zero cents ($27,000.00)
to construct a fence and safety barrier between the house and the road.
8. The parties acknowledge and agree that said total compensation described in section II, 2-7,
represents full, fair, and valuable consideration.
III. PUBLIC ROAD RIGHT(S)-OF-WAY
1. Owner agrees to grant to the County at closing the Public Road Rights -of -Way by Deeds
of Dedication as provided in Exhibits A and C.
2. Owner shall deliver the fully executed Deeds of Dedication for the Public Road Right -of -
Way to County at the date of closing which shall be no later than thirty (30) days following
mutual execution of this Agreement. The dedication shall not be valid until accepted and
approved by the Board of County Commissioners and signed by the Chair or other person
delegated authority to sign on behalf of the Board, and approved by resolution of the
Thornton City Council.
IV. TEMPORARY CONSTRUCTION EASEMENT(S)
1. Owner agrees to grant to the County at closing Temporary Construction Easements as
provided in Exhibits B and D.
2. Subject to the terms of the TCE, Owner shall not interfere with County's authorized use of
the TCE during the term of the TCE.

1. County shall cause total compensation to be paid, at closing.
2. County shall pay for the cost of obtaining title insurance if County desires to obtain title
insurance for the Property.
3. County shall pay all fees associated with recording this Agreement and/or the Exhibits.
VI. MISCELLANEOUS
1. Owner owns a house located in the NE '/4 of the NE 'A of Section 24, Township 7 North,
Range 66 West, generally located approximately two hundred fifty feet (250') west of the
intersection of WCR 80 and WCR 37 (the House). The Parties recognize that the conveyance
of the property interests described herein will cause the House to be made a nonconforming
structure as described in Chapter 23, Zoning, Article VII, Nonconforming Uses and
Structures, of the Weld County Code. Section 23-7-40.B of the Weld County Code provides
in relevant part: "No such NONCONFORMING STRUCTURE or nonconforming portion of
a STRUCTURE may be expanded, enlarged or altered in a way which increases its
nonconformity, except that those STRUCTURES that are nonconforming by reason of
noncompliance with existing SETBACK requirements may be expanded or enlarged so long
as such expansion or enlargement does not further diminish the nonconforming SETBACK."
In conformance with the Weld County Code, the Parties agree that the conveyance of the
property interests described herein will not now, or in the future create a condition whereby
the location of the house is in violation of any County regulations and Owner retains the
ability to alter, enlarge, or repair the house in its existing location understanding any
improvements to the house would not reduce the new setback. In addition, Owner will be
permitted to construct the fence and safety barrier on Owner's property up to the Right -of -
Way line, but not in the Right -of -Way. County affirms that no portion of the Right -of -Way
line will be closer than three and one half feet from the exterior wall of the House, as scaled
on the project drawings. This sub -section shall survive Closing.
2. County agrees that Owner shall have no maintenance obligations for the public road Rights -
of -Way and County shall be responsible for all maintenance to the ROW that County deems
necessary and appropriate. Owner agrees that County shall have no obligation to construct or
maintain the fence and safety barrier, and that County's only obligation in relation to the
fence and safety barrier is its payment for the fence and safety barrier as described in section
II.7 above.
3. County affirms that all roadway improvements in proximity to the House are in accordance
with all Federal, State, County, or other applicable safety regulations pertaining to roadway
improvements. This sub -section shall survive Closing.
4. This Agreement and the conveyance of the Property made pursuant to the terms herein, shall

be binding upon, all and inure to the benefit of and be enforceable by the Parties and their
heirs, executors, administrators, successors, and assigns.
5. This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County, Colorado or its designee and approved by resolution of the
Thornton City Council.
6. No term or condition of this Agreement shall be construed or interpreted as a waiver, express
or implied, of any of the immunities, rights, benefits, protections or other provisions, of the
Colorado Governmental Immunity Act §24-10-101 et seq., as applicable now or hereafter
amended.
7. It is expressly understood and agreed that the enforcement of the terms and conditions of this
Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to
the undersigned Parties and nothing in this Agreement shall give or allow any claim or right
of action whatsoever by any other person not included in this Agreement. It is the express
intention of the undersigned Parties that any entity other than the undersigned Parties
receiving services or benefits under this Agreement shall be an incidental beneficiary only.
8. This Agreement including the Exhibits attached hereto and incorporated herein, contains the
entire agreement between the parties with respect to the subject matter contained in this
Agreement. This instrument supersedes all prior negotiations, representations, and
understandings or agreements with respect to the subject matter contained in this Agreement.
No oral representation, promise, or consideration different from the terms herein contained
shall be binding on either party, or its agents or employees. This Agreement may be changed
or supplemented only by a written instrument signed by both parties.
9. Colorado law, and rules and regulations established pursuant thereto, shall be applied in the
interpretation, execution, and enforcement of this Agreement. Any provision included or
incorporated herein by reference which conflicts with said laws, rules and/or regulations
shall be null and void. In the event of a legal dispute between the Parties, the Weld County
District Court shall have exclusive jurisdiction to resolve said dispute.
10. If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, this Agreement shall be construed and
enforced without such provision, to the extent that this Agreement is then capable of
execution within the original intent of the parties.
11. County and Owner acknowledge that each has read this Agreement, understands it and
agrees to be bound by its terms. Each has had an opportunity to seek legal counsel in
relation to the obligations required by this Agreement.

the State of Colorado, by and through its Board of County Commissioners (Grantee), whose legal

WITNESSETH: That Grantor, for and in consideration of payment made by Grantee, the receipt and
sufficiency of which is hereby acknowledged, does, pursuant to Colorado Revised Statute §43-2-
201(1)(a), hereby dedicate and convey forever, to the extent that it owns the property which Grantor
does not warrant, unto Grantee for use as a Public Road Right -of Way, that real property lying and
being in the County of Weld, State of Colorado, to wit:

GRANT OF TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement (TCE), is made between City of Thornton, a Colorado home
rule municipality (Grantor) whose legal address is 9500 Civic Center Drive, Thornton Colorado,
80229, and the County of Weld, a body corporate and politic of the State of Colorado, through its
Board of County Commissioners (County):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt and
sufficiency of which is hereby acknowledged, does hereby dedicate and convey, to the extent that it
owns the property which Grantor does not warrant, unto Owner a Temporary Construction
Easement, covering that real property lying and being in the County of Weld, State of Colorado, to
wit:
The real property described and depicted on the attached Exhibits A, B, and C.
Subject to the following conditions:
1. The TCE is conveyed from Owner to County upon the date executed below and shall
expire and be of no further force or effect 2 years later, or upon the County's determination
that the Project is complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees,
designees, contractors, guests, invitees, successors and assigns, and all those acting by or on
behalf of the County for the purpose of surveying, appraising, establishing, laying,
constructing, reconstructing, installing, realigning, modifying, replacing, improving, adding,
altering, substituting, operating, maintaining, accessing, inspecting, patrolling, protecting, or
repairing the roadway improvements, including the storage of materials related to said
roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on,
over, under, and across the TCE from any adjacent property to which County has legal
access, for any and all purposes necessary and/or incident to the exercise by the County of
the rights granted to it hereunder. At the expiration of the term of this TCE, County shall
promptly repair any damage to Owner's property caused by County, its agents, employees,
contractors, guests, invitees, and all those acting by or on behalf of County so as to maintain
the Owner's property in substantially as good or better condition as existed prior to use by
County.
4. County agrees that any current access to the property from the Right -of -Way shall
remain open throughout the term of the TCE.

Thornton Colorado, 80229, and the County of Weld, a body corporate and politic of the State of
Colorado, by and through its Board of County Commissioners (Grantee), whose legal address is
1150 "O" Street, Greeley, Colorado 80631:
WITNESSETH: That Grantor, for and in consideration of payment made by Grantee, the receipt and
sufficiency of which is hereby acknowledged, does, pursuant to Colorado Revised Statute §43-2-

GRANT OF TEMPORARY CONSTRUCTION EASEMENT
This Temporary Construction Easement (TCE), is made between City of Thornton, a Colorado home
rule municipality (Grantor) whose legal address is 9500 Civic Center Drive, Thornton Colorado,
80229, and the County of Weld, a body corporate and politic of the State of Colorado, through its
Board of County Commissioners (County):
WITNESSETH: That Owner, for and in consideration of payment made by County, the receipt and
sufficiency of which is hereby acknowledged, does hereby dedicate and convey, to the extent that it
owns the property which Grantor does not warrant, unto Owner a Temporary Construction
Easement, covering that real property lying and being in the County of Weld, State of Colorado, to
wit:
The real property described and depicted on the attached Exhibit A.
Subject to the following conditions:
1. The TCE is conveyed from Owner to County upon the date executed below and shall
expire and be of no further force or effect 2 years later, or upon the County's determination
that the Project is complete, whichever is earlier.
2. The right to use the TCE shall belong to the County and its agents, employees,
designees, contractors, guests, invitees, successors and assigns, and all those acting by or on
behalf of the County for the purpose of surveying, appraising, establishing, laying,
constructing, reconstructing, installing, realigning, modifying, replacing, improving, adding,
altering, substituting, operating, maintaining, accessing, inspecting, patrolling, protecting, or
repairing the roadway improvements, including the storage of materials related to said
roadway improvements.
3. County shall have the right of ingress, egress, entry and access in, to, through, on,
over, under, and across the TCE from any adjacent property to which County has legal
access, for any and all purposes necessary and/or incident to the exercise by the County of
the rights granted to it hereunder. At the expiration of the term of this TCE, County shall
promptly repair any damage to Owner's property caused by County, its agents, employees,
contractors, guests, invitees, and all those acting by or on behalf of County so as to maintain
the Owner's property in substantially as good or better condition as existed prior to use by
County.
4. County agrees that any current access to the property from the Right -of -Way shall
remain open throughout the term of the TCE.

RESOLUTION
A RESOLUTION APPROVING DEDICATION OF PUBLIC ROAD RIGHT-OF-WAY AND
TEMPORARY CONSTRUCTION EASEMENTS TO WELD COUNTY ON
THORNTON'S FARM 58.
WHEREAS, City Charter Section 4.22, requires that City Council pass a resolution
by majority vote to sell or otherwise dispose of City property; and
WHEREAS, the City owns a farm in Weld County known as Farm 58. The Farm is
located in Sections 13 and 24, Township 7 North, Range 66 West of the 6th Principal
Meridian, in Weld County; and
WHEREAS, Weld County has requested from the City, and the City desires to
grant, Temporary Construction Easements and Dedication of Public Road Right -of -Way
(Easements) on Farm 58 to Weld County for the purpose of reconstructing, repairing, and
maintaining the intersection at Weld County Roads 37 and 80 adjacent to Thornton's
Farm 58; and
WHEREAS, the Easements are set forth in Exhibits A, B, C, and D attached
hereto.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF THORNTON, COLORADO, AS FOLLOWS:
1. That the granting of the Easements in exchange for compensation for
$134,601.60 is hereby approved in accordance with City Charter Section
4.22.
2. That the City Manager is hereby authorized to execute, and the City Clerk
attest to, said Easements along with any associated exhibits, attachments,
and other documents to facilitate the grant of the Easements on Farm 58.
PASSED AND ADOPTED at a regular meeting of the City Council of the City of
Thornton, Colorado, on September 14, 2021.

Attached is the signed agreement for the City of Thornton. The Board previously approved the agreement under 2021-
2674.
The agreement has a couple of deeds of dedication that have to be accepted by the BOCC and recorded. I have put
"Sign Here" tabs on the deeds that need to be accepted and recorded. There are also some temporary construction
easements that need to be added to the file. The TCEs do not have to be accepted or recorded.
