Therefore, the existing bridge is scheduled to be replaced by Weld County Public Works bridge construction crews beginning in fall of 2021. Width of the new bridge will increase by 12 feet and span will increase by 10 feet as compared to the existing bridge. Since Weld County Road 2.5 is a dead-end road west of Fulton Ditch, a temporary bridge and shoofly road will be constructed around the north side of the project to accommodate the travelling public during construction. Purpose of Pass -Around: Replacement of the permanent bridge and construction of the temporary bridge requires access to the Fulton Ditch, which is operated by the Fulton Irrigating Ditch Company (FIDC). The attached Agreement for Bridge Replacement (Agreement) was therefore drafted by Public Works staff to define the rights and responsibilities of Weld County and FIDC related to the project. We are seeking Board of County Commissioners approval and signature of the Agreement. Total compensation is a not to exceed amount of $5,000 in order to reimburse FIDC for their reasonable engineering expenses for reviewing the project design. The Agreement has been reviewed by the County Attorney's Office and has been signed by FIDC. What options exist for the Board? (include consequences, impacts, costs, etc. of options): • Approve the Agreement for Bridge Replacement. • Schedule a work session to further discuss the Agreement for Bridge Replacement. Recommendation: Staff recommends approving this Agreement for Bridge Replacement and allowing it to be placed on the next available BOCC agenda. Approve Recotumendation Perry L. James, Pro-Tem Steve Moreno, Chair Lori Saine Schedule Work Session Other/Comments: gl25 AGREEMENT FOR BRIDGE REPLACEMENT BETWEEN FULTON IRRIGATING DITCH COMPANY and WELD COUNTY (2.5/27A BRIDGE REPLACEMENT) THIS AGREEMENT is made this p day o 2021, by and between Fulton Irrigating Ditch Company ("FIDC"), a Colorado Mutual Di ti} Company and the County of Weld, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 "O" Street, Greeley, Colorado 80631 hereinafter referred to as "County." WITNESSETH: WHEREAS, FIDC is the owner of a certain right-of-way within which lies a canal or ditch known as the Fulton Ditch, (hereinafter referred to as "the Ditch" or "Ditch"), and WHEREAS, County finds it necessary to replace the existing 2.5/27A Bridge which crosses the Ditch along Weld County Road 2.5 (WCR 2.5) about 1,080 feet west of Weld County Road 29 (WCR 29) with a new 2.5/27A Bridge in the same approximate location. During construction of the new bridge, in order to accommodate vehicular traffic, County also finds it necessary to construct a temporary shoofly around the construction area for WCR 2.5 including a temporary bridge crossing the Ditch. These proposed improvements together are hereinafter referred to as the "Project", and WHEREAS, FIDC and County acknowledge the Ditch lies within an area of the Project, and WHEREAS, FIDC agrees that County has designed the new 2.5/27A Bridge to accommodate the current average maximum water capacity of the Ditch, as reflected in the construction plans (a copy of the construction plans is attached hereto and made a part hereof by this reference as Exhibit "A"), and WHEREAS, FIDC and County recognize that County has a statutory obligation to maintain its roads and bridges to protect the safety of the travelling public and that FIDC also has legal obligations to deliver water to its shareholders/members, and WHEREAS, each party desires to cooperate in a manner that permits each to meet its obligations. NOW, THEREFORE, in consideration of the promises and covenants expressed herein, the parties mutually agree as follows: I. FIDC's RIGHTS AND RESPONSIBILITIES: 1. Construction Plans: FIDC and County acknowledge that each has had the opportunity to provide input into the design of the Project, and that Exhibit "A" reflects the collaborative design efforts of the parties. In the event that County discovers unanticipated conditions during construction, County shall notify FIDC of the need for design changes. Following FIDC's approval, the revised construction plans and/or specifications shall be attached Page 1 of 9 OZ1,02-/ _asst hereto and made a part hereof as additional exhibits. In order to avoid delays during construction, County shall be authorized to continue construction using revised construction plans, except for the following, which require prior approval from FIDC: major design changes or changes which reduce designed flow capacity. When prior approval is required, FIDC shall review revised construction plans in a timely manner. 2. Construction and Maintenance of Project: FIDC hereby grants permission to County to construct the improvements described in the construction plans included in Exhibit "A" and thereafter maintain said improvements within the Ditch where said improvements are also located within County road right-of-way. 3. Grant of Right of Ingress & Egress: FIDC hereby grants to County the right of ingress and egress to and from the Project and across the Ditch property, as necessary and reasonable for the exercise of the purposes of this Agreement. FIDC acknowledges and agrees that County will require access to the Ditch to complete construction of the Project, and hereby specifically affirms that County shall have that access. 4. FIDC's Field Inspections: FIDC may, in its discretion, conduct field inspections at the initial stage of construction and later within three (3) business days of County's notification to FIDC that construction has been substantially completed. In addition, at FIDC's discretion, field inspections may be conducted at any time during the construction of the Project. FIDC shall notify County in writing of all corrective work it deems necessary within three (3) days of such field inspections. Such corrective work shall be completed promptly at the sole expense of County. Failure of FIDC to notify County of the need for corrective work within three (3) business days of FIDC's inspection shall be deemed to constitute FIDC's acceptance and approval of the construction of the Project through the date of that inspection. 5. Timing of Project Construction: FIDC has provided County with the dates no water will be flowing through the Ditch, so that the Project may be completed within those dates. At the signing of this Agreement the parties generally agree that the Project may be completed between October 2021 and May 2022, with the limitations identified in Section II. 5. 6. FIDC's Present and Future Rights to Maintain Ditch: FIDC has, and shall continue to have full power to operate, maintain, alter, enlarge, relocate, clean and manage the Ditch as if this Agreement had not been made, except to the extent that Weld County right-of-way for the Project or other County right-of-way may be damaged by FIDC's negligence in conducting said activities. It is specifically agreed that normal maintenance and repair activities, including the operation of machinery for such purposes within and upon the Ditch and Ditch right-of-way, shall not constitute negligence. In the event, however, that any such activity on the part of FIDC could reasonably be expected to damage County's road, structures and/or right-of-way, FIDC agrees to give prior notice to County, and to cooperate with County to mitigate and possibly avoid said injuries or damages to the County's road, structures and/or right-of-way, and this Project. The parties acknowledge and agree that the County shall own and have the full responsibility to maintain the improvements it constructs within County road right-of-way, and that aside from County's maintenance responsibilities, FIDC has the exclusive right to use the improvements for the transport of its water. Page 2 of 9 7. Emergency Repairs: In the event FIDC finds it necessary to perform emergency repairs to the Ditch, either during County's construction of the Project or at any time in the future, and such activity causes damage to County's road, right-of-way and/or Project. FIDC shall be without liability for damages to County as the result of the performance of such repairs, except as to such damage caused by FIDC's negligence. If FIDC determines that emergency repairs to the Ditch must be made, which repairs are caused by the acts or omissions of County in constructing or maintaining the Project and/or road, FIDC shall notify County of the need for such repairs; if County is able to conduct such repair work, it will so notify FIDC immediately, and will commence said repairs within a time period agreed to by FIDC. If County is unable to undertake said repair work itself either due to construction expertise or as a result of time constraints within the time period required by FIDC, and FIDC is required to expend funds for said emergency repairs of the Ditch, FIDC shall notify County of the expenditure, submit documentation of the expense incurred and, subject to the approval of and appropriation of funds by the Weld County Board of Commissioners, County shall reimburse the FIDC for any reasonable expense incurred by FIDC related to the emergency repairs. 8. No How of Irrigation Water During Construction of Project: The parties agree that the construction of the Project will eliminate the possibility of the flow of irrigation water through the Ditch at the location depicted in Exhibit "A" during a portion of the period of active construction. The County shah notify FIDC at least 72 hours prior to beginning construction so that FIDC can make any necessary preparations for ceasing the delivery of irrigation water in the Ditch at the location depicted in Exhibit "A." II. COUNTY'S RIGHTS AND RESPONSIBILITIES 1. County's Right of Ingress & Egress: County has the right of ingress and egress to and from the Project and acFoss the Ditch property, as needed to complete the construction of this Project. 2. County to Provide Notice of Work: All work shall be performed only after prior notice and submission of construction plans and specifications to FIDC's superintendent, after such engineering and legal consultation as FIDC considers necessary, following the approval of the same by FIDC. Such approval shall not be unreasonably withheld or delayed. The Parties agree that the construction plans attached hereto as Exhibit "A" are approved for construction. 3. County's Construction Responsibilities: County agrees to construct the Project, and thereafter maintain the Project within its road right-of-way in such a manner as to avoid damage to the Ditch, particularly the embankments and access thereto, and to avoid interference with the flow of water through the Ditch. Any damage to the Ditch caused by County's construction of the Project, including damage to the Ditch's embankments and facilities appurtenant to the Ditch, and any construction deficiencies occasioned by County's improper construction of the Project shall be addressed as follows: (1) If FIDC determines that repairs to the Ditch must be made, which repairs are caused by the acts or omissions of County in constructing or maintaining the Project, FIDC shall notify County of the need for such repairs; (2) If County is able to conduct such repair work, it will so notify FIDC immediately, and will undertake said repairs within a time period agreed to by FIDC; (3) If County is unable to undertake said repair work within a time period to which FIDC agrees, and FIDC expends any sum for said repairs of the Ditch, FIDC shall notify County of the expenditure, submit documentation of the expense Page 3of9 incurred and, subject to the approval of and appropriation of funds by the Weld County Board of Commissioners, County shall reimburse FIDC for any reasonable expense incurred by FIDC. Should any construction deficiencies occasioned by County's improper construction of the Project in any way prevent or diminish FIDC's ability to deliver water through the Ditch, County shall reimburse FIDC and/or its shareholders for any actual damages caused by non -delivery of water, subject to the approval of and appropriation of funds by the Weld County Board of Commissioners. County further agrees that the construction and maintenance of the Project shall in no way harm or diminish FIDC's rights in and to the easement FIDC holds for the purpose of keeping and maintaining the Ditch and for delivery of water to its shareholders. 4. Historical Irrigation Water and Stormwater Drainage Patterns: FIDC and County agree that the design of the project, as reflected in Exhibit "A," is expected to preserve historical irrigation water and storm water drainage patterns, and both parties believe that said design shall, therefore, preserve the integrity of FIDC's facilities and shall not reduce the capacity of the Ditch to carry and convey irrigation water to FIDC's shareholders. However, in the event that historical irrigation water or storm water drainage patterns are substantially altered by construction of the Project, and adversely impact FIDC, County agrees to correct those characteristics of the Project which created the adverse impact. 5. Flow of Water During Construction of Project: It is a primary goal of County not to interrupt the flow of water through the Ditch for a period longer than is necessary to complete construction of the Project. To that end, County agrees that absent accidents involving third parties, or force majeure, as described in Paragraph III.12 herein, County will not interrupt the flow of water through the Ditch at any time prior to December 1'`. 202 l or after March 15`h. 2022. The parties have agreed that County shall construct the Project during the period beginning on October 1'. 2021 and ending on MaN 31'. 2022 (the "Construction Period") unless otherwise agreed to by both parties. County may commence construction within the Ditch easement, but outside the area of the Ditch where water flows, on October I `'. 2021. County may utilize the area of the Ditch where water flows beginning on December l , 2021 or whenever FIDC indicates that irrigation water is done flowing for the season, whichever is sooner. County shall complete construction within the area of the Ditch where water flows, no later than March 15`h, 2022. As the parties are aware that water could be carried through the Ditch for a variety of reasons at any time during the Construction Period, County agrees to provide a temporary bridge and temporary shoofly as shown in Exhibit A. The temporary bridge will accommodate a total flow rate of one hundred (100) Cubic Feet per Second (cfs) as indicated in Exhibit A. FIDC agrees that if water must be carried through the ditch during the Construction Period, such flows will be limited to no more than 100 cfs by FIDC, and FIDC will provide notice to County immediately following FIDC's intent to flow water. Notice of the carriage of water in the Ditch by FIDC shall be given to each person named in paragraph III.13 and in accordance with the provisions of that paragraph. Immediately following its receipt of such notice, County shall begin the removal of its equipment, materials and/or personnel from the Ditch site (excepting the temporary shoofly and bridge) as soon as reasonably possible in order to allow the water flows of no more than 100 cfs to pass through the Ditch. 6. Installation of Tube Gate Across Ditch Road on Southwest Side of Project: West of the Ditch along the South right-of-way line of WCR 2.5, County will construct a 24' wide heavy-duty tube gate across the existing Ditch access road. This gate will be closed and locked by Page 4 of 9 County on August 6'11. 2021, before which two (2) keys will be provided to FIDC operations staff. This locked gate is necessary to control non-FIDC traffic during Project utility relocations being performed prior to the Construction Period, as well as during the entire Construction Period. Upon completion of the Project, FIDC and the private landowner may operate the gate however they deem necessary. 7. Repair and Maintenance of Project After Construction: All post -construction repairs, replacements or maintenance of the Project by County which could impact FIDC's use and operation of the Ditch shall, in the absence of an emergency, be undertaken during a period when the Ditch is not being used to carry water. County agrees to notify FIDC of the need to repair, replace or maintain the Project and FIDC agrees to provide County with a flow schedule which will allow County to perform its work when the Ditch is not expected to be used to carry water. In the event of an emergency situation caused by an immediate and unforeseen incident causing damage to the 2.5/27A Bridge and/or its appurtenances which creates a danger to the travelling public, County agrees to immediately notify FIDC of the need to conduct necessary repairs, and to the extent possible, FIDC agrees to cooperate to allow County to complete said repairs. 8. County's Responsibilities Following Construction and/or Repair, Replacement and Maintenance: Upon County's completion of construction of the Project, and following any later repair, replacement and/or maintenance activity related to the Project, which takes place within the Ditch boundaries within County road rights -of -way, County agrees it has a continuing obligation to clean and maintain the area in order to place it in the same or better condition than it was before the activity began. County agrees to clean and maintain the Project area within the Ditch boundaries within County road rights -of -way not later than fourteen (14) days following a request from FIDC to perform such cleaning and maintenance. 9. Review Expense Reimbursement: County agrees to reimburse FIDC for all reasonable review expenses incurred by FIDC for the professional engineering review of the Project's design, not to exceed $5.000.00. III. MISCELLANEOUS l .
