RE: APPROVE GRANT AGREEMENT FOR CONSTRUCTION OF ISLAND GROVE
REGIONAL PARK ARENA STAGE AND AUTHORIZE CHAIR TO SIGN - GREELEY
INDEPENDENCE STAMPEDE, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Grant Agreement for Construction of
the Island Grove Regional Park Arena Stage between the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, and Greeley Independence
Stampede, Inc., with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Grant Agreement for Construction of the Island Grove Regional
Park Arena Stage between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, and Greeley Independence Stampede, Inc., be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 17th day of February, A.D., 2021.

This Grant agreement ("Agreement"), effective as of February 9, 2021, is made and entered into by
and between weld County Government ("Grantor") and the Greeley Independence Stampede
{"Stampede"} for the use and benefit of Island Grove Regional Parka
AGREEMENT
1e Grant Amount: Five hundred thousand dollars ($500,000.00) payable to the Greeley
Stampede to be paid in full by June 1, 2021.
Use of the Grant, The Grant shall be used to support construction of the Island Grove
Regional Park arena stage t0 be completed in 2021("Project") " Project") for the benefit of weld
County citizens using the Island Grove Regional Park arena to attend events and promote
economic development by having out -of -county guests use the facility to benefit the
tourism sector of the County's economy.
3. c�tno�y�en In consideration for the Grant, the Stampede will:
ae Acknowledge the Grantor as a major contributor of the Project on all Project
promotional materials
bo Display the Grantor's logo on the west exterior side of the stage, along with the logos
of other major Project contributors , through the year 2039, unless extended. In the
case that the building is destroyed, the Stampede will work with the City of Greeley in
good faith to replace the signage.
4. Use of Sta e for weld County S onsore.d Eve ts. Grantor shall have authority to use the
stage for those weld County sponsored events that are consistent with the terms and
conditions of the Intergovernmental Agreement for Island Grove Managerial Services
between Grantor and the City of Greeley, dated November 6,19$4.
5, Assignment. This Agreement and the rights and benefits hereunder may not be assigned
by either party without the prior written consent of the other party, which consent shall be
in the sole and absolute discretion of the non -assigning party.
6. Governing ,aVenue. This Agreement will be governed by and construed in
accordance with the laws of the State of Colorado without regard to any conflict of laws
rule or principle that might refer the governance or construction of this Agreement to the
laws of another jurisdiction. Subject to the sovereign immunity of the State of Colorado,
any legal proceeding brought in connection with disputes relating to or arising out of this
Agreement will be filed and heard in weld County, Colorado and each party waives any

objection that it might raise to such venue and any right it may have to claim that such
venue is inconvenient.
7. Authority. The Grantor represent that they have full power and authority to execute this
Agreement and to carry out the transactions contemplated hereby, and that all corporate
action on the part of the Grantor, their officers, directors shareholders, and all consents,
approvals, orders, authorizations or filings with any federal or state governmental agency
necessary for the authorization, execution, delivery and performance of this Agreement by
the Grantor and the consummation of the transactions contemplated herein by the
Grantor have been taken or obtained, and that this Agreement constitutes the legal, valid
and binding obligation of such entity.
8. Entire Agreennenty This written Agreement constitutes the entire agreement of the
parties and any prior agreement between the parties relating to the event shall be of no
force or effect.
