WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the Purchase of Certain
Property for Public Road Improvements for County Roads 80 and 37 Intersection Project between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Department of Public Works, and Deborah Campbell,
38855 County Road 37, Eaton, Colorado 80615, with further terms and conditions being as stated
in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Agreement for the Purchase of Certain Property for Public Road
Improvements for County Roads 80 and 37 Intersection Project between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Public Works, and Deborah Campbell, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign any necessary documents.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 21st day of June, A.D., 2021.

SUBJECT: Purchase and Sales Agreement for Deborah
Campbell ROW and TCE for CR 80 & CR 37 Intersection Project
Please place the attached Purchase and Sales Agreement on the BOCC agenda. The agreement is for
the purchase of ROW and temporary construction easement located on the southwest corner of the CR
80 and CR 37 intersection.
The agreement and offer were reviewed by the BOCC in a pass around that was returned on May 24,
2021. All five commissioners approved the recommendation to offer Deborah Campbell an amount not to
exceed $55,000.00.
I will attend the BOCC meeting to answer any questions the BOCC may have.

Brief description of the problem/issue:
Public Works is in the process of ROW acquisition for the CR 80 and CR 37 project which is slated to begin construction
in November of 2021. During the design phase of the project, it was determined that the County would need to acquire
ROW for the parcel. The impacts to Ms. Campbell's property which is located on the SW corner of the intersection were
estimated to be more than $5,000 so the contracted ROW agent for the project acquired an appraisal on the County's
behalf and the landowner was given the option to obtain a separate appraisal.
The County's appraisal done by West Foster was completed on May 13, 2021. The landowner's appraisal done by Alan
Axton was completed on May 14, 2021. The table below summarizes the values included in the appraisals.

After reviewing the appraisals, the County's contracted ROW agent and internal ROW agent have indicated $16,000 of
Axton appraisal does not meet the standard for an appraisal because it is based on speculation of future land
development opportunities. Speculation of future land development opportunities are not to be considered during the
appraisal process. Therefore, the table above reflects the removal of $16,000 from the Axton appraised value.
Public Works is also concerned that the values used by the appraisers for the fence replacement are too low. Based on
actual costs from a recent County project for a similar type fence, Public Works believes the cost to replace the fence will
be closer to $22,400 (694 LF x $32.25/LF). Substituting the revised fencing costs into the appraisals, the Foster appraisal
would become $61,879 and the Axton appraisal would become $52,295.
Prior to the County's review of the appraisals, the landowner had indicated they would be willing to sign the purchase
agreement for the ROW for $55,000.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
The BOCC can opt to offer the landowner an initial offer based on:
1. The County's modified value which includes the County's Land Value, 30% incentive, and the modified fence cost
- $61,879
2. The Landowner's modified value which includes the Landowner's land value, 30% incentive and the modified
fence cost - $52,295
3. The Landowner's verbal statement in which she said she would settle for $55,000.
Recommendation:
Public Works recommends Option 3 which is offering the landowner $55,000. Public Works would also like to request that
the BOCC authorize Public Works with the ability to counter up to $61,879 (the value of our modified appraisal). This
option can be justified because actual project costs have shown that the fencing estimate used by the appraisers is not
reflective of the current environment for fencing materials.

IMPROVEMENTS BETWEEN DEBORAH CAMPBELL AND WELD COUNTY,
COLORADO
THIS AGREEMENT is made this emay of O -one., 2021, by and between
DEBORAH CAMPBELL, whose address is 38855 CR 37, Eaton, CO 80615, hereinafter
collectively referred to as "Owner," and the WELD COUNTY, a body corporate and politic of
the State of Colorado, by and through its Board of County Commissioners, whose address is 1150
'O' Street, Greeley, Colorado 80631 hereinafter referred to as "County." -
WHEREAS, Owner owns a parcel of real property containing the property described in the
attached Exhibit A (hereinafter referred to as ("Right -of -Way" or ROW) and property described
in the attached Exhibit B ("Temporary Construction Easement" or TCE), which are hereinafter
referred to collectively as the "Property". and
WHEREAS, County finds it necessary to acquire the Property for the benefit of County in
order to construct the WCR 80 and WCR 37 Intersection Improvements, (hereinafter referred to
as the "Project"). and
WHEREAS, Owner wishes to cooperate with County in completing the Project.
NOW, THEREFORE. the parties herein agree as follows:
EXHIBITS INCORPORATED. The following exhibits are attached and incorporated into
this Agreement.
Exhibit A -- Description, Depiction, and Form of ROW.
Exhibit B -- Description, Depiction, and Form of TCE.
II. COMPENSATION; PROPERTY CONVEYANCE
1. Total compensation to be paid by County to Owner, as described below, is Fifty five
thousand dollars and no cents, ($55,000.00).
a. Owner agrees to sell and County agrees to purchase at closing the Public Road
Right -of -Way described and depicted on Exhibit A for the sum of Twenty our
thousand seven hundred thirty six dollars and forty cents, ($24,736.40).
b. Owner agrees at closing to sell and County agrees to purchase at closing the
Temporary Construction Easements described on Exhibit B for the sum of one
thousand four hundred ninety two dollars and forty cents, ($1 492.40).
Owner agrees at dosing to sell and County agrees to purchase at and replace
existing improvements. (hereinafter referred to as the "Damages"). described
as a steel fence for the sum of twenty one thousand seven hundred seventy one
dollars and twenty cents, ($21,771.20).

d. Owner agrees at closing that County will pay a Cost to Cure in the sum of seven
thousand dollars and no cents, ($7O00.00).
2. The parties acknowledge and agree that said purchase price represents full, fair and
valuable consideration.
Ill. PUBLIC ROAD RIGHT(S)-OF-WAY
1. Owner agrees to grant the Public Road Right -of -Way to the County by Deed of Dedication
as provided in Exhibit A.
Owner shall deliver the fully executed Deed of Dedication for the Public Road Right -of -
Way to County at the date of closing which shall be no later than thirty (30) days following
mutual execution of this Agreement. The dedication shall not be valid until accepted and
approved by the Board of County Commissioners and signed by the Chair or other person
delegated authority to sign on behalf of the Board.
3. Owner shall retain the mineral estate and any water rights currently attached to or
associated with the Property, if any exists.
IV. TEMPORARY CONSTRUCTION EASEMENT(S)
1. Owner hereby grants a Temporary Construction Easement (TCE) to the County covering
all property described and depicted in, and subject to the terms provided in, Exhibit B.
2. Owner shall not interfere with County's authorized use of the TCE during the term of the
TCE.

1. County shall not be liable for any encumbrance associated with the Property prior to the
date of closing. Owner shall pay any encumbrance associated with the Public Road Right -
of -Way, the Permanent Easement and the Temporary Construction Easement which is
required to be paid, including, but not limited to, a prorated amount of the property taxes,
and any past due property taxes, (and interest and penalties thereon), on or before the date
of closing when Owner delivers the Deed of Dedication to County and the Permanent
Easement. Owner is solely responsible for the payment of any amounts owed to a third
party holding a security or other ownership interest in the Public Road Right -of -Way,
Permanent Easement and Temporary Construction Easement.
2. County shall at closing pay for the cost of obtaining title insurance if County elects to
obtain title insurance for the Property.

3. County shall at closing pay all tees associated with recording this Agreement, the
Temporary Construction Easement, and/or the Deed of Dedication.
VI. MISCELLANEOUS:
I. This Agreement and the conveyance of the Property made pursuant to the terms herein,
shall be binding upon, all and inure to the benefit of and be enforceable by the parties and
their heirs, executors, administrators, successors, and assigns.

This Agreement shall not he valid until it has been approved by the Board of County
Commissioners of Weld County. Colorado or its designee.
3. No term or condition of this contract shall be construed or interpreted as a waiver, express
or implied, of any of the immunities, rights, benefits, protections or other provisions, of the
Colorado Governmental Immunity Act §24-10-101 et seq., as applicable now or hereafter
amended.
4. It is expressly understood and agreed that the enforcement of the terms and conditions of
this Agreement, and all rights of action relating to such enforcement, shall be strictly
reserved to the undersigned parties and nothing in this Agreement shall give or allow any
claim or right of action whatsoever by any other person not included in this Agreement. It
is the express intention of the undersigned parties that any entity other than the undersigned
parties receiving services or benefits under this Agreement shall be an incidental
beneficiary only.
5. This Agreement including the Exhibits attached hereto and incorporated herein, contains
the entire agreement between the parties with respect to the subject matter contained in this
Agreement. This instrument supersedes all prior negotiations, representations, and
understandings or agreements with respect to the subject matter contained in this
Agreement. No oral representation, promise, or consideration different from the terms
herein contained shall be binding on either party, or its agents or employees. This
Agreement may be changed or supplemented only by a written instrument signed by both
parties.
6. Colorado law, and rules and regulations established pursuant thereto, shall be applied in
the interpretation, execution, and enforcement of this Agreement. Any provision included
or incorporated herein by reference which conflicts with said laws, rules and/or regulations
shall be null and void, In the event of a legal dispute between the parties. Contractor agrees
that the Weld County District Court shall have exclusive jurisdiction to resolve said
dispute.
3. If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, this Agreement shall be construed and

enforced without such provision, to the extent that this Agreement is then capable of
execution within the original intent of the parties.
