RE: Consent to Assign Oil & Gas Lease

To Whom It May Concern:
Aztec Exploration, LLC (Aztec) is currently negotiating an agreement for the sale of Oil & Gas Leases whereby
Aztec has agreed to sell and assign one hundred percent (100%) of its right, title, and interest in and to the Oil &
Gas Lease recorded at Reception No. 4577900 to PDC Energy, Inc. whose address is 1775 Sherman St., Suite
3000, Denver, CO 80203. Aztec will reserve a 1.50% Overriding Royalty.
Pursuant to the Oil and Gas Lease, your consent is required in order to permit Aztec to convey its interest. Aztec
respectfully requests your consent to sell and assign its interest in the Oil and Gas Lease covering the following
lands:
Township 7 North, Range 66 West, 6th P.M.
Section 13: Lots 7 and 8, Block 1, McGlenn Addition to the Town of Ault
Please evidence your consent by executing in the space provided below. Please return the original fully executed
letter to my attention in the enclosed pre -paid envelope. Should you have any questions, please do not hesitate to
