Home My WebLink About20212306.tiffRESOLUTION RE: APPROVE AUTHORIZATION TO RELEASE INFORMATION AND AUTHORIZE CHAIR TO SIGN - EVERSIDE HEALTH, AND AETNA LIFE INSURANCE COMPANY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Authorization to Release Information among the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Resources, Everside Health, and Aetna Life Insurance Company, commencing May 26, 2021, with terms and conditions being as stated in said authorization, and WHEREAS, after review, the Board deems it advisable to approve said authorization, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Authorization to Release Information among the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Resources, Everside Health, and Aetna Life Insurance Company, be, and hereby is, approved. The information shared is specifically: universal medical, RX and enrollment reporting. Since this also includes HIPAA (Protected health information from the Health Insurance Portability and Accountability ACT), permission is needed from Weld County. There is no money involved. What options exist for the Board? (include consequences, impacts, costs, etc. of options): 1. Authorize this agreement — allows the two entities, Aetna and Everside Health to share employee health information allowing for better care to our employees. 2. Don't authorize the agreement. Neither Everside or Aetna will be able to share information and the employees may not receive the full scope of care that they need because the providers will only have the information from their own entity, not the full picture. James, Pro -Tern Steve Moreno, Chair Lori Saine Schedule Work Session Other/Comments: 2021-2306 , 9 a 33 AUTHORIZATION TO RELEASE INFORMATION This Authorization to Release Information ("Authorization") is entered into on May 26, 2021 ("Effectiv e Date"), among Weld County Government, a public sector entitycorporationhavinga princip alp lace ofbusiness at 1150 O Street, Greeley, CO 80631 ("Client), Everside Health, an onsite health clinic management corp oration having a principalplace ofbusiness at 1400 Wewatta Street, Ste. 350, Denver, CO 80202 ("Third Party"), andAetna Life Insurance Company, a Connecticut corporation having a principal pla ce of business at 151 Farmington Ave., Hartford, CT 06156, on behalf of itself and its affiliates ("Aetna") WHEREAS, Third Party provides onsite health clinic services and management or other services to C lien t in connection with Client's health benefits plan ("Plan") pursuant to a separate agreement; WHEREAS. Client has entered into an agreement with Aetna for insurance or claims administration services; WHEREAS, Client wishes to direct Aetna to disclose certain data, describedbelow, to Third Party pursuant to Client's agreement with such Third Party. NOW THEREFORE, the parties agree as follows: 1. Direction. Client hereby directs Aetna, and Aetna agrees, to disclose informat ion relating to the Plan, specifically, universal medical, Rx, and enrollment repotting (the "Information"), which includes protected health information as defined by the Health Insurance Portability and Accountability Act ("HIPAA"), as amended. 2. Relationship of the Parties. Client understands and agrees thatneither Third Party nor Aetna are a business associate of or subcontractor to the other. Client agrees that it is solely Client's responsibility to obtain any and all necessary agreements with Third Party and Aetna to protect the privacy and security of the Information in a ccordancewith allappicable applicable laws, including butnot lim ited to the "plan sponsor disclosure" rules of the HIPAA Privacy Regulations (45 C.F.R.164.504(f)), as applicable. As such, Client warrants that it has entered or it intends to enter into all required agreements, includingbut not limited to business a ssociate agreements, as applicable, with Third Party and with Aetna, govemingandprotectingthe Information. The parties agreeto abide by the terms of all required agreements as set forth in this paragraph. Client acknowledges that Aetna is facilitating the transfer o f the Information to Third Party only at Client's request and that Aetna accepts no liability from honoring C lie n t ' s request. 3. Proprietary Information. Third Party understands and agrees that the Information may include Aetna - identifiable business prcprietaiy data, rates, fees, provider discount orpa yment information ("Aetna Business Proprietary Information"). Third Party shall not disclose Aetna Business Proprietary Information to any third p arty without Aetna's prior written consent and not until each third party recipient has executed a confidentiality agreement reasonably satisfactory to Aetna. 4. Indemnification. Each party agrees to holdharniless, release and indenmil' the other parties (including subsidiaries, directors, officers, employees and agents) from and against any and all claims, damages, losses, lawsuits, settlements, judgments, penalties and expenses (includingreasonable rea sonable attorneys' fees) directly related to that party's breach of this Authorization to the extentpermittedunder Colorado law. 5. Applicability. The terms ofthis Authorization a lso apply to any anda ll future written requests by Client directing Aetna to disclose certain data to Third Party. 6. General. This Authorization shallbe governed by the laws of the state of Colorado. Any notice required or permittedto be given hereunder shall, exceptwhere specifically provided otherwise, be given in writing by personal delivery, certified mail, or overnight delivery to the address set forth above for suchparty, and the date upon which Authorization 03-2018 such notice is received shall be deemed to be the date of such notice, irrespective of the date appearing thereon.
