RE: APPROVE NON-EXCLUSIVE LICENSE AGREEMENT FOR CONSTRUCTION,
MAINTENANCE, AND/OR USE OF IRRIGATION FACILITIES WITHIN COUNTY
ROAD 66 RIGHT-OF-WAY AND AUTHORIZE CHAIR TO SIGN - BLISS LATERAL
COMPANY, AKA BLISS IRRIGATION COMPANY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board, has been presented with a Non -Exclusive License Agreement for
Construction, Maintenance, and/or Use of Irrigation Facilities within County Road 66 Right -of -Way
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Bliss Lateral
Company, aka Bliss Irrigation Company, with further terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Non -Exclusive License Agreement for Construction,
Maintenance, and/or Use of Irrigation Facilities within County Road 66 Right -of -Way between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Public Works, and Bliss Lateral Company, aka Bliss
Irrigation Company, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 24th day of November, A.D., 2021.

SUBJECT: Non -Exclusive Licensing Agreement and Deed of
Dedication for Bliss Lateral Company aka Bliss Irrigation
Company
Please place the attached non-exclusive licensing agreement (NELA) on the BOCC agenda. The
agreement is for the acquisition of ROW through a deed of dedication in exchange for a NELA for an
irrigation ditch located on the along the north side of the CR 66 west of CR 41.
The agreement was reviewed by the BOCC in a pass around that was returned on November 16, 2021.
All five commissioners approved the recommendation provide the Bliss Irrigation Company with a NELA
in exchange for a deed of dedication.
I will attend the BOCC meeting to answer any questions the BOCC may have.

Brief description of the problem/issue:
Public Works is in the process of ROW acquisition for the CR 66 and CR 41 project which is slated to begin construction
in November of 2022. During the design phase of the project, it was determined that the County would need to acquire
ROW from the property owned by the Bliss Irrigation Company. The Bliss Irrigation Company said they would give the
County a deed of dedication for the area needed for the road at no cost in exchange for a non-exclusive licensing
agreement (NELA) which allows them to keep the irrigation crossing in our ROW and to maintain it. The NELA states if
the ditch requires a relocation at some point in the future, the irrigation company will be responsible for at their cost.
Public Works coordinated the deed of dedication and the NELA with Bob Choate of the County Attorney's office. Once
the agreements were acceptable to both parties, the Bliss Irrigation Ditch signed the documents.
What options exist for the Board? (Include consequences, Impacts, costs, etc. of options):
The BOCC can opt to:
1. Sign both the deed of dedication and the NELA at no cost to Weld County
2. The BOCC could ask for a work session to gain more information.
Recommendation:
Public Works recommends Option 1 which is to sign the documents at no cost to Weld County.

NONEXCLUSIVE LICENSE AGREEMENT FOR THE CONSTRUCTION,
MAINTENANCE, AND/OR USE OF IRRIGATION FACILITIES WITHIN WELD
COUNTY RIGHT OF WAY
THIS AGREEMENT is made this Z4*Iday of taoNiti l??,V, 2021, by BLISS LATERAL
COMPANY, whose address is C/O 796 North Balsam Ave, Greeley, CO 80631 hereinafter
referred to as "the Company" and the COUNTY OF WELD, a body corporate and politic of the
State of Colorado, by and through its Board of County Commissioners, whose address is 1150
'O' Street, Greeley, Colorado 80631 hereinafter referred to as "the County."
WITNESSETH:
WHEREAS, the Company currently operates an irrigation diversion structure and
ditch within an easement granted on November 12, 1907 and recorded as Reception
Number 123774 of the real property records of Weld County, Colorado.
WHEREAS, the County is the owner of the Weld County Road (WCR 66) Right -
of -Way (ROW); and
WHEREAS, the County is currently upgrading the WCR 66 and WCR 47
intersection, requiring the relocation of the Company's facilities; and
WHEREAS, the County is relocating and constructing a new access, a new
irrigation diversion box and a 42 inch pipeline herein referred to as "facilities" on behalf
of the Company within the County's ROW; and
WHEREAS, the Company wishes to maintain and/or access its facilities located
within the ROW at its sole expense.
NOW, THEREFORE, in consideration of the covenants contained herein and the
agreements of said Company to be performed hereunder, and upon the conditions
herein stated, the County does grant to the Company, its successors and assigns, a
nonexclusive license to construct, maintain, and/or access the facilities within the ROW.
The conditions by which the Company may construct, maintain, and/or access
the irrigation facilities within the ROW are as follows:
AGREEMENT:
I. COMPANY RIGHTS AND RESPONSIBILITIES
1. The parties intend that this Agreement shall allow the Company to maintain and
access the irrigation facilities in accordance with the location and design shown in
the attached Exhibit.
2. The Company shall vacate and abandon that portion of the existing easement
which lies within the County's new ROW by the conclusion of the Project.

3. The maintenance and/or access to irrigation facilities within the ROW by the
Company shall be done in such manner as reasonably prescribed by the County,
which manner shall include, but not be limited to, the following:
a. ROW shall be maintained in the present state as found currently.
b. This Nonexclusive License Agreement does not grant the right to gate or fence
ROW for private use.
c. Prior to commencing any activities within the ROW, the Company shall in
accordance with the County agree to the exact location of the exterior
boundaries of the ROW.
4. Any maintenance of any of the Company's facilities in the ROW shall be at its own
expense and without the aid or use of Weld County funds.
5. Except for the negligence of the County, the Company shall indemnify and save
harmless the County, its successors, assigns, employees, and agents from any
damage or loss sustained by them or any of them to the extent caused by the
Company's negligence with respect to the maintenance and/or use of the ROW.
6. Except for the negligence of the County, the Company agrees to protect the
County and save and hold it harmless from any and all third -party claims and
damages that said maintenance and/or use may directly or indirectly cause to the
extent attributable to the negligence of the Company. The Company hereby
releases the County, its successors, assigns, employees, and agents from any and
all claims and damages of whatsoever character to said ROW by the Company
resulting from any act, either on the part of the County or on the part of any third
party.
7. Other than assignments in connection with the mortgage or sale of all or
substantially all the Company's assets or equity interests in the Company, for
which no consent shall be required, the Company shall not assign any or all of its
rights under this Nonexclusive License Agreement without first obtaining written
consent to such assignment from the County, which consent shall not be
unreasonably withheld.
8. The Company shall not change the character or use of the facilities within the
ROW without first obtaining a Right -of -Way Use Permit from the County.
II. COUNTY RIGHTS AND RESPONSIBILITIES
1. The County has agreed to pay for construction costs associated with the relocation
of the Company's facilities because the Company's facilities are currently located
in a recorded easement.

2. In the future, if the facilities have to be relocated as a result of a future roadway
project, the County will relocate the facilities at its cost.
3. In the future, if the use of the facilities changes and is not conveying irrigation
water, the County shall have the right to revoke this Nonexclusive License
Agreement. In this event, at the County's sole discretion, the Company may be
required to remove and/or vacate all facilities and uses that the County deems not
to be in the best interests of the public. Such revocation shall not prohibit the
Company's continued use of the ROW for access to the Company's property, to
the extent that such continued use is consistent with the right of the public to use
the ROW.
HI. MISCELLANEOUS
1. This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County or its designee.
2. This writing, together with the exhibits, constitutes the entire Agreement between
the parties hereto with respect to the subject matter herein, and shall be binding
upon said parties and assigns and shall inure to the benefit of the respective
successors and assigns of said parties.
3. It is expressly understood and agreed that the enforcement of the terms and
conditions of this Agreement, and all rights of action relating to such enforcement,
shall be strictly reserved to the undersigned parties, and nothing in this Agreement
shall give or allow any claim or right of action whatsoever by any other person not
included in this Agreement. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or benefits under
this Agreement shall be an incidental beneficiary only.
4. Time is of the essence in each and all of the provisions of this Agreement.
5. If any term or condition of this Agreement shall be held to be invalid, illegal, or
unenforceable, the remainder of this Agreement shall be construed and enforced
without such provision, to the extent that this Agreement is then capable of execution
within the original intent of the parties.
6. In the event of a dispute between the County and the Company, concerning this
Agreement, the parties agree that neither party shall be liable to or responsible for
the payment of attorney fees and/or legal costs incurred by or on behalf of the other
party. Each party shall be responsible for any damages, claims, or lawsuits arising
from its acts, errors, or omissions in seeking to perform its work and obligations
under this Agreement.

7. All insurance policies required to be maintained under the terms of this Agreement
or which are in any way related to this Agreement which are secured and maintained
by the Company shall include clauses stating that each carrier shall waive all rights
of recovery, under subrogation or otherwise, against County, its officers, employees,
agents, or volunteers.
8. No term or condition of this Agreement shall be construed or interpreted as a waiver,
express or implied, of any of the immunities, rights, benefits, protections or other
provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as
applicable now or hereafter amended.
The County and the Company acknowledge that each has read this Agreement and it is
mutually understood and agreed that this Nonexclusive License Agreement and all the
terms and conditions hereof shall extend to and be binding upon the parties hereto,
their successors, and assigns. Each party has had an opportunity to seek legal counsel
in relation to the obligations required by this Agreement.
IN WITNESS WHEREOF, the parties have set their hands on the day and year first
