WHEREAS, pursuant to law, the Board of County Commissioners,
Weld County, Colorado, is vested with the responsibility of administering
the affairs of Weld County, Colorado, and
WHEREAS, it has come to the attention of the Board that the
Larimer-Weld Area Agency on Aging has been formed to serve, unite
and coordinate area wide service delivery to older Americans including
the establishrnent of multi-purpose senior citizen centers, and additionally
to serve as a conduit for Federal funding of the agency, and
WHEREAS, the Board feels it to be in the best interest of the
County, as a member of C. O. G. , to approve this agency as a worthwhile
project for its senior citizens, and
WHEREAS, the Larimer-Weld Area Agency on Aging has presented
a set of proposed By-Laws therefor, and
WHEREAS, the Board has studied said proposed By-Laws of the
Larimer-Weld Area Agency on Aging and has determined that it would be
in the best interest of the County to approve the same.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, Weld County, Colorado, that the By-Laws of the Larimer-
Weld Area Agency on Aging, copy attached hereto and made a part hereof
by reference, be, and they hereby are approved as to form.
The above and foregoing Resolution was, on motion duly made and
seconded, adopted by the following vote on the 5th day of December,

ARTICLE I. . AREA AGENCY •
Section 1. Name of AQenoy. The name of the Agency aha1l be the
"Larimer-Veld Area Agency on Aging."

ARTICLE' IT. PURPOSE
Section 1..- ParOoses- The purposes of the Agency shall be ae fhlJown !
A. - Mo act as the firm official advocate for the Area' s older
citizens in regard to their needs, problems, concerns, and
issues in conformance with the Older American Act of 1965;
H. To identify and define the most; presairg needs of the Area' s
older citizens;
C. ,, To- develop effective plans to. meet the.Area's:identifi.ed needs
once.continwing and priority basis;
D.. .To develop or have developed needed services to meet the
;:identified:.priority needs of the Area's older citizens;
E. To monitor and evaluate services and programs for older people
:.;,_to insure that the needs and objectives of the Area's older -
citizens are being met; _
F. To support those things within the power of the Counties and
municipalities to improve the quality of life for the older
• citizens of both. Counties;
G. To cooperate with and seek to coordinate the public and
private programs, services, and efforts on behalf of the
older people in the Area to insure that an effective com-
prehensive umbrella of services are at the disposal of any
of the Area's older citizens in need of such services,.

ARTICLE III. • lpeu rG BODY OF THE AGENCY
Section 1. Power of Governing Board, In such an Agency, the
governing board will exercise the powers listed below. However, if a

State, a political subdivision, or an agency which is a combination of

political subdivisions (eg. COG) chooses to serve as the Area Agency

A.- ..Appointment-of the Staff Director of the Regional Agency on
Acing. •
B. Determination, subject to Administration on Aging (A.O..A.) and.
tha Colorado State Agency on Aging regulations and policies, of
major personnel, fiscal, and program policies.
C. Supervision of the Administration of all Reg. II Agency policies
and standards of all programs, administrative, and financial
policies and rules adopted by the governing board.
D. In addition, the governing board shall have a full opportunity
to participate in the development and implementation o£ all
programs and projects designed to serve the aged with maximum
feasible participation of the senior residents of the Larimer
and Veld County areas and members of groups to be served,
• taking full consideration of the low-income and minority
members existing in these areas.
Section 2- Term of Office. Three (3) terms of office shall expire
after one (1) year, three. (3) terms of office shall expire after two (2)
years, and four (4) terms of office ahmll expire after three (3) years.
• No member shall be appointed for more than two (2) successive terms
except that a member appointed to fill less than half of an unexpired
term may be appointed for two (2) succeeding terms. •
ARTICLE IV. OFFICERS
Section 1. Officers. The officers of the Agency shall be a Chair-
man, a Vice-Chairman, and a Recording Secretary.

Section 2. Chairman. The Chairman (hail preside at all meetings
of the Agency. Except as otherwise authorized by the resolution o£ the .
Agency, the Chairman shall sign all contracts, deeds, and other instru-
ments made by the Agency. At each meeting, the Chairman shall submit the
agenda and such recommendations and information as he or she may consider
proper concerning the business affairs and policies of the Agency.
Section 3. Vice-Chairman. The Vioe-Chairman shall perform the
duties of the Chairman in. the absence or incapacity of the Chairman-;
and in the case of the resignation or death of the Chairman, the Vice
chairman shall perform such duties as are imposed on the Chairman until
such time as the Agency shall select a new Chairman.
Section 4. Recording Secretary. The Recording Secretary shall
act as secretary of the meetings of the Agency and shall keep a record
of all proceedings of the Agency including a record of all votes and
all said records shall be public records.
Section 5. Additional Duties. The Officers of the Agency shall
perform such other duties and functions as may from time to time be re-
quired by the Agency or the By-Laws or rules or regulations of the Agency.
Section 6. Election or Appointment. The Chairman and Vice-Chairman
shall be elected at the annual meeting of the Agency from among the mem-
bers of the Agency and shall hold office for one year or until their
successors are elected and qualified.
Section 7. Vacancies. Should the offices of Chairman or Vice-
Chairman become vacant, the Agency shall elect a successor from its mem-
bership at the next regular meeting and such election shall be for the
unexpired term of said office.

Sectioa 2. Additional Personnel. The Agency may from time to time
employ such personnel as it deems necessary to exercise its powers, duties

and functions. The selection and compensation of such personnel (including
the Recording Secretary) shall be determined by the Agency subject to the
laws of the State of Colorado and the rules and regulations of the State
Department of Social Services.
ARTICLE VI. MEETINGS
Section 1. -Annual Meetings. The annual meeting of the Agency shall . _
be held at a time and place designated by the Agency.

Section 2. Re�,�.�,arMeetings•
Regular meetings shall be held each
month at such time and place as may from time to time be designated by
the resolution., and such resolutions shall be publicized. In the event
any such date shall fall on a legal holiday, the meeting shall be held
on the next succeeding secular clay.
Section ,3. Special Meetings. Special meetings of the Agency may be
called by the Chairman or three members of the Agency for the purpose of
transacting any business designated in the call. The call for a special
meeting may be delivered to each member of the Agency or may be mailed to
the business or home address of each member of the Agency at least four
(4) days pricy to the date of such special meeting.
All meetings of the Agency shall be open to the public except meet-
ings to consider such matters as personnel or contracts.
ARTICLE VII. ADVISORY COMMITTEE
Section 1. ,.,!_ass. An Advisory Committee shall be established :for
the purpose of providing maximum input of interested agencies, senior
citizen organizations, and interested citizens into the deliberations and
programs o£ the Agency.

Section 2. Membership. Membership shall be open to designated
representatives of such agencies and organizations who shall be invited .
to designate such a representative and any other interested citizen.
Section 3. Meetings. Members of. the Advisory Committee shad be
eligible and invited to attend all open meetings of the Agency and shall
be eligible to participate in. the discussions and deliberations o£ the-

ARTICLE VIII. RULES OP ORDER
Section 1. Rules of Agency. The rules contained in the revised ,
Robert' s Rules of Order 9ha11 govern the Agency in all cases to which
they are applicable, and in which they are not inconsistent with the
Agreement creating this Agency and its By-Laws.
Section 2. Cuorum. A quorum at any regular or special meeting of
the Agency shall consist of a majority of the Agency representing both
appointing constituencies.
ARTICLE I%. APIA"MUTTS
Section 1. Amendments to By-Laws. The By-laws of the Agency shall
be amended only with the approval of at least two-thirds (2/3) of the
members of the Agency at a regular or a special meeting, but no such
amendment shall be adopted unless at least seven (7) days written no-
tics thereof has been previously given to all of the members of the
Agency.
