Seller has agreed to sell, assign and convey to Nickel Road Development LLC as a wholly owned subsidiary of and together with Nickel Road Operating LLC, a Delaware limited liability company or its affiliates ("Buyer") certain interests in and to the Subject Instruments (the "Transaction"). Closing of the Transaction (the "Closing") is expected to occur on or around July 31, 2021; however, if the Closing does not occur, neither the Subject Instruments or any portion thereof, will be assigned to Buyer. Under the terms of the Subject Instruments, your consent may be required to sell, assign and convey any interests in and to the Subject Instruments. Seller hereby respectfully requests your consent to sell, assign and convey any interests in the Subject Instruments from Seller to Buyer by executing this Consent Notice in the space provided below. Your execution of this Consent I\ otice will evidence your consent to the sale, assignment and conveyance of any interests in the Subject Instruments from Seller to Buyer.
