filed a certificate of Assumed or Trade NOM, attached hereto as Exhibit "A-1",
which stated that !Kersey Development Corporation, a corporation or Limited
Partnership organized under the laws of The State of Colorado being desirous of
transacting a portion of its business under an assumed or trade name as
permitted by 7-71-101, Colorado Revised Statutes, certified that:
1. The corporate cc limited partnership name is Kersey Development
Corporation, and
2. Tne name, other than its own corporate or limited partnership
name, under which business is carried on is G B .5ervioes, Inc.
II. That Effective September 30, 1988 and with the requisite epproval
of their respective shareholders and Boards of Directors, Mersey Leveleparent
Corporation d/b/a G B Services, Inc., a Colorado corporation, was merged into
Golden Buckeye Petroleum Corporation, a Colorado corporation, with GOlden
Buckeye Petroleum Corporation being the survivor as described in the State of
Colorado, Certificate of Merger attached hereto as Exhibit RA -2".
III, That Effective October 1, 1989, and with the requisite approval of
their respective shareholders and Boards of Directors, Prima Mannagement.
Corporation, a Delaware corporation, was merged into Geldden Buckeye Petroleum
Corporation, a Colorado corporation, with the survivor changing its name bo
Prima Management Corporation, a Colorado corporation, as described in the State
of Col+ores, Certificate of Merger attached hereto as Exhibit RA -3".
rv. That Effective Cotober S, 1988, with the requisite approval 0f its
Board of. Direetoxa, Prima Management Corporation changed its name to Prima oil.
& Gas Company as described in the State of Colorado, certificate of le endment
attached hereto as Exhibit IA -4".
