Incline Niobrara Partners, LP ("INP") is currently negotiating an agreement for the sale of certain Oil and Gas
Leases in Weld County, Colorado to GREP III -A DJB, LLC and GREP III -B DJB, LLC ("Grey Rock").
Pursuant to the terms of Oil and Gas Lease dated September 29, 1982 between Weld County, Colorado, a political
subdivision of the State of Colorado, by the Board of County Commissioners, as Lessor, and Nordic Petroleums,
Inc., as Lessee, recorded in Weld County, CO at Reception No. 1906163 and 1906406, INP hereby requests your
consent to assign this lease to Grey Rock.
Please properly execute this Letter in the space provided below and return one executed copy to INP prior to
March 1, 2020.
In addition, a check for $100.00 made out to the Weld County Board of Commissioners, which covers the
assignment of lease fee, is enclosed. Upon receipt, please acknowledge receipt of this check by signing below and
returning in the pre -stamped envelope provided in this packet.

I appreciate you keeping an eye on that requested deadline! I've reviewed and here's the snapshot:
This is another case where this Weld County OGL, after being taken in the early 1980's, was assigned/sold in varying
percentages to other companies. As such, PDC wound up with a part of it through the KMG to NBL to SRC/PDC timeline I
broke down in my previous email, and Incline with a part through three acquisitions/assignments:
1) Reception 4146296 - Kerri Kowalski (1.25% of OGL)
2) Reception 4154962 - Lori Folkers (1.25% of OGL)
3) Reception 4165091- Wellstar Corporation (20.56% of OGL)
So, you have to view the OGL as branching out into a tree, with all branches containing different chains of title on how
that portion of the OGL was assigned through the years. Our Kowalski / Folkers / Wellstar branches are separate from
those that wind up in PDC, but they all as a whole cover the same OGL.

Jessica,
Let me look into this one tomorrow. Off the bat, Kerr-McGee/Anadarko probably sold it to Noble in 2013 during their
huge acreage trade/swap, then Noble sold it to SRC or PDC (SRC was bought by PDC recently, so all roads lead to them
anyways) which is why they're now making payments.

Regarding the above referenced lease, the last thing I show is that this was assigned to Noble in 2013. Then SRC/PDC
made the shut-in payments from 2018-2020. I need to know how it got from Noble, to Incline, and why SRC/PDC is
making payments on it.
