Incline Niobrara Partners, LP ("INP") is currently negotiating an agreement for the sale of certain Oil and Gas
Leases in Weld County, Colorado to GREP III -A DJB, LLC and GREP III -B DJB, LLC ("Grey Rock').
Pursuant to the terms of Oil and Gas Lease dated December 10, 1986 between Weld County, Colorado, a political
subdivision of the State of Colorado, acting by and through the Board of County Commissioners of the County of
Weld, as Lessor, and Shepler & Thomas, Inc., as Lessee, recorded in Weld County, CO at Reception No. 2103882,
INP hereby requests your consent to assign this lease to Grey Rock.
Please properly execute this Letter in the space provided below and return one executed copy to INP prior to
March 1, 2020.
In addition, a check for $100.00 made out to the Weld County Board of Commissioners, which covers the
assignment of lease fee, is enclosed. Upon receipt, please acknowledge receipt of this check by signing below and
returning in the pre -stamped envelope provided in this packet.

We sold Double Eagle 66.67% of our proportionate ownership in the OGL and retained 33.33% (see Reception 4043740
and 4052754 attached). To note, all of our Incline Resources LLC interests were conveyed to Incline Niobrara Partners LP,
which is the entity that currently has ownership in the OGL.

Hi Blake,
Thanks for the additional information. I researched what you stated in your email below and you are correct. The Spaur
well was never tied to the lease in Sec 10, only a lease in Sec 11. Looking at the DO I can see the spacing unit included
the lease in Sec 10 at Reception No. 2103882. So we should be good to go on that one.

Jessica,
I don't believe that to be accurate. Both Oster wellbores produced through March 2016, when they were
plugged/abandoned due to the Spaur horizontal wellbores coming online in July 2016. The Spaur 10Y-241 (API # 05-
123-42325) spaces into the lands covered by this OGL and pad operations alone for that well would have held the lease
as active according to its terms.

I show this lease as most recently being assigned to Double Eagle Energy Rockies LLC, and no longer a valid lease. The
only wells I have DOs for are Oster 10-1 and Oster 10-2, and I show we haven't received a royalty payment since 2016
and have never received a shut-in payment (assuming they're shut-in). Please advise.
