THE SERVICE PLAN OF THE PROPOSED
DACONO AREA FIRE PROTECTION DISTRICT
NOTICE is hereby given of a hearing before the Board of
County Commissioners of Weld County, Colorado, on the
30th day of May, 1973, at the 1:30 P. M. at the Weld
County Courthouse, Greeley, Colorado, for the purpose
of considering the Service Plan of the proposed Dacono
Area Fire Protection District. This notice is given
pursuant to Special District Control Act, Article 18,
Chapter 89, Colorado Revised Statutes 1963 as amended.
Copies of the Service Plan are on file at the Office
of The Board of County Commissioners located at the Weld
County Courthouse, Greeley, Colorado, and may be inspected
during regular business hours.
The Service Plan for the proposed Dacono Area Fire
Protection District sets forth a proposal for providing
protection services to an area including and surrounding
the Town of Dacono, Colorado, The Service Plan provides
for financial, engineering, architectural, construction
and tax information concerning the formation of said
District.
Within 20 days after the completion of the hearing, the
Board of County Commissioners will consider the approval
of the Service Plan
All interested parties under the law shall be afforded
an opportunity to be heard at said hearing.

County Commissioners of Weld County, Colorado.

DETERMINED TO BE EXEMPT FROM DEFINITION SUBDIVISION
RANGE 68, TOWNSHIP 1 NORTH, SECTION 23
PART OF THE NORTHWEST QUARTER (NW4) :
WHEREAS, on May 5, 1972, the General Assembly of the State of Colorado,
enacted Senate Bill #35 as relates to Chapter 106 of the Colorado Revised Statutes,
and
WHEREAS, on August 30, 1972, the Board of County Commissioners of Weld
County, Colorado, adopted Subdivision Regulations for Weld County, Colorado to
comply with the prescribed Senate Bill #35, and
WHEREAS, the Weld County Planning Commission has recommended to the
Board of Coy.nty Commissioners for recording of plat number 1467-23-2-RE-45 as
provided in Section 9 of the Subdivision Regulations (exemption rules and regulations)
for Weld County, Colorado.
Said division of land determined to be exempt from the definition of

RESOLUTION
RE: AGREEMENT BET WEEN WELD COUNTY AND SCHULMERICH
CARILLONS INC.
WHEREAS, pursuant to law, the Board of County Commissioners,
Weld County, Colorado, is vested with the responsibility of administer-
ing the affairs of Weld County, Colorado, and
•
WHEREAS, it has been determined by the Board, that there is a
need to install carillon bells in the Weld County Courthouse providing
for theme music for civil observances, including seasonal and patriotic
music, and
WHEREAS, Schulmerich Carillons Inc. , has submitted a proposed
agreement to sell to the County a "Tyme-Stryke" carillon providing such
music as desired by Weld County, and
WHEREAS, the Board believes it to be in the best interest of the
County to enter into such an agreement on the basis recited therein.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, Weld County, Colorado, that said agreement with
Schulmerich Carillons Inc, providing for the purchase of a "Tyme-Stryke"
carillon, copy attached hereto and made a part hereof by reference, be
and it hereby is approved.
BE IT FURTHER RESOLVED, that the Board be, and it hereby is
authorized to execute the agreement as submitted and to make the same
effective forthwith.
The above and foregoing resolution was, on motion duly made and

WHEREAS, it is deemed in the best interest of the undersigned
governmental subdivisions to make the most efficient use of their re-

WHEREAS, organization of such Council of Governments is ex-
pressly authorized by Article XIV, Section 18(2) of the Constitution
/ of the State of Colorado and Chapter 88, Article II of the 1963 Colorado
/ Revised Statutes as amended, and
WHEREAS, the Counties of Larimer and Weld, in the State of
Colorado, have heretofore selected representatives to act on their
behalf in the formation and operation of such council of governments.
NOW, THEREFORE, BE IT RESOLVED, that the undersigned,
the County of Larimer, State of Colorado, and the County of Weld,
State of Colorado, formulate the Larimer-Weld Council of Governments,
a body politic within the State of Colorado, the operation of which shall
be in accordance with the Articles of Association, copy attached here-
to and by reference made a part hereof.
The above and foregoing Resolution was, on motion duly made and

ARTICLES OF ASSOCIATION
OF
LARIMER-WELD AREA COUNCIL OF GOVERNMENTS
ARTICLE I
Organization 1. These Articles of Association shall regulate and govern the
affairs of the association known as the Larimer-Weld Area Council
of Governments, hereinafter known as the "Council, " and is or-
ganized pursuant to Article XIV, Section 18 (2) of the Colorado
_A
Constitution and C. R. S. , Chapter 88, Article 2, 1963 as amended.
The Council is composed of the counties of Larimer and Weld and
the municipal corporations located therein.
Membership 2. The Council shall consist of Larimer and Weld counties and the
municipal corporations located therein, which shall be entitled to
voting representatives as set forth in these Articles. The voting
representatives from each county shall be three (3) members of
the Board of County Commissioners from each county. The muni-
cipal corporations which are members hereof, located within each
county, shall be entitled to three (3) voting representatives, as the
representatives of such municipal corporations located within each
county, which representative shall be, either,
a. an elected member of a municipal corporation or board;
or
b. an elected mayor of a municipal corporation. Such muni-
cipal corporation voting representative shall be selected as such
by majority vote as agreed upon by all such member municipal
corporations within each county. If municipal corporations fail
to select its representatives within sixty (60) days from notice
of adoption of these articles by the Board of County Commissioners
of each County, the Board of County Commissioners from such
County shall then appoint said municipal representatives.
Term 3. The voting representatives from each county or municipal
corporation as set forth in paragraph #2 shall serve as such
representative in the Council for a minimun period of one (1) f
year from and after approval of these Articles or until replaced
by the Board of County Commissioners, Council, or Board, or
as otherwise provided by law. Vacancies occurring in the
office of such representatives shall be filled in the same manner
as is provided for the original designation.
Vote 4. Each voting representative shall be entitled to one (1) vote
in the following manner:
Commissioner representatives of Larimer County 3 votes
Municipal Corporation representatives of Larimer County 3 votes
Commissioner representatives of Weld County 3 votes
NIunicipal Corporation representatives of Weld County 3 votes
Total Council vote 12

ARTICLE ARTICLE II {
Purpose 1. The Council shall promote regional cooperation and coordi-
nation among local governments and between levels of govern-
ment for the geographic area comprised of the counties of
Larimer and Weld, hereinafter referred to as the "Region. "
The need for a Council of Governments is based on the
recognition that people in the Region form a single community
and are bound together not only physically, but economically
and socially. It is the purpose of the Council through its parti-
cipating membership, staff, and programs, to provide local +
public officials with the means of responding more effectively
to the local and regional problems of this Regional Community.
In order to assure the orderly and harmonious development
of the Region, and to provide for the needs of future generations,
it is necessary for the Council to serve as an advisory coordi-
nating agency to harmonize the activities of federal, state,
county and municipal agencies within the Region, and to render

assistance and service and create public interest and partici-
pation for the benefit of the Region.
Functions 2. The council shall promote regional coordination and cooperation
through activities designed to:
a. Strengthen local governments and their individual capa-
cities to deal with local problems;
b. Serve as a forum to identify, study, and resolve area-
wide problems;
c. Develop and formalize policies involving regional problems;
d. Promote intergovernmental cooperation through such
activities as reciprocal furnishing of services, mutual aid, and
parallel action as a means to resolve local, as well as regional
problems;
e. Provide the organizational framework to insure effective
a communication and coordination among governmental bodies;

f. Serve as a vehicle for the collection and exchange of in-
formation of regional interest;
g. Develop regional comprehensive plans for the Region;
h. Serve as a spokesman for local governments on matters
of regional and mutual concern:

i. Encourage action and implementation of regional plans
and policies by local, state, and federal agencies;
j. Provide, if requested, mediation in resolving conflicts
between members and between members and other parties; and
k. Provide technical and general assistance to members
with its staff and financial capabilities. These services are
inclusive of, but not limited to, services designed to:
(1) Identify issues and needs which are regional and
beyond the realistic scope of any one local government;
(2) Compile and prepare, through staff and from
members, the necessary information concerning the issues
and needs for Council discussion and decision;
(3) Debate and concur in a cooperative and coordinate
regional action to meet the need or issue;
(4) Implement the details of the cooperative action
among affected member governments, using such devices
as interlocal contracts and agreements, parallel ordinances
or codes, joint performance of services, transfers or con-
solidations of functions, or special subordinate operating
agencies;
(5) and, in general -
- arrange contracts among officials on an
intergovernmental basis;
- publish reports on functional problems;
- publish current information of regional i
interest;
- provide advice and assistance on physical
land use planning and other functional
programs;
- sponsor regional training programs;
- negotiate cooperative agreements.
Powers 3. The Council shall, for the purpose of fulfilling its purposes

and functions, be a body politic and corporate, and, as such an
entity, be subject to all rights, duties and obligations as such
may affect the members of such Council whereby its activities
are of a regional, areawide, or multi-governmental nature and,
further, shall constitute the entity to perform those regional or
areawide functions which may be authorized by Federal or State
Statute. To effectuate such powers, the Council shall:

a. Be the approving and contracting agent for all Federal
and State Regional Grants, as required.
b. Serve as the regional transportation authority, and levy
and appropriate such funds as may be reasonably necessary.
c. Provide for an Area Clearinghouse and Project Notifi-
cation Review Agency.
d. Provide for a Regional Planning Commission pursuant
to C. R. S. 106-2-4, 1963, as amended.
e. Serve as the Regional Health Department pursuant to
C. R. S. Chapter 66, Article 37, 1963 as amended.
f. Exercise all powers set forth in C. R. S. Chapter 88,
Article 2, 1963, as amended.
g. Constitute the governmental entity for the purpose of re-
ceiving State or Federal assistance to areawide or regional
governmental entities.
h. Constitute the governmental entity for any existing en-
tities that are regional in nature and any new entity, regional
in nature, which may be required to be created as a new Board
or Commission by State or Federal Statute and, to consumate
such purpose, these Articles shall be amended therefore from
time to time.
ARTICLE III
Officers 1. The Council shall elect three (3) officers, which officers
shall be voting representatives of the Council and shall consist
of a Chairman, Vice-Chairman, and Secretary-Treasurer.
Each officer shall be elected from the voting representatives
of the Council and in the manner provided by Article I, para-
graph 4 of these Articles.
a. Chairman. The Chairman shall preside at all meet-
ings of the Council and shall be the chief Officer of the Council.
b. Vice-Chairman. The Vice-Chairman shall exercise
the functions of the Chairman in the Chairman's absence or
incapacity.
c. Secretary-Treasurer. The Secretary-Treasurer shall
exercise the functions of the Vice-Chairman in the absence or
incapacity of the Vice-Chairman and shall perform such other
duties as may be consistent with his office or as may be re-
quired by the Chairman.
Staff 2. The Council may employ a director and a staff and may con-
tract for expert services as the Council, in its discretion, may
desire.
ARTICLE IV
Meetings 1. The Council shall meet at least once each month and at such
other times as the Chairman may direct. All such meetings
shall be open to the public.
Quorum 2. A quorum shall consist of not less than seven (7) voting
representatives.
Vote 3. A majority of votes cast at any meeting shall be required to
adopt any matter before the Council. All votes shall be cast in
person by the voting representative.
Amendments 4. Changes or amendments of these Articles shall require any
combination of nine (9) votes, provided, however, all votes
shall be cast in person by the voting representative.
ARTICLE V
Committees 1. The Council may establish advisory committees of the Council
as are necessary and the Council shall appoint the membership of
these committees. Said appointments, where necessary, shall be
in accordance with State and/or Federal requirements.
ARTICLE VI
Financial 1. Each year at the regular August meeting the Chairman shall
submit to the Council an estimate of the budget required for the
operation of the Council during the ensuing calendar year. Upon
approval of such budget, the funds required within the Region
shall be apportioned equally between the Counties or as may
otherwise be agreed upon by the Council.
2. The Council is specifically empowered to contract or otherwise
participate in and to accept grants, funds, gifts, or services from

any federal, state, or local government or its agencies or instru-
mentality thereof, and from private and civic sources, and to ex-
pend funds received therefrom, under provisions as may be re-
quired of and agreed to by the Council, in connection with any pro-
gram or purpose for which the Council exists.
3. The Council shall arrange for a systematic and continuous re-
cordation of its financial affairs and transactions and shall obtain

Adoption 1. These Articles shall become effective upon their adoption
by Resolutions of the respective Board of County Commissioners
of Larimer and Weld Counties.
2. These Articles may be amended at any regular meeting
of the Council by vote as set forth in Article IV, paragraph 4, ,
provided that at least thirty (30) days notice in writing be given
to all members setting forth such amendment. f`

The above and foregoing Articles of Association of the
Larimer-Weld Area Council of Governments hereby is approved
by the members thereof and each such member binds itself for
the purposes stated therein:

WHEREAS, a public hearing was held on April 30, 1973, in the
chambers of the Board of County Commissioners, Weld County
Courthouse, Greeley, Colorado, for the purpose of hearing the petition
of Wass Investments, c/o Doug Sears, 818 12th Street, Greeley,
Colorado, requesting approval of site for a sewage treatment facility on
the following described property, to-wit:
Colony Park, Phase One and Two, being a portion of
Section 25, Township 5 North, Range 66 West of the
6th P. M. , Weld County, Colorado, more particularly
described as follows:
Considering the East line of said Section 25 as bearing
South and with all bearings contained herein relative
thereto.

WHEREAS, the Board of County Commissioners heard all the
testimony and statements of those present; has studied the request of the
petitioner; and studied the recommendations of the Weld County Planning
Commission, and
WtIEREAS, the said Board has carefully considered the petition,
evidence, testimony, petitions and remonstrances and given the same such
weight as it, in its discretion, deems proper, and is now fully advised in
the premises;
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, that the application of Wass Investments, c/o Doug Sears,
818 12th Street, Greeley, Colorado, for site approval to locate a sewage
treatment facility on the premises indicated above, be, and it hereby is
granted under the conditions following:

1. That any and all sewage treatment facilities to be installed
shall be approved by the State Health Department.
2. That petitioner shall proceed with due diligence to construct
said sewage treatment facility and shall have up to one year from date
hereof to begin construction of same; otherwise, the Board may, for
good cause shown, on its own motion, revoke the permit herein granted.
3. That all applicable subdivision regulations and zoning
regulations shall be followed and complied with in accordance with the
Zoning Resolutions of Weld County, Colorado.

RECITALS
By deed recorded November 3, 1944, in Book 1143, Page 398,
Weld County Records, Weld County, Colorado, conveyed to said
George N. Nelson certain real estate in Weld County, Colorado, a

RELINQUISHMENT AND QUITCLAIM I
NOW THEREFORE, Weld County, for and in consideration of
the sum of Ten and no/100s Dollars ($10. 00) to it paid, the receipt
of which is hereby acknowledged, has RELINQUISHED and forever
QUITCLAIMED, and by these presents does RELINQUISH and for-
ever QUITCLAIM unto THE OWNER OR OWNERS of the surface of
the land described in the Recitals hereof, his, her, its, or their
grantees, heirs, successors and assigns, with respect to said land
described in said Recitals, the right to enter upon the surface of
said land by virtue of the exceptions and reservations contained in
said deed recorded November 3, 1944, and hereinabove quoted in
said Recitals, it being the intent hereof to relinquish only the right
to enter upon the surface of said land, and to leave in full force
and effect all other rights reserved to Weld County in said deed, it
being expressly understood that Weld County's title to said oil, gas
and other minerals shall in no way be affected, and that Weld County
and any lessee or licensee of said Weld County shall have the right
to remove such oil, gas or other minerals from the aforesaid land by—
slant drilling, subterranean entries, by means of operations conducted
on the surface of other lands or otherl,vise by any means or methods
suitable to Weld County, its successors and assigns, but without enter-
ing upon or using the surface of the above-described land, and in such
manner as not to damage the surface of said land or to interfere with
the use thereof by said Owner or Owners, his, her, its, or their
grantees, heirs, successors or assigns.
It is the intention hereof that, in the event the surface of the land
affected by this relinquishment is separately owned by lot, parcel or
subdivision, the interest herein relinquished to any grantee shall be
limited to the particular lot, parcel or subdivision of which such
grantee is the surface owner, and such interest shall not extend to
any other lot, parcel or subdivision thereof.
This relinquishment and quitclaim is made subject to the specific
understanding that all of the terms, conditions, provisions, exceptions
and reservations contained in said deed recorded November 3, 1944,
shall continue in full force and effect with respect to all lands conveyed
thereby and not covered by this relinquishment and quitclaim and it is
further specifically understood that all the terms, conditions, provisions,
exceptions and reservations contained in said deed recorded November
3, 1944, and not relinquished hereunder shall continue in full force and
effect with respect to the land hereinabove described.

chambers of the Board of County Commissioners, Weld County, Colo-
rado, for the purpose of hearing the petition of Virgil Mathews, First

Pipeline Company, c/o Roy Coleman, 3151 Nation Way, Cheyenne,
Wyoming, requesting approval of site for the construction of an oil
storage facility on the following described property, to-wit:

RESOLUTION
WHEREAS, it has come to the attention of the Board of County
Commissioners, Weld County, Colorado, that there has been much
vandalism and malicious mischief in Weld County, specifically directed
to the removal and/or destruction of county owned road signs and other .
county property, and

WHEREAS, the Board, upon its own investigation, has determined \ 1. /
that there has been a loss of several thousands of public tax dollars due ; 10
to the destruction and/or removal of said county owned signs and other
county property by unknown persons, and
WHEREAS, it has been further determined that the removal
and/or destruction of such county owned property must be brought to a
halt and that all apprehended offenders should be punished, and
WHEREAS, the Board believes it to be in the best interests of the
County to take all necessary steps to discourage the destruction and/or
removal of said county owned road signs and other county property.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, and it hereby authorizes and directs the Chairman of
the Board to file a criminal complaint in behalf of the County against any
and all persons caught or accused of removing and/or destroying county
owned property.
BE IT FURTHER RESOLVED, by the Board, and it hereby directs
and orders the establishment of a special reward fund, the moneys from
which shall be used to compensate persons for information leading to the
arrest and conviction of any person or persons found guilty of the removal
and/or destruction of county owned property.
BE IT STILL FURTHER RESOLVED by the Board, and it hereby
authorizes and directs that a reward of $ 150.OU shall be paid to
anyone for information leading to the arrest and conviction of any person
or persons found to be guilty of removing and/or destroying county owned
property.

RESOLUTION
RE: AGREEMENT BETWEEN WELD COUNTY AND MOTOROLA
COMMUNICATIONS AND ELECTRONICS INC.
WHEREAS, it is apparent to the Board of County Commissioners,
Weld County, Colorado, that there is an urgent need to provide for
efficient and yet economical radio communication service to all of Weld
County, and
WHEREAS, Motorola Communciations and Electronics Inc, has
submitted a proposed agreement relative to the sale and installation of
a complete microwave system providing such communication services •
as required by Weld County, and
WHEREAS, the Board believes it to be in the best interest of the
County to enter into such an agreement on the basis recited therein.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, Weld County, Colorado, that said agreement with
Motorola Communications and Electronics Inc, providing for the sale
and installation of a complete microwave system to better radio
communication services in the County, copy attached hereto and made a
part hereof by reference be, and it hereby is approved.
BE IT FURTHER RESOLVED, that the Board be, and it hereby
is authorized to execute the agreement as submitted and to make the
same effective forthwith.
The above and foregoing Resolution was, on motion duly made

FINDINGS AND RESOLUTION
CONCERNING LIQUOR LICENSE APPLICATION OF
JAMES F. HOLMES
The application of James F. Holmes, 190 South Main Street,
Longmont, Colorado, doing business as the Ramada Inn at U. S.
Highway I=25 and Colorado State Highway 119, Weld County, Colorado,
for liquor license for sale of beer, win and spirituous liquors by the
drink only came on for hearing May 30, 1973, and the Board of County
Commissioners of the County of Weld having heard the testimony and
evidence adduced upon said hearing and having considered the '
testimony, evidence and petitions filed with said Board, and having •
carefully weighed the same now makes the following findings:
1. The evidence discloses that the applicant is the owner
and occupant of said premises sought to be licensed within the meaning
of the Statutes.
2. That no question was raised nor objection offered as to
the applicant concerning the standing, character or motives of said
applicant.
II 3. The applicant has proven a prima facie case as to the
reasonable requirements of the neighborhood.
4. The desires and needs of the inhabitants of the immediate
neighborhood, as well as the needs of the traveling public and tran-

DISTRIBUTE FUNDS RECEIVED UNDER
BANKHEAD-JONES FARM TENANT ACT:
WHEREAS, the County Treasurer, Francis M. Loustalet,
has received a check in the amount of $29,051 .85, representing ° '
net revenue due Weld County for the calendar year, 1972, from
government-owned lands administered by the Forrest Service under
provision of Title Three of the Bankhead-Jones Farm Tenant Act,
said Act provides these payments of condition that they be used
for school or road purposes or both.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners of Weld County, Colorado, that the County Treasurer,
Francis M. Loustalet, be and he is hereby authorized to distribute
funds in the amount of $29,051 .85, received under provisions of the
aforementioned Bankhead-Jones Act, to the special school fund to

LEASE
THIS INDENTURE OF LEASE, made and entered into in duplicate with
effect on the 30 1 day of May, 1973, by and between OMER WESLEY BOX,
hereinafter referred to as "Lessor", and the COUNTY OF WELD, STATE OF
COLORADO, hereinafter referred to as "Lessee" ;
W I T N E S S E T H :
In consideration of the mutual covenants of the parties hereto, •
it is agreed: /
1. PREMISES. Lessor hereby leases to Lessee a certain tract of \

land described in Exhibit "A" attached hereto and incorporated by reference ,; Z�
herein, together with improvements to be constructed thereon as hereinafter
provided.
2. TERM. The term of this Lease shall commence upon the date
of substantial completion of the improvements to be constructed by Lessor
as set forth herein, (subject to the rights of Lessor under Section 3(b)
to terminate this lease unless such improvements are substantially complete
within the period provided by Section 3(b)) . For the purposes of this
article, the date of substantial completion shall be the date upon which
a certificate of occupancy is issued to Lessor and Lessee by the Building
Department of the City of Greeley, Colorado. This Lease shall terminate
ten (10) years from the date of commencement of the lease term as defined
above (subject to Lessee's option to extend the term as provided in Section
21 hereof) . Lessor agrees to warrant and defend Lessee in the enjoyment and
peaceful possession of the leased premises during the term hereof.
3. CONSTRUCTION OF IMPROVEMENTS.
(a) Lessor, at his expense, agrees to construct or cause to be
constructed upon the premises described herein, an office
building, parking lots, roadways, sidewalks and other improve-
ments as set forth in Exhibits "B", "C" and "D" attached
hereto and incorporated by reference herein. Lessor agrees
to comply with all of the laws of the United States, the
State of Colorado, the County of Weld and the City of Greeley
6O41) (including Federal and State standards for welfare buildings,
if any) , and all codes and ordinances applicable to the
construction and ownership thereof and, at his own expense,
to obtain all necessary permits and related items.
(b) Such improvements will be designed at Lessor's expense by
Design Associates, Inc. or some other professional architect
licensed to do business in the State of Colorado, so as to
comply with the criteria set forth in Exhibits "B", "C" and
"D" attached hereto and incorporated by reference herein.
Lessor will submit copies of designs to be prepared pursuant
to this subsection (b) hereof to Lessee at periodic intervals
during the design phase for its information, and Lessee shall

7. SUBLETTING THE PREMISES. Lessee shall have the right to sublet
all or any portion of the leased premises described herein without the approval
of Lessor, but Lessee shall not be relieved from any obligations under this
Lease by reason of said subletting.
8. DAMAGE BY FIRE OR CASUALTY.
(a) If the leased premises be destroyed by fire or other casualty,
this lease shall immediately terminate and become null and void.
(b) If the leased premises are partially destroyed or damaged, so
as to render a substantial part thereof untenantable in the
opinion 'lgf Lessee, Lessee may either: _
VyV'� 1. terminate the Lease by giving written notice to Lessor
within fifteen (15) days thereafter, and in such event
no rent shall accrue to Lessor after such partial de-
struction or damage, or
2. require Lessor to repair the damage so done at Lessor's ,
expense with all reasonable speed, and in such event the
rent shall be reduced in proportion to the untenantable
space only for the period during which Lessee shall be
deprived of the use of said space by reason of such
damage and repair thereof.
(c) If the leased premises shall be slightly damaged by fire or
other casualty but not so as to render the same untenantable
as determined by Lessee, Lessor, after receiving notice in
writing of the occurrence of the injury, shall cause the same
to be repaired at Lessor's expense with reasonable promptness,
but in such event, there shall be no abatement of the rent.
9. PREMISES VACATED DURING TERM OF LEASE. If Lessee shall abandon
or vacate said premises before the end of the term of this Lease, Lessor may,
at his option and without notice to Lessee, enter said premises, remove any
signs of Lessee therefrom, and re-let the same, or any part thereof, as he
may see fit, and for the purposes of such re-letting, Lessor is authorized

to make any repairs, changes, alterations or additions in or to the said leased 0
premises as may be, in the opinion of Lessor, necessary or desirable for the
purpose of such re-letting.
10. REMOVAL OF LESSEE'S PROPERTY. If Lessee shall fail to remove
all effects from said premises upon the abandonment thereof or upon the termi-

nation of this Lease for any cause whatsoever, Lessor, at his option, may
remove the same in any manner that he shall choose, and store the said effects
without liability to Lessee for loss thereof, and Lessee agrees to pay Lessor
on demand any and all expenses incurred in such removal, including storage
charges on such effects for any length of time the same shall be in Lessor's
possession.
> '4 11. SURRENDER OF POSSESSION. Lessee agrees to deliver up and

19. FACILITIES NONDISCRIMINATION.
(a) As used in this section, the term "facility" means stores, shops,
restaurants, cafeterias, restrooms and any other facility of a
public nature in the building in which the space covered by this
` Lease is located.
(b) Lessor agrees that he will not discriminate by segregation or
otherwise against any person or persons because of race, color,
religion, sex or national origin in furnishing, or by refusing
to furnish, to such person or persons, the use of any facility,
including any and all services, privileges, accommodations and
activities provided thereby. Nothing herein shall require the
furnishing to the general public of the use of any facility
customarily furnished by Lessor solely to tenants, their em-
ployees, customers, patients, clients, guests or invitees.
(c) It is agreed that Lessor's noncompliance with the provisions
of this section shall constitute a material breach of this
Lease. In the event of such noncompliance, Lessee may take
appropriate action to enforce compliance, may terminate this
Lease or may pursue such other remedies as may be provided by
law. In the event of termination, Lessor shall be liable for
all excess costs of Lessee in acquiring substitute space, in-
cluding, but not limited to, the cost of moving to such space.
Substitute space shall be obtained in as close proximity to
Lessor's building as is feasible and moving costs will be

limited to the actual expenses thereof as incurred.
(d) It is further agreed that from and after the date hereof,
a
Lessor will, at such time as any agreement for concession is
to be entered into or a concession is to be permitted to op-
erate, include or require the inclusion of the foregoing pro-
visions of this section in every such agreement or concession
pursuant to which any person other than Lessor operates or has
the right to operate any facility. Nothing herein contained,
however, shall be deemed to require Lessor to include or require
y the inclusion of the foregoing provisions of this section in
any existing agreement or concession arrangement or one in which
the contracting party other than Lessor has the unilateral right
to renew or extend the agreement or arrangement, until the ex-
piration of the existing agreement or arrangement and the uni-
lateral right to renew and extend. Lessor also agrees that he
will take any and all lawful actions as expeditiously as possi-
ble, with respect to any such agreement as the contracting

agency may direct, as a means of enforcing the intent of this
section, including, but not limited to, termination of the
agreement or concession and institution of court action.

20. BREACH.
(a) Lessee agrees to observe and perform the conditions and agree- [
ments herein set forth to be observed and performed by Lessee,
and further agrees that if default be made by Lessee in the
payment of said rent, or any part thereof, or if Lessee shall

fail to observe or perform said conditions or agreements, and
such default shall continue for a period of forty-five (45)
days after written notice to Lessee, then and in that event it
shall be lawful for Lessor, at his election with written notice
AO* given to Lessee, to terminate this lease and to re-enter and
repossess himself of said premises, and to remove therefrom
any personal property belonging to Lessee without prejudice
to any claim for rent or for the .breach of covenants hereof,
or without being guilty of any manner of trespass or forcible
entry or detainer.
(b) Lessor agrees to observe and perform the terms, conditions
and agreements herein set forth to be observed and performed
by Lessor, and further agrees that if Lessor shall fail to
observe or perform said terms, conditions and agreements
within forty-five (45) days after written notice to Lessor,
the remedy for which is not otherwise expressly provided herein,
that Lessee may, at its election with written notice given to
Lessor, terminate this Lease and render the same to be null and
void without further legal obligation or liability.
21. EXTENSION OPTIONS. Lessee, if not in default hereunder, shall
have the right to extend the term of this Lease for two (2) five (5) year
periods by written notice given to Lessor at least one hundred eighty (180)
days prior to the expiration of the term hereof or any subsequent five-year
term obtained on option. The rent for any such extension shall be Six Thou-
sand Eight Hundred Ninety Eight Dollars and Thirty Seven Cents ($6,898.37)
per month, payable in the same manner as provided herein. All other terms
and conditions as provided herein shall be applicable to any such extension
of the term hereof by Lessee.
22. TITLE. Title to the leased premises shall be merchantable in
Lessor. Lessor agrees to furnish Lessee, prior to the commencement of the
term of the Lease, a title insurance policy or a commitment for title insur-
ance from a reputable insurance company, licensed to do business in the State
of Colorado, or an abstract of title showing merchantable title to the leased
premises in Lessor. Lessor's title may be subject to a first Deed of Trust,
but only in the event that such first Deed of Trust is expressly subordinated
to this Lease and to any and all of Lessee's rights hereunder. Lessee

or commitment, of mechanics' liens or rights thereto where no notice of such
liens or rights appears of record, shall not render title unmerchantable;
provided, however, that Lessor agrees to hold Lessee free and harmless from
loss or damage from liens incurred in respect to the construction of the
leased improvements, and to furnish to Lessee evidence of the payment of all
bills and charges incurred in connection therewith; provided, that in the
event of a bona fide dispute between Lessor and any contractor, supplier or
laborer, Lessor may, in lieu of proof of payment, furnish to Lessee security
in a form acceptable to Lessee against any damage to Lessee arising therefrom.
23. TAXES AND INSURANCE.
(a) Lessor agrees to pay:
(i) Local taxes; and
(ii) Special district assessment installments, if any;
provided, that the rent for the premises shall be increased by the amount of:
(i) Any increase in the amount of local taxes for
any year subsequent to the first year for which
taxes are based upon the value of the Exhibit "A"
lands and the completed improvements to be con-
structed hereunder thereon; and
(ii) The amount of special district assessment install-
ments attributable to any assessments which are
effective subsequent to the date of this lease,
and Lessor shall be entitled to bill Lessee for such amounts as an addition
to the monthly increment of rent payable for the month next following Lessor' s
payment thereof.
(b) Lessor agrees that he will, at all times, at his own expense,
keep Lessor' s buildings, improvements and fixtures erected on or occupying
the leased premises, or any part thereof, insured against any loss or damage
by fire or other casualty. Lessor agrees to furnish Lessee with a certificate
of his insurance.
24. SUCCESSORS AND INTEREST. The terms, conditions, covenants and '
provisions to be observed and performed by the parties to this Lease shall
inure to the benefit of and bind their respective heirs, administrators, ex-
ecutors, successors and assigns .
25. OPTION TO PURCHASE. Lessor gives and grants to Lessee the
right and option to purchase the demised premises at the option purchase
price hereafter stated, but only in accordance with the further terms and
provisions hereof, and if said option is not exercised, as hereafter pro-
vided, all option rights set forth in this Section 25 shall terminate without
further act of the parties.
The option herein granted shall be exercised by written notice
from Lessee to Lessor delivered not less than 180 days prior to the expira-
tion of the original ten (10) year term hereof and unless so exercised shall
wholly terminate. The delivery of Lessee's notice of election to exercise Y
this option shall create a binding contract between the parties, by which
Lessor shall have agreed to sell and Lessee shall have agreed to purchase
the demised premises, effective at the termination of the initial ten (10)
year term of this lease, for the option purchase price.
