RE: APPROVE AMENDMENT #2 TO VOTING SYSTEM ACQUISITION AGREEMENT AND
AUTHORIZE CHAIR TO SIGN - DOMINION VOTING SYSTEMS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #2 to the Voting System
Acquisition Agreement between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and
Dominion Voting Systems, Inc., commencing August 20, 2021, with further terms and conditions
being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #2 to the Voting System Acquisition Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and Dominion
Voting Systems, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 13th day of December, A.D., 2021, nunc pro tunc August 20, 2021.

Brief description of the problem/issue:
Last year when we purchased more voting equipment Dominion failed to include the increase in the
maintenance cost for the additional equipment in the amendment to the contract. Attached is another
amendment to correct the issue. These expenses allow us to maintain and best use the existing
Dominion equipment and system which the county purchased in 2017.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
The increase of cost is $17,500.00 for the additional equipment. We would also have to increase the
line item in this years budget to cover the total maintnenance cost for this year.
Recommendation:
Sign and approve the attached amendment to the contract.

AMENDMENT 2
TO THE VOTING SYSTEM ACQUISITION AGREEMENT
BY AND BETWEEN
DOMINION VOTING SYSTEMS, INC.
AND COUNTY OF WELD, STATE OF COLORADO
This Amendment 2 to the Voting Systems Acquisition Agreement, is made and entered
into on this 20th day of August 2021 (the "Effective Date"), between County of Weld, State of
Colorado ("Customer") and Dominion Voting Systems, Inc. ("Dominion").
RECITALS
WHEREAS, on April 27, 2017, the Customer and Dominion entered into a Voting
Systems Acquisition Agreement, which was amended by Amendment 1 in April of 2020
(collectively the "Agreement"); and
WHEREAS, the Customer and Dominion desire to amend the Agreement as described
herein to memorialize the equipment purchase described above;
TERMS
NOW, THEREFORE, the parties amend the Agreement in accordance with the terms
and conditions set forth below:
A. Incorporation of Recitals. The above recitals are true and correct and incorporated
herein by this reference as if fully set forth.
B. Replacement of Amendment 1. Amendment 1 is hereby voided and replaced in its
entirety by this Amendment 2.
C. Addition to Exhibit A. Exhibit A-1 (attached to this Amendment 2) is hereby
incorporated into and appended to Exhibit A of the Agreement.
D. All Other Terms. All other terms and provisions of the Agreement shall remain in full
force and effect.

2. Payment Schedule - Dominion shall provide invoices to the Customer as described below.
The Customer shall pay invoices in a timely manner and no later than thirty (30) calendar days
from receipt of a Dominion invoice. Payments specified in this Exhibit are exclusive of all
excise, sale, use and other taxes imposed by any governmental authority, all of which is the
responsibility of the Customer.
