The agreement outlines the responsibilities for relocation of Xcel's transmission line and/or removals within the project limits of the CR 66 and CR 41 project. The agreement was reviewed by the BOCC in a pass around that was returned on December 15, 2021. All five commissioners approved the recommendation to pay Xcel Transmission an amount not to exceed $628,888.00 for the required relocations and/or removals. CC : pc)(cK) 2021-3526 12122 1").12-7/21 eel d 019 BOARD OF COUNTY COMMISSIONERS PASS -AROUND REVIEW PASS -AROUND TITLE: Relocation Agreement for Xcel Transmission Line on the CR 66 and CR 41 Project DEPARTMENT: Public Works DATE: December 8, 2021 PERSON REQUESTING: Clay Kimmi Brief description of the problem/issue: Throughout the design phase of the CR 66 and CR 41 project, Public Works has been coordinating with Xcel Transmission regarding their facilities. In order to accommodate the construction of the project, Xcel has to relocate a transmission line along the south side of CR 66 west of CR 41 and the east side of CR 41 south of CR 66. The transmission line located in partially in the existing ROW and partially in a permanent easement. The transmission line that is located in the existing ROW has to be relocated at Xcel's cost. The portion of the transmission line that has to be relocated at Xcel's cost is located along the east side of CR 41 south of CR 66. The transmission line which is in a permanent easement has to be relocated at the County's cost. The portion of the transmission line that the County has to pay for relocating is located on the south side of CR 66 west of CR 41. The entire transmission line will be located in the new ROW because landowners along the south side of CR 66 west of CR 41 were unwilling to provide an easement for Xcel. In the area where the transmission line is moving from permanent easement to the ROW, future relocations that are required due to a roadway project will be paid for at the County's expense. Xcel Transmission has reviewed the construction drawings and are in concurrence with the new location for the relocated transmission line. They have provided a cost estimate of $628,888 for the portion of the project that the County is responsible for. The cost includes the price of materials, labor to install, and labor to remove the existing lines. Xcel's portion of the relocation cost is approximately $593,000. Xcel Transmission agrees to have their relocations completed by November 1, 2022 which is when the construction phase of the CR 66 and CR 41 project is anticipated to begin. Xcel Transmission has begun ordering materials and hopes to have the relocation completed by early summer. The County Attorney's office has reviewed the agreement and finds It acceptable. What options exist for the Board? (Include consequences, impacts, costs, etc. of options): 1. The BOCC can opt to sign the relocation agreement. 2. The BOCC can ask for a work session to discuss the agreement. Recommendation: Public Works recommends Option 1 which is to sign the relocation agreement. James, Pro -Tern Steve Moreno, Chair Lori Seine Approve Schedule Recommendation Work Session Other/Comments: AGREEMENT FOR RELOCATION OF ELECTRICAL TRANSMISSION LINE BETWEEN PUBLIC SERVICE COMPANY OF COLORADO AND WELD COUNTY FOR THE WELD COUNTY ROAD 66/41 INTERSECTION PROJECT THIS AGREEMENT, made and entered into this 2cay of f fl 5 2021, by and between PUBLIC SERVICE COMPANY OF COLORADO, a Colorado corporation with Colorado offices at 1800 Larimer Street, Suite 400, Denver, CO 80202, (hereinafter called "PSCo") and THE COUNTY OF WELD, a political subdivision of the State of Colorado, by and through the Board of County Commissioners of the County of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County"). WITNESSETH: WHEREAS, to promote the safety of the citizens of County and other members of the travelling public, County has undertaken the construction of a public improvement project, known as the WCR (Weld County Road) 66/41 Intersection Project, (hereinafter the "Project"), and WHEREAS, to construct the Project, County has acquired property rights from private property owners to utilize as WCR 66 and WCR 41 Right -of -Way (ROW), and WHEREAS, PSCo owns an electrical transmission line co -located with a PSCo electrical distribution line along the south side of WCR 66 west of WCR 41 in a privately -owned easement (Reception Numbers 1501176 and 1501177), and WHEREAS, PSCo owns an electrical transmission lines co -located with a PSCo electrical distribution line along the east side of the existing WCR 41 ROW south of WCR 66, and WHEREAS, the properties burdened by PSCo's existing easements are within the WCR 66 ROW being acquired to complete the Project, and WHEREAS, PSCo is willing to remove the existing electrical transmission lines located in the privately -owned easement along WCR 66 and in the existing WCR 41 ROW, abandon/vacate its privately -owned easements, and construct new electrical transmission lines in the proposed WCR 66 and WCR 41 ROWs to facilitate the construction of the Project (the "Work"), and WHEREAS, in recognition of the costs which will be incurred by PSCo to relocate the electrical transmission lines and related facilities which are located in existing privately -owned easements, County agrees to reimburse PSCo for those reasonable expenses, and, WHEREAS, PSCo has the experience and expertise needed to relocate said electrical transmission lines and related facilities and is willing to do so subject to full reimbursement by the County for the cost incurred for said relocation. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. PSCo RIGHTS and RESPONSIBILITIES 1. Electrical Transmission Line Relocation: PSCo shall relocate the existing electrical transmission lines as depicted in Table 1 and on the Project Engineering Drawings, (copies of which are attached hereto as Exhibits A and B and by this reference made a part hereof). Exhibit B depicts the Project area after acquisition by the County of all necessary property rights and the relocation of PSCo's easements and facilities. The existing electrical transmission lines shall be removed, and PSCo shall vacate those portions of its existing privately -owned easements which are located within the proposed ROW as depicted in Exhibits A and B. The relocated electrical transmission lines will be located within WCR 66 and WCR 41 ROW. All work necessary to accomplish the PSCo electrical transmission line relocation shall be performed in accordance with PSCo specifications, in accordance with the professional standards governing such Work and the provisions of this Agreement and shall conform to the performance standards and requirements set forth herein and in all Exhibits. For any portion of PSCo's electrical transmission lines which are relocated from the existing easement (Reception Numbers 1501176 and 1501177) to WCR 66 right-of-way, pursuant to this Agreement, if such portions of the electrical transmission lines must again be relocated in the future due to a roadway improvement project, such relocation shall be at the sole cost and expense of the County and shall be performed by or under the direction of PSCo at no cost or expense to PSCo. The locations at which new County right-of-way will be acquired, and will overlap prior -existing PSCo easements, are illustrated in Exhibit A. For the purposes of this Agreement, these areas can be described as: approximately WCR 66 stations 101+50 to 119+75 as shown in Exhibits A & B. 2. Electrical Transmission Line Relocation Not to Conflict with Improvements: PSCo shall relocate its electrical transmission lines and related facilities as described and shown on the attached Exhibit B, so that they can accommodate the common use of the property with the proposed roadway improvements or other utility locations and/or relocations. 3. Timing of Electrical Transmission Line Relocation: PSCo shall commence the Work upon receipt from the County of a fully executed copy of this Agreement, and receipt of the Deposit as defined below. PSCo shall use commercially reasonable efforts to complete the relocation work by October 31, 2022. The completion deadline assumes the County will have acquired all the necessary right-of-way and easements no later than January 1, 2022 and the completion deadline will be extended accordingly if this date is not met by the County. 4791635 Pages: 2 of 26 01/05/2022 01:11 PM R Fee:$0.00 Carly Koppes, Clerk and Recorder, Weld County , CO "Ill 4. Responsible for Traffic Control: Throughout the relocation process, PSCo agrees that it shall be responsible for coordination of traffic control as established by the most recent version of the "Manual on Uniform Traffic Control Devices" (MUTCD). 5. Right -of -Way Permits: PSCo shall obtain all necessary right-of-way permits from County required for its relocation work. 6. Reliance on PSCo's Expertise: County and PSCo recognize that County is relying solely on PSCo to perform the relocation of the electrical transmission lines in a manner which will ensure the future integrity of the lines and the road improvements to be constructed by the County. Therefore, as part of its assurances under this Agreement, PSCo affirms that it has enough liability insurance, to satisfy any claim of negligence, intentional wrongful acts or other acts or omissions which may arise because of any failure of the road caused by an improper relocation of the pipelines. 7. Warranty: PSCo warrants that all work performed under this Agreement will be performed in a manner consistent with the professional standards governing such work and the provisions of this Agreement and shall conform to the performance standards and requirements set forth herein and in Exhibits A, B and C. 8. Responsibility to Indemnify and Additional Agreements:: To the maximum extent permitted by applicable law, PSCo shall indemnify and hold County, together with its members, managers, officers, and employees, harmless from and against any and all loss, cost, expense (including reasonable attorneys' fees), claims, demands, causes of action, liability, and damages (collectively, "Claims") arising from PSCo's negligence or willful misconduct in fulfilling PSCo'c obligations under this Agreement; provided, however, such indemnity obligation will not apply to (i) Claims caused by, or contributed to by, County's or any third party's (other than PSCo, its agents, employees, or contractors) negligence (whether sole, concurrent, or contributory) or willful misconduct; (ii) Claims arising from County's default under this Agreement; and/or (iii) the discovery of pre-existing conditions with respect to the location where the Work will be performed or surrounding property. During the time it takes PSCo to complete the Work, and subject to the PSCo's self -insured retention, PSCo will, at its sole expense, procure and maintain commercial general liability insurance against claims for bodily injury, death, or property damage, resulting from PSCo performing the Work in an amount of at least $1,000,000 for each occurrence and $2,000,000 in the aggregate. During the time it takes PSCo to complete the Work, and to the extent required by applicable law, PSCo will also, at its sole expense, procure and maintain worker's compensation insurance in an amount not less than the statutory limits of coverage. PSCo is liable for any damage to any third parties caused by their relocation work, including but not limited to, damage to agricultural or other infrastructure. II. COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of Relocation Expenses: County has agreed to reimburse PSCo for the expenses incurred and associated with the relocation of the electrical transmission lines from the existing easement to the new ROW (identified as Transmission Line Number 1 in Table 1, Exhibit A, and Exhibit B) in fulfillment of its obligations under this Agreement as set forth in the Exhibit C. 2. Increases/Decreases in Estimated Expenses: PSCo has estimated the total cost of said relocation to be $628,888.00, which includes specific work outlined in the Exhibits A, B, and C. Prior to PSCo commencing the Work, the County shall deposit the sum of $503,110.40 with PSCo (the "Deposit") which represents 80% of the PSCo Engineering Project Estimate. County shall pay the balance within thirty (30) days of the completion of the work and receipt of an invoice from PSCo. 3. Stake Right -of -Way and Easements: County shall establish and stake the County right-of-way within the work area prior to relocation of the PSCo electrical transmission lines. County shall verify the relocation to confirm that said relocation is sufficiently clear of Project construction work. 4. Right to Terminate: The County may terminate this Agreement at any time prior to PSCo's commencement of Work. In such an event, the County shall pay PSCo for all expenses which were incurred by PSCo for engineering and for materials and equipment purchased or ordered and paid for by PSCo, which cannot be returned for a refund, prior to the date of termination. III. MISCELLANEOUS 1. Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all of the provisions of this Agreement. 5. Severability:, If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 6. Attorney Fees/Legal Costs: In the event of a dispute between County and PSCo, concerning this Agreement, the parties agree that neither party shall be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the other. 7.
