RE: APPROVE AMENDMENT #1 TO LEAVE MANAGEMENT SERVICES AGREEMENT
AND AUTHORIZE CHAIR TO SIGN - UPMC BENEFIT MANAGEMENT SERVICES,
INC., DBA WORKPARTNERS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #1 to the Leave
Management Services Agreement between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Human Resources, and UPMC Benefit Management Services, Inc., dba WorkPartners,
commencing December 31, 2020, and ending December 31, 2021, with further terms and
conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Amendment #1 to the Leave Management Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Resources, and UPMC
Benefit Management Services, Inc., dba WorkPartners, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 20th day of September, A.D., 2021, nunc pro tunc
December 31, 2020.

PASS -AROUND TITLE: Agreement to continue our contract with WorkPartners for Leave Management
DEPARTMENT: Human Resources DATE: 8/24/21

Brief description of the problem/issue:
This agreement/authorization Weld County and WorkPartners (UPMC Benefit Management Services, Inc., to
continue providing leave management services (FMLA) for our employees. The original agreement expired
12/31/2020, however both organizations continued to operate as the agreement was still in effect.
WorkPartners & Weld County HR is currently working on an updated agreement for 2022.
What options exist for the Board? (include consequences, impacts, costs, etc. of options):
1. Authorize this agreement — allows the two entities to continue providing services to our employees
2. Don't authorize the agreement. All services will be discontinued by WorkPartners and HR will need to
manage all FMLA claims in-house. This would be detrimental to our employees and create a hardship
for the WC HR team.

FIRST AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT
THIS FIRST AMENDMENT TO LEAVE MANAGEMENT SERVICES AGREEMENT (the
"First Amendment"), is entered into by and between UPMC Benefit Management Services, Inc., d/b/a
Workpartners ("Workpartners") and County of Weld ("County"). Workpartners and County may be
individually referred to as a "Party," and shall be collectively referred to as the "Parties."
WHEREAS, Workpartners and County are Parties to a Leave Management Services Agreement
effective August 30, 2019 (the "Agreement"), whereby Workpartners agreed to provide certain leave
management administration and information services, as further set forth in the Agreement; and
WHEREAS, the original agreement was to expire on December 31, 2020, however, both parties
have been operating as the agreement was still in effect; and
WHEREAS the Parties have agreed to amend the Agreement in certain respects.
NOW, THEREFORE, in consideration of the mutual obligations set forth below and in the
Agreement, and intending to be legally bound hereby, the Parties agree to amend the Agreement as
follows:
1. The Term of the Agreement set forth in Section 4.1 is extended and the Agreement shall
remain in effect through December 31, 2021 unless earlier terminated in accordance with Sections 4.2,
4.3 and 4.4 of the Agreement
2. The remainder of the Agreement shall remain in full force and effect, and the only
provisions being amended are those specifically set forth in this First Amendment.
IN WITNESS WHEREOF, the Parties have executed this First Amendment effective as of
December 31, 2020 nunc pro tunc.
